DEED OF ABSOLUTE SALE OF CONDOMINIUM


UNIT

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed this 23rd of February 2016 in Quezon City by:

WES GIBBINS AND LAUREL CASTILLO, Filipino, married, with


residence and postal address at 45 Villalon St., Engineer’s Hill, Baguio
City, hereinafter referred to as the SELLERS,

IN FAVOR OF:

ANALIESE KEATING, American, single, of legal age, with residence


and postal address at 696 Selendra Heights, Lower Kitma, Baguio City,
hereinafter referred to as the BUYERS,

WITNESSETH:

WHEREAS, SELLER are the legal and registered owner of Selendra Heights
Condominium Unit, Lower Kitma Village, Baguio City, Philippines, containing a floor
area of THREE THOUSAND EIGHTY-ONE SQUARE METERS (3,081 sq. m.), more or less,
and one (1) assigned parking slot covered by Condominium Certificate of Title No.
1881-P of the Registry of Deeds for Taguig City;

WHEREAS, BUYER offered to buy and the SELLER agreed to sell the said
condominium unit as well as any and all rights and interest appertaining thereto under
the Master Deed with Declaration of Restriction (the “Master Deed”), as amended, the
Articles of Incorporation and the By-Laws of the Condominium Corporation;

NOW, THEREFORE, for and in consideration of the foregoing premises and


subject to the terms and conditions herein set forth, the BUYER buy and the
SELLERS sell, transfer and convey, by way of absolute sale, unto the BUYER, their
successors and assigns, the said condominium unit as well as any all rights and
interest appertaining thereto under the Master Deed, as amended, the Articles of
Incorporation and By-Laws of the Condominium Corporation.

1. The purchase price for the said condominium unit and assigned
parking slot shall be TWELVE MILLION PHILIPPINE PESOS (PHP
12,000,000.00) to be
paid through a Manager’s Check drawn against the deposit account of the SELLER
with BDO Unibank, Inc. – Legarda Branch.

2. SELLER warrant that the title to the said condominium unit is free and
clear of any and all liens and encumbrances.
3. BUYER accept and bind themselves to all conditions and restrictions
embodied in the Mater Deed, as amended, the Articles of Incorporation and By-Laws
of the Condominium Corporation, and agrees to faithfully observe and comply with the
House Rules and Regulations of the Condominium Corporation and any amendment or
supplement thereto.

4. The BUYER hereby acknowledge that they have examined the said
condominium unit and accept the same.

5. The SELLER undertake that they, their heirs, successors and assigns shall
warrant and defend the title to the real property subject of this Deed against all

claims of all persons or entities. The SELLER also guarantee the right of the
BUYER to take possession of the property subject of this agreement upon the
signing and execution of this agreement and will defend the latter against all judicial
or administrative actions for eviction.

6. In addition to the consideration above, the capital gains tax (6% of


selling price), documentary stamps tax, value-added tax (VAT), if any, broker’s fee (5%
of selling price), registration fee, legal and notarial fee (1% of the selling price) and
other incidental expenses in the registration of the sale and title transfer shall be for
the account of the BUYER.

7. The association dues and utilities shall be for the sole account of the
SELLER until the execution of this Deed of Absolute Sale.

8. The Agreement shall be binding and valid upon the parties herein and
their heirs, agents, representatives, and assigns.

IN WITNESS WHEREOF, the parties hereto have hereunto fixed their signature
this 23rd of February 2016 in Quezon City, Philippines.
