5) True Object for executing Power of Attorney Deed & Particulars of the
Power conferred to Attorney:

(i) To enter into and take possession of the Scheduled Land or any part thereof
and to take its entire administration, management, and control;

(ii) To sell, transfer and assign the Scheduled property mentioned herein below,
without intervention of any court of law under the provisions of the Transfer
of Property Act, 1882 or pursuant to the provisions of the Artha Rin Adalat
Ain, 2003 and to do all acts and sign all documents and papers in my name
which may be required to sell, transfer and assign the Scheduled property or
any part thereof and all proceeds received under this authority shall be
treated as true and valid receipt on my behalf.

(iii) To sell or dispose at the best market price of the Scheduled Land or any part
thereof together or in parcel on account and at our risk, without the
intervention of any Court of law, either privately or by public auction or by
private contract on such terms and conditions as the Attorney shall think fit
and proper, without any reference to us;

(iv) To realise and receive the sale proceeds at the best market price and any
other money receivable in respect of the Scheduled Land or any part thereof
and apply the same towards adjustment of our liabilities or any portion
thereof under the Credit/Loan/Investment Facility;

(v) To execute the necessary sale deeds, present those for registration, to admit
execution and get the same registered and to vest the Scheduled Land or any
part thereof in the prospective transferee, together with all rights of the
owner in, upon, or to the Scheduled Land or any part thereof as if the same
had been sold to the transferee by us as the owner;

(vi) To incur any expenditure that may be necessary for taking over,
management and control of the Scheduled Land or any part thereof and for
sale, mortgage or disposal thereof and to incur any liabilities on our behalf
for the said purpose;

(vii) To advertise through newspapers or otherwise for auction of the Scheduled


Land or any part thereof, to arrange and effect the auction or sale at the best
market price, to receive the bid money, and apply the same in meeting
expenses and in liquidating our indebtedness under the Credit Contracts;

(viii) To negotiate for sale of the Scheduled Land or any part thereof, settle the
terms of sale, to sign, seal, execute and deliver all such contracts,
agreements, sale deeds or deeds of conveyance and/or other documents,
and/or instruments of transfer with all necessary and reasonable covenants
therein on our behalf, and generally upon such terms and conditions as the
Attorney shall deem necessary or expedient;

(ix) To may be deposited in any court or office concerning the Scheduled Land
or any part thereof in case of acquisition or requisition of the Scheduled Land
or any part thereof by any Governmental Authority;

(x) Regardless of whether an Event of Default has occurred and is continuing


under the Credit/Loan/Investment Facility, to perfect a legal mortgage or
charge of the Scheduled Land or any part thereof in favour of the Attorney at
such time and in such manner and present it for registration and get the same
registered in favour of the Attorney at our cost and on our account;

(xi) To take all steps for obtaining income tax clearance certificate, if any, for the
registration of sale deeds, deeds of conveyance and mortgage deeds relating
to the sale or mortgage of the Scheduled Land or any part thereof, and

further, to obtain any other sanction or permission from any authority for
sale, transfer or legal mortgage of the Scheduled Land;

(xii) To cause mutation when it is necessary in the revenue records and to make
such statements personally or through lawyers or other agents to effectuate
the purposes contained herein;

6) Purpose of the Power of Attorney with Schedule:

i) Successive description regarding ownership of the property


transferred herein at least for last 25 (twenty five) years including
description of relevant Bia Deeds:

The chain of ownership of the scheduled property: It appears from the given documents
that Nazar Ali, Darag Ali, Hazrat Ali, Habiz Uddin, Md. Riaz Uddin, were the S. A. & R.
S. recorded owner of the scheduled land along with other lands. Thereafter, said Nazar
Ali died leaving behind his legal heir namely Mst. Minara Begum, Md. Helal Uddin, Md.
Harmuz Ali, Md. Firoz Mia, Sajeda, Chayarun Nesa, Helal Uddin & others and they
acquired the land by way of inheritance. Later on, said Mst. Minara Begum & others
appointed their lawful attorney Md. Hasan Shahriar through a Power of Attorney Deed
No. 10298 dated 01.09.2008, registered within the Sadar Sub-Registry of Narshingdi.
Afterwards, said Md. Helal Uddin & others appointed their lawful attorney Md. Hasan
Shahriar through a Power of Attorney Deed No. 7442 dated 25.06.2008, registered within
the Sadar Sub-Registry of Narshingdi. Later on, said Md. Harmuz Ali appointed his
lawful attorney Md. Hasan Shahriar through a Power of Attorney Deed No. 7845 dated
07.07.2008, registered within the Sadar Sub-Registry of Narshingdi. After that, said Md.
Firoz Mia died leaving behind his legal heirs namely Md. Jakir Hossain alias Jakir
Hosen, Md. Tarek Hossain, Mst. Parveen Begum, Mst. Parul Begum, Mst. Fazila Begum
and they acquired the land by way of inheritance. Subsequently, said Md. Jakir Hossain
alias Jakir Hosen, Md. Tarek Hossain, Mst. Parveen Begum, Mst. Parul Begum, Mst.
Fazila Begum appointed their lawful attorney Md. Hasan Shahriar through a Power of
Attorney Deed No. 8043 dated 10.07.2008, registered within the Sadar Sub-Registry of
Narshingdi. Later on, said Darag Ali died leaving behind his legal heirs namely Md. Seraj
Uddin & others and they acquired the land by way of inheritance. After that, said Hazrat

Ali died leaving behind his legal heirs namely Md. Moti Mia & others and they acquired
the land by way of inheritance. Afterwards, said Md. Riaz Uddin died leaving behind his
legal heirs namely Md. Jalal Uddin & others and they acquired the land by way of
inheritance. Thereafter, said Habiz Uddin died leaving behind his legal heirs namely Mst.
Jahanara Begum & others and they acquired the land by way of inheritance. Later on,
said Md. Seraj Uddin, Md. Moti Mia, Md. Jalal Uddin, Mst. Jahanara Begum, appointed
their lawful attorney Md. Hasan Shahriar & Tanzila Hasan Sumi through a Power of
Attorney Deed No. 14330 dated 5.12.2008/07.12.2008, registered within the Sadar Sub-
Registry of Narshingdi. Thereafter, said Harmuz Ali, Sajeda, Chayarun Nesa, Helal
Uddin sold the land in favor of Tanzila Hasan Sumi through different Saf Kabala Deed
No. 670, 397, 4585 dated 17.01.2008, 10.01.2008, 21.04.2008 (respectively), registered
within the Sadar Sub-Registry of Narshingdi. Thereafter, said Mst. Minara Begum &
others represented by their lawful attorney Md. Hasan Shahriar & Tanzila Hasan Sumi
herself & being lawful attorney sold the land in favor of Jakir Hossain alias Jakir
Hosen through a Saf Kabala Deed No. 14369 dated , registered within the Sadar Sub-
Registry of Narshingdi.

Thus the said, Jakir Hossain alias Jakir Hosen has become the present owner of the
scheduled property & got mutated in the govt. revenue record vide Mutation-Separation
Case No. 7638/08-09 dated 02.04.2009, as per R. S. operation.

The chain of ownership of the scheduled property: It appears from the given documents
that Bahar Ali was the S. A. & R. S. recorded owner of the scheduled land along with
other lands. Thereafter, said Bahar Ali sold the land in favor of Md. Faiz Uddin through a
Saf Kabala Deed No. 4352 dated 05.06.1996, registered within the Sadar Sub-Registry of
Narshingdi. Later on, said Md. Faiz Uddin died leaving behind his legal heirs namely
Md. Abdur Barek Mia & others and they acquired the land by way of inheritance. After
that, said Md. Bohor Ali provided a declaration Deed No. 12843 dated 04.11.2008,
registered within the Sadar Sub-Registry of Narshingdi in favor of Md. Abdul Barek &
others. After that, said Md. Abdul Barek & others sold the land in favor of Jakir Hossain
alias Jakir Hosen through a Saf Kabala Deed No. 14368 dated , registered within the
Sub- Registry office of Sadar, Narsingdi.

Thus the said, Jakir Hossain alias Jakir Hosen has become the present owner of the
scheduled property & got mutated in the govt. revenue record vide Mutation-Separation
Case No. 7638/08-09 dated 02.04.2009, as per R. S. operation.

As per Saf Kabala Deed No. 1203 dated

The chain of ownership of the scheduled property: It appears that Md. Bohor Ali &
others were the S.A. & R.S recorded owners of the scheduled land along with other lands.
Thereafter, said Md. Bohor Ali & others divided the land among themselves through a
Partition Deed No. 14328 dated 05.12.2008, registered with the Sadar Sub-Registry
Office of Narshingdi. Later on, said Md. Bohor Ali sold the schedule land measuring 08
(eight) decimals in favor of Jakir Hossain alias Jakir Hosen vide Saf Kabala Deed No.
1203 dated, registered with the Sadar Sub-Registry Office of Narshingdi.

Thus the said, Jakir Hossain alias Jakir Hosen has become the present owner of the
schedule land & got mutated the land in the govt. revenue record vide Mutation-
Separation Case No. 7638/08-09 dated 02.04.2009, as per R. S. operation.

As per Saf Kabala Deed No. 13337 dated13.11.2008

The chain of ownership of the scheduled property: It appears that Md. Bohor Ali was
the S.A. & R.S recorded owner of the scheduled land along with other lands. Thereafter,
said Md. Bohor Ali sold the land in favour of (i) Ahammad Ali, (ii) Md. Sayed Ali, (iii)
Md. Ali Moddin & (iv) Md. Kolim Uddin vide Saf Kabala Deed No. 10303 dated
21.09.1977, registered with the Sadar Sub-Registry Office of Narshingdi. Later on, said
(i) Ahammad Ali, (ii) Md. Sayed Ali, (iii) Md. Ali Moddin & (iv) Md. Kolim Uddin sold
the schedule land measuring 7.50 (seven point five zero) decimals in favor of Jakir
Hossain alias Jakir Hosen vide Saf Kabala Deed No. 13337 dated13.11.2008, registered
with the Sadar Sub-Registry Office of Narshingdi.

Thus the said, Jakir Hossain alias Jakir Hosen has become the present owner of the
schedule land & got mutated the land in the govt. revenue record vide Mutation-
Separation Case No. 7638/08-09 dated 02.04.2009, as per R. S. operation.

The chain of ownership of the scheduled property: It appears that Nazar Ali was the R.S
recorded owner of the scheduled land along with other lands which he acquired by way
of inheritance. Subsequently, said Nazar Ali died leaving behind his legal heirs including
Mosammat Minara Begum & others and they acquired the land by way of inheritance.
Thereafter, said Mosammat Minara Begum & others sold the land in favour of Shreejukto
Shombhunath Saha vide Saf Kabala Deed No. 3102 dated 12.04.2007, registered with the
Sadar Sub-Registry Office of Narshingdi. Later on, said Shreejukto Shombhunath Saha
sold the schedule land measuring 11 (eleven) decimals in favor of Jakir Hossain alias
Jakir Hosen vide Saf Kabala Deed No. 14733 dated, registered with the Sadar Sub-
Registry Office of Narshingdi.

Thus the said, Jakir Hossain alias Jakir Hosen has become the present owner of the
schedule land & got mutated the land in the govt. revenue record vide Mutation-
Separation Case No. 7638/08-09 dated 02.04.2009, as per R. S. operation.

As per Saf Kabala Deed No. 1204 dated

The chain of ownership of the scheduled property: It appears from the given documents
that Nazar Ali, Darag Ali, Hazrat Ali, Md. Riaz Uddin, were the S. A. & R. S. recorded
owners of the scheduled land along with other lands. Thereafter, said Nazar Ali died
leaving behind his legal heir namely Md. Firoz Mia, Mosammat Chayarun Nesa, Mst.
Minara Begum, Mosammat Meherun, & others and they acquired the land by way of
inheritance. After that, said Md. Firoz Mia died leaving behind his legal heirs namely
Md. Jakir Hossain alias Jakir Hosen, Md. Tarek Hossain, Mst. Parveen Begum, Mst.
Parul Akter, Mst. Fazila Begum and they acquired the land by way of inheritance. Later
on, said Mst. Minara Begum & others appointed their lawful attorney Md. Jakir Hossain
alias Jakir Hosen through a Power of Attorney Deed No. 7912 dated 08.07.2008,
registered within the Sadar Sub-Registry of Narshingdi. On the other hand, said Darag
Ali died leaving behind his legal heir including Md. Seraj Uddin, Md. Rafique Uddin,
Mosammat Mariam Begum & others and they acquired the land by way of inheritance.
Besides that, said Hazrat Ali died leaving behind his legal heir including Abdul Salam,
Md. Moti Miah, Mosammat Khodeza Begum, Mosammat Sajeda Begum& others and
they acquired the land by way of inheritance. Subsequently, said Md. Riaz Uddin died
leaving behind his legal heir including Mosammat Jahanara Begum, Md. Jalal Uddin,
Md. Deloar Hossain, Md. Saiful Islam, Mosammat Hasina Akter, Mosammat
Samsunnahar, Mosammat Nurunnahar& others and they acquired the land by way of

inheritance. Later on, said Md. Seraj Uddin & others appointed their lawful attorney Md.
Jakir Hossain alias Jakir Hosen through a Power of Attorney Deed No. 7820 dated
07.07.2008, registered within the Sadar Sub-Registry of Narshingdi. Later on, said Md.
Jakir Hossain alias Jakir Hosen himself & on behalf of Md. Tarek Hossain & others sold
the schedule land measuring 13.50 (thirteen point five zero) decimals in favor of Jakir
Hossain alias Jakir Hosen vide Saf Kabala Deed No. 1204 dated, registered with the
Sadar Sub-Registry Office of Narshingdi.

Thus the said, Jakir Hossain alias Jakir Hosen has become the present owner of the
schedule land & got mutated the land in the govt. revenue record vide Mutation-
Separation Case No. 7638/08-09 dated 02.04.2009, as per R. S. operation.

ii) Purpose of the Power of Attorney:

WHEREAS, the Principal i. e. Jakir Hossain alias Jakir Hosen, Date of

& Mst. Jobeda Khatun, of present address at: Village- Parkashipur, Post
office- Madhabdi, Police Station- Narsingdi Sadar, District- Narsingdi &
permanent address at: Village- Punshahi, Post Office- Jangalia, Police
Station- Kaliganj, District- Gazipur, bearing Tax Payer’s Identification
Number (E-T.I.N.) 789279532546, being the sole proprietor of M/s.
Rehnuma Textile, a proprietorship concern business having its registered
office address at Birampur, Madhabdi, Narsingdi, applied to the Attorney
Bank for sanctioning Loan facility & the Bank sanctioned an Overdraft (OD)
Loan facility of Tk.50,00,000.00 (Taka fifty lac) only (hereinafter referred
to as the ‘Loan’) vide its Sanction Letter No. SEBL/MDB/CR/2015/1022
dated August 16, 2015, on conditions inter alia, that the Principal shall
mortgage the scheduled property as security for adjustment of the Loan
facility along with interest and charges due thereon & hereby conferring the
power to the Bank in order to do all or any of the acts described in column
No.5.

Sale has executed with any third party for sale of the said land or that said land
has not been sold elsewhere by executing any deed or the said land has not been
mortgaged to any third parties. The scheduled property is neither Khas/vested nor
abundant nor of any interest of the Government. If any information provided in
the Deed is found not true, I/we will be liable for this and Civil Suit/Criminal
Case can be initiated against us. If any information provided about the scheduled
property is found to be incorrect, false or misleading, I/we will be responsible to
rectify the same with providing compensation along with bearing all expenses for
execution and registration of a new Deed. It is further provided that the scheduled
property is not undervalued.
