MEMORANDUM

As the terms and conditions of the Business Development and

Assistance Program (BDAP) between PPC Asia Corporation and
Jereymar Corporation, to wit:

xxx” C. Recurring failure to achieve the minimum volume

requirement of at least six (6) months within 12-month period, the
FIRST PARTY reserves the exclusive right to either terminate and
rescind the Agreement and immediately take possession of the
incentive delivered to the SECOND PARTY.”

Upon signing of this memorandum, the Parties have come to

an agreement that the possession of the motor vehicle, which is
more particularly described as follows:

shall be TRANSFERRED and RETURNED, by JEREYMAR

This MEMORANDUM shall likewise serve as an official

document to prove the turn-over of the abovementioned vehicle and
shall likewise acknowledge that PPC ASIA CORPORATION have
received the actual possession thereof.
