AGREEMENT REGARDING CONFIDENTIALITY

(TRANSCRIPTION TEST)

I am an Independent Contractor applying for the position of Transcription Specialist

with diVA Enterprises, LLC (diVA Transcription Services).

I recognize that, in the course of my application with diVA Enterprises, I have been
and/or will be privy to trade secrets, know-how, and confidential information
belonging to diVA Enterprises’ clients. I agree and acknowledge that all
Confidential Information (whether or not prepared by me) is and shall remain the
exclusive property of diVA Enterprises or its clients. I also agree (i) not to use any
Confidential Information for any purpose other than the processing of my
application, and (ii) not to disclose any Confidential Information to any third party.

Without limiting the generality of the foregoing, I acknowledge that, in many

instances, the Confidential Information is or shall be subject to confidentiality
obligations under applicable law, and I agree to be bound by such obligations.
Upon completion of my test transcription, I shall immediately (a) deliver to diVA
Enterprises (without retaining any copies or extracts in any form) all documents
and materials containing any Confidential Information, and (b) purge all
Confidential Information from all storage devices that are in my possession or
control.

At diVA Enterprises’ request, I shall promptly deliver a certificate (if needed) to the
effect that I have complied with the foregoing provisions. In the event that I am
unsure whether certain materials or information is Confidential Information, I agree
to consult with diVA Enterprises’ representative for resolution and agree to be
bound by its decision.

My signature below indicates my agreement to, and my acknowledgement of

receipt of copy of, this Agreement and “application materials” provided to me which
are
considered Confidential Information.
