WORK MADE FOR HIRE AGREEMENT

(3D ARCHITECTURE AND VISUALIZATION)

This Agreement is made on _____________, by and between


_______________________("Artist") and if there is more than one artist, then all of
them collectively) and XY.Life Pte Ltd ("Client") or its nominee.

THE ARTIST AND THE CLIENT AGREE THAT:

1. Title and Copyright Assignment


a. Artist and Client intend this to be a contract for services (see schedule A
for work specifications) and each considers the products and results of
the services to be rendered by Artist hereunder (the 'Work") to be a work
made for hire. Artist acknowledges and agrees that the Work (and all
rights therein, including, without limitation, copyright {all languages})
belongs to and shall be the sole and exclusive property of Client. This
include the exclusive rights to translate, reproduce, edit, adapt, modify,
perform, transmit and otherwise use the Work, including any derivative
works created therefrom, in any manner or medium throughout the world
in perpetuity without additional compensation. This includes, but is not
limited to, the right to reproduce and distribute the Work in electronic,
telecommunication or optical media, or in CD-Rom, on-line or similar
format. Artist also agrees that his/her name, likeness, photograph and/or
biographical information may be used by the Client and its affiliated
corporations.
b. If for any reason the Work would not be considered a work made for hire
under applicable law, Artist does hereby sell, assign, and transfer to
Client, its successors and assigns, the entire right, title and interest in and
to the copyright in the Work and any registrations and copyright
applications relating thereto and any renewals and extensions thereof,
and in and to all works based upon, derived from, or incorporating the
Work, and in and to all income, royalties, damages, claims and payments
now or hereafter due or payable with respect thereto, and in and to all
causes of action, either in law or in equity for past, present, or future
infringement based on the copyrights, and in and to all rights
corresponding to the foregoing throughout the world.
c. If the Work is one to which the provisions of 17 U.S.C. 106A or
the equivalent apply, the Artist hereby waives and appoints Client
to assert on the Artist's behalf the Artist's moral rights or any
equivalent rights regarding the form or extent of any alteration to
the Work (including, without limitation, removal or destruction) or
the making of any derivative works based on the Work, including,
without limitation, photographs, drawings or other visual
reproductions or the Work, in any medium, for Client purposes
d. Artist agrees to execute all papers and to perform such other
proper acts as Client may deem necessary to secure for Client or
its designee the rights herein assigned.

2. Quoted Material
a. With the exception of short excerpts from others' works, which constitute
fair use, the Work will contain no material from other copyrighted works
without a written consent of the copyright holder. The Artist will obtain such
consents at his or her own expense after consultation with the Client and will
fife them with the Client at the time the Work is delivered. Any obligations
associated with permissions will be the responsibility of the Artist.

3. Artist's Warranty
a. The Artist warrants that he or she is the sole owner of the Work and has full
power and authority to make this agreement; that the Work does not infringe
any copyright, violate any property rights, or contain any scandalous,
libelous, or unlawful matter. The Artist will defend, indemnify, and hold
harmless the Client and/or its licensees against all claims, suits, costs,
damages, and expenses that the Client and/or its licensees may sustain by
reason of scandalous, libelous, or unlawful matter contained or alleged to be
contained in the Work or any infringement or violation by the Work of any
copyright or property right; and until such claim or suit has been settled or
withdrawn, the Client may withhold any sums due the Artist under this
agreement.

4. Consideration
a. In consideration for delivery of the Work in accordance with the provisions
of this Agreement, the Client shall pay the Artist according to the fees set
forth in Freelancer.com.
b. The Artist should be open for communication as required by the Client
through the channels required.
c. The Artist should complete the Work within the specified deadline and make
the necessary revisions as required by the Client.

5. Options/Contracts with Third Parties


a. Nothing contained in Section 6 shall affect any license or other grant of
rights, options, or agreements made with third parties prior to the
termination date or the rights of the Client in the income resulting from such
agreements.

6. Amendments
a. The written provisions contained in this agreement constitute the sole and
entire agreement made between the Artist and the Client concerning this
Work, and any amendments to this agreement shall not be valid unless made
in writing and signed by both parties.
7. Confidentiality
a. Right of Ownership: Artist acknowledges that all the information and
documents which have been and will be supplied to the Artist by the Client
(namely, diagrams, flow charts, drawings, processes, inventions, research
projects and product development, contracts, agreements, and plans) are
strictly confidential and privileged information and shall remain the property
of the Client.
b. Undertaking: The Artist undertake as follows in favour of Client:
i. the Artist shall maintain the confidentiality of the information and
documents which have been or shall be disclosed to the Artist regarding
its business activities.
ii. The Artist shall not convey or transmit any or all of the said information
or documents, nor shall the Artist use such information or documents
except within the performance of the Artist’s duties; The Artist shall take
all necessary preventive measures in order to maintain the confidentiality
of all information and documents which the Client may:
• put at the Artist’s disposal;
• disclose to the Artist either in writing or verbally; or
• allow the Artist to consult or to access either directly or indirectly;
iii. without limiting the generality of the foregoing, the Artist shall not make or
keep copies, photocopies, drafts or any other reproduction of the documents
or information unless the Artist do so within the performance of the Artist’s
duties.
c. No License: All of the information and documents are and shall remain the
exclusive property of the Client. The Artist shall not acquire any license or
interest therein as a result of their disclosure to the Artist.
d. Term: This undertaking shall apply for the entire term of this Agreement and
for an indefinite period following the termination of the said Agreement.
e. Default: If the Artist fails to abide by the Artist’s obligations pursuant to this
undertaking, the Artist shall compensate the Client for any damage resulting
therefrom, the whole without prejudice to the Client’s other rights and
recourses for the enforcement of the terms of this undertaking and for the
prevention of any future breach thereof. The Artist acknowledges that the
Artist’s failure to abide by this undertaking will cause the Client immediate,
serious and irreparable injury. Consequently, the Artist acknowledges that in
the event of such a breach, in addition to seeking damages from the Artist as
stated hereinabove, the Client shall forthwith apply to a court for the
immediate issuance of an injunction. If a court rules that this undertaking is
too broad as to its content, scope or term, rather than voiding this undertaking,
the said court shall be empowered to reduce the said content, scope or term to
the maximum reasonable level.

8. Construction, Binding Effect, and Assignment


a. This agreement shall be construed and interpreted according to the laws of
Serbia and shall be binding upon the parties hereto and to the Client shall
include their heirs, successors, assigns, and personal representatives.

Schedule A

Work:

1. Development of a 3D health & wellness resort impression including a walk


through animation according to Client’s specifications.

The Artist agrees to revise the Work as required by the Client.

Project Fee:

The Client will pay the Artist the amount of USD 250 according to the milestones set in
Freelancer.com. This is a one-time compensation for Artist's services (sometimes known
as a work-for-hire) and the Artist understands that this will comprise Artist's complete and
sole payment. The Client reserves the right to hold the full payment until Work is deemed
completed as solely determined by the Client.
