PART OF THE SPECIFICATIONS SIGNED BETWEEN MUTANDA MINING,
LOCAL COMMUNITIES AND THE CONGOLESE STATE

I. INTRODUCTION

Mutanda Mining is a high-quality copper and cobalt producer owned by Glencore in the Democratic
Republic of Congo (DRC). It is located in the Zambia-DRC copper belt, in Lualaba province,
southern DRC, approximately 42 km east of the town of Kolwezi.

Mutanda Mining has an obligation, as a mining company operating in DR Congo, to comply with
DR Congo legislation, including the DR Congo Mining Code as well as mining regulations regarding
its commitment to affected communities and impacted by its operations.

As a result, Mutanda Mining, in accordance with article 285 of the mining code as the holder of a
mining right of exploitation or permanent quarry authorization, is required to develop specifications
defining its social responsibility vis-à-vis -to local communities affected by its mining activities.

On this basis, Mutanda Mining will need external expertise in order to carry out the various projects
planned within the framework of the specifications. Therefore, the contractor must have the capacity
to properly deliver the services during the contract period and must have the expertise, personnel,
equipment and capital to deliver the work within the specified and requested time frame.

II. KAPASO SECONDARY SCHOOL CONSTRUCTION PROJECT

II.1 Project description
The first phase of this project consists of building a secondary school composed of:
- 3 blocks of 3 classrooms each, i.e. 9 classrooms,
- Sanitary facilities, septic tanks,
- 1 administrative block including the prefect's office, the teachers' room and a reserve.
- Drilling and installation of a solar well.
The second phase after construction will consist of equipping the buildings with furniture.
The contractor will hand over the equipped buildings upon handover of the work.

II.2 Project objective

- Support the government in its millennium objectives in education for all,
- Offer Congolese youth, the hope of tomorrow, an ideal framework for their instruction and quality education,
- Allow all children to exercise their right to education,
- Facilitate parents to fulfill their duty to educate their children,
- Contribute to the promotion of education in accordance with the requirements of framework law no. 005/86/ of
09/22/1986 on National Education.

II.3 Beneficiaries
The beneficiaries are children from the village of KAPASO whose ages vary between 12 to 18 years old as well as
children and parents from neighboring villages.

II.4 Expected result and location

Delivery of a fully equipped secondary school in KAPASO.

III. Terms and conditions

The Contractor is responsible for the transportation of its personnel, equipment and other items
necessary to carry out the work. The Contractor must comply with Mutanda Mining policies and
procedures regarding travel and transportation.

The contractor must provide all required Personal Protective Equipment to its employees and all
work safety recommendations. Safework must be implemented at the work site.

The Contractor must always comply with workplace safety rules and regulations set out in Mutanda
Mining's policies and procedures. Site security is a responsibility of the contractor.

No changes to the scope of the project should be undertaken without the approval of the head of the
Social Department of Mutanda Mining.

When a potential change is identified, the head of the Mutanda Mining Social Department must be
informed.

The Mutanda Mining Social Department Manager will consider the following in relation to the
change, the reason for the change, the estimated working hours and cost of the change, any impact on
the schedule resulting from the change, warranties, insurance and recovery periods, liability for
defects, etc.

The Contractor's equipment and that of its subcontractors must always be in good working order.
Use of substandard equipment, as determined by Mutanda Mining, will result in its immediate
removal from service until repaired. Mutanda Mining reserves the right to order the contractor to
remove non-compliant equipment from the workplace.

No payment will be made to the Contractor for downtime due to a community problem or other
inoperative equipment.
