Puan Sri Jun and her friends decided to form a business entity to market their high end

exclusive brand of clothings. Puan Sri Jun come to see you and seek advice on the
formation of a company.
You have to describe the main requirements for an application for registering a company
limited by shares to Puan Sri Jun.
ANSWER :
First and foremost, to find out what names of corporations are permitted, Puan Sri Jun and
her companions should consult the Companies Commission of Malaysia's (CCM) regulation on
company names. Following that, they must submit Section 27 (1) (4), Application and Reservation for
Availability of Name, together as an RM50 payment to the registrar. If the registrar does not approve
or reject the name, they must resubmit section 27 (1) (4) together with an RM50 payment to the
registrar with the revised business name. After receiving approval of name, they must complete the
following documentation within three months:

Complete all section 201 and section 219.


- Declaration by a person before appointment as directors, or by a promoter before
incorporation of corporation (Section 201)
- Letter of consent for bankruptcy search
- Letter to subscribe shares and request share certificates
- Letter of agreement to take up shares of company
- Confirmation of description of nature of business
- Declaration of interest
If the document is not completed within three months, then the name of the company that has been
received and approved will be invalid. Following that, they must also submit Section 14 (The
Application For Business Registration) and the RM1000 as registration cost to MYCOID portal.
