MEMORANDUM OF ASSOCIATION OF AL-QAMAR AL-MOUNIR CHARITABLE FOUNDATION UGANDA LIMITED

1. The name of the company is " AL-QAMAR AL-MOUNIR CHARITABLE FOUNDATION UGANDA LIMITED
2. The registered office of the company will be situated in Uganda.
3. The objects for which the company is established are "
1. to help the needless to promote community health (h) To build, construct, alter, improve, enlarge, repair, maintain, develop,
demolish, remove or replace and to work, manage, carry out or control works of all descriptions, including but not limited to
residential housing and housing estates, offices, factories, mills, wa to promote food production
2. to construct both schools and mosques around Uganda.
3. to build orphanage homes
4. To invest and deal with the monies of the Company not immediately required upon such securities and in such manner as may
from time to time be determined.
5. To borrow or raise money in such manner as the Company shall think fit, and in particular by the issue of debentures, or
debenture stock (perpetual) or otherwise, and to ensure the repayment of any money borrowed, raised or owed by mortgage
lien or charge upon the whole or any of the Company s assets
6. To acquire any real and personal property rights or any other privileges or material which may be used or sovereignty
combined with the business of the Company.
7. To acquire any estate or interest in property and to take options over, construct and develop property, real or personal or
rights of any kind which may appear to be necessary or convenient for any business of the Company the objects of which
include the carrying on of any business or activity within the objects of this Company.
8. To enter into any guarantee, contract of indemnity or surety-ship and in particular (without prejudice the generality of the
foregoing) to guarantee the payment of any principal monies, premiums, interest and other payment of dividends and
premiums on the repayment of the capital of stock and shares of all kinds and descriptions.
9. To borrow and raise money and secure or discharge any debt or obligation of or binding on the, Company in such manner as
may be thought fit and in particular by mortgage of charges upon the undertaking and all or any of the real and personal property
(present and future) and the uncancelled capital of the Company or by the creation and issue of debentures, debenture stock or other
obligations or securities of any description.
10. To receive money on deposit or loan with or without allowance of interest therein.
11. To amalgamate with any other Company having objects altogether or any part similar to those of this Company.
12. To lend money to such persons or companies and on such terms as may seem expedient and in particular to customers and
others having dealing, with the Company.
13. To purchase or otherwise acquire real and personal estates for the objects and purposes of the Company and to sell, lease,
exchange, mortgage or otherwise deal with all or any of the real and personal property of the Company.
14. To contribute to the combating of H1V/AIDS and improve Sexual Reproductive Health issues among young people and the
youth through prevention programs like life skills training, promote Abstinence and mutual faithfulness programs, nutritional
tips to the infected youths, training in counseling Aides about Voluntary Counseling and Testing (VCT) and Anti-Retroviral
Treatment (ART).
15. To strengthen the institutional framework of youth structures through capacity building programs like skills development
training, organize and mobilize resources in form of capital items for equipping youth and to promote innovative educational
strategies for the disadvantaged youth and to ensure quality of services and continued high performance and development for
potential youth.
16. To improve productivity and address employment issues among youth communities by engaging them into income generating
activities to include farming, brick laying, carpentry, sewing, art &

Islam on the African continent and other continents through modem scientific ways.
To teach religious knowledge to school children in all schools in Uganda and to make the public
realize the values of education and the evil of ignorance.
26. To promote good understanding among muslims of all values at national and international levels.

resolution through peaceful means.
29. To establish training institutions to provide skills , instructions or facilities of all kinds but with a
view of economic development.
30. To identify viable micro projects for both our members and the community at large, e.g construction
of boreholes.
31. To disseminate information relate to proper Muslims well being through literature, radio & television
programmes, print and media.
32. To acquire by gifts , donations, loans or banquet the funds necessary to the furthering of the
organisation.
33. To remunerate any person, firm or company , rendering services to the organisation whether by cash
payment or otherwise.
34. To promote co-operation among religions towards exchanging and disseminating religious
information, standards, methods and data related to all religions.
35. To strengthen , guide and cater for all persons in the transitional experience from one faith to another.

4. The liability of the members is limited.

5. Every member of the company undertakes to contribute to the assets of the company if it is being wound up while he or she is a member, or within
one year afterwards, for payment of the debts and liabilities of the company, contracted before he or she ceases to be a member, and the costs,
charges and expenses of winding up the company and for the adjustment of the rights of the contributories among themselves, such amount as may
be required, not exceeding 1,000,000 shillings.

WE, the several persons whose names and addresses are subscribed, desire to be formed into a company, under this memorandum of association,
and we respectively agree to take the number of shares in the capital of the company set opposite our respective names.
