GENERAL CONDITIONS OF CONTRACT

Definitions:
(a) Engineer-in-charge : Person heading the Project on behalf of Ramky Srisairam Properties Pvt. Ltd. who heads the Project and holds the authority from the company to discharge duties on its behalf.
(b) Project Manager : Person heading the Project on behalf of Ramky Srisairam Properties Pvt. Ltd. who heads the Project and holds the authority from the company to discharge duties on its behalf.
(c) RSPPL : Ramky Srisairam Properties Pvt. Ltd. having its registered Office at Ramky Grandiose, 9th Floor, Ramky Towers Complex, Gachibowli, Hyderabad : 500 032.

1. All expenses towards mobilization at site and demobilization including bringing in equipment, work force, materials, dismantling the equipment, clearing the site etc. shall be deemed to be included in the rates
payable to you and no separate payments on account of such expenses shall be entertained.
2. In case of any mobilization advance granted by RSPPL through this work order, you shall provide suitable security/guarantee/indemnity bond for the value of advance till the advance is recovered by RSPPL in
full.
3. Water & electricity if provided by us free of cost shall be at a central location of the Project and you shall be required to extend the facility to your place of work at your own cost.
4. The rates shall remain firm and fixed till the whole of the assigned job is completed in all respects and no escalation whatsoever is admissible in this regard.
5. You shall abide by all rules and regulations of all acts of Government/Local body/statutory authorities pertinent to the execution of this contract.
6. 'Income Tax' and 'Service Tax' at the prevailing rates as applicable from time to time shall be deducted from your bills as per details in Clause (3) of work order. Any other statutory levies shall be to your account.
7. You shall establish document and maintain an effective quality assurance system, which shall be approved by the Engineer-in-charge of the work. Officials of our Client shall have the right to inspect/witness/
review any or all stages of work as deemed necessary for quality assurance.
8. A percentage of value of each running account bill shall be retained as 'Security Deposit' or 'Retention Money' as stated in the work order clause No.7 (a) and the same shall be returned as per details in Clause 7
(b) of work order on submission of 'No Claim Certificate' by you and against 'Work Completion Certificate' issued by the Engineer-in-charge of the work.
9. Payment shall be normally released within the period stated in Clause (11) of work order from the date of certification of your bills by the Project Manager by way of Account Payee Cheques.
10. You shall make yourself or your representative available at the work spot everyday during execution of work, for effective supervision and settling all technical and commercial issues.
11. You must satisfy yourself by personal study and examinations of the drawings/specifications furnished and understand thoroughly the scope of proposed work in detail and all conditions affecting the work before
accepting this Work Order.
12. The payable rates shall hold good for execution of works at all heights, depths, lifts, leads, shapes and sizes unless otherwise specifically mentioned in the description of item in the work order.
13. You shall be responsible for proper coordination with other agencies operating at the site of work so that work may be carried out concurrently, if necessary, without any hindrance. The Engineer-in-charge shall
resolve disputes, if any, in this regard, and his decision shall be final and binding.
14. You shall be solely responsible for damages to works of other agencies if any, committed by you and you shall make good the losses incurred/claimed by other agencies.
15. Drains, pipes, cables, overhead wires and similar services encountered in the course of execution of works shall be guarded from being damaged by you at your own cost. Should you damage any mains, pipes,
cables or lines (whether above or below ground etc), whether or not shown on the drawings, you shall make good or bear the cost of making good the same without delay to the full satisfaction of the

GENERAL CONDITIONS OF CONTRACT

Engineer-in-charge.
16. You shall ensure that the fuel requirement of your workers is arranged by you at your own cost, to avoid any cutting of trees etc.
17. The payable rates include laying temporary access roads etc. to aid your work and no extra payment on account of this shall be admissible.
18. It shall be solely your responsibility to provide, operate and maintain all necessary construction equipments, scaffoldings and safety gadgets etc. to perform the work in a workmanlike and complete all the
assigned jobs as per time schedule.
19. You shall allow sufficient time as deemed necessary by the Engineer-in-charge for enabling him to check the lines, levels etc. and you shall suspend the work till that time clearance is given by the
Engineer-in-charge for execution of works.
20. You shall provide the Engineer-in-charge, for purposes of inspection, access ladders, lighting and necessary instruments/appliances at your own cost. If any defect etc. is noticed even at a later date, in spite of
payment having been made for such item of work earlier, you shall immediately attend and rectify the same at your own cost.
21. Any work not conforming to the execution drawings, instructions, specifications or codes shall be rejected forthwith and you shall carry out the rectifications at your own cost or shall be made good by the
Engineer-in-charge engaging a third party in case of your inability to attend and rectify the defect within the period directed.
22. You shall take every care for cleaning the working site from time to time for easy access to work site and also from safety point of view. Housekeeping shall be your primary responsibility and shall not occur by
default.
23. The quantities shown under 'Scope Statement' in the 'Work Order' are approximate and are liable to wide variations and any variation shall not entitle you to any escalated rates in respect of any item of work on
account of increase/decrease in scope of work etc.
24. If the Engineer-in-charge feels at any time that you are not executing the works to match the stipulated time-schedules or not executing the works according to drawings, specifications, instructions he shall have
full authority to cancel the work order outright without assigning any reasons and get the balance works executed by engaging other agencies at your risk and cost. Excess expenditure incurred in the process shall be
deducted from your payable sums. The assessment of the Engineer-in-charge regarding excess expenditure incurred shall be final and binding on you.
25. M/s Ramky Srisairam Properties Pvt. Ltd., reserves the right to cancel this 'Work Order' at any time for any reason whatsoever and in such an event, you shall not be entitled to any compensation on any account
whatsoever.
26. You shall adhere to safe construction practices and guard against hazardous and unsafe working conditions to the full satisfaction of the Engineer-in-charge.
27. Any additional/extra items of work not covered under the 'Work Order' but become inevitable to be executed, as deemed necessary by the Engineer-in-charge, shall be carried out by you on mutually agreed
rates.
28. You shall be solely responsible for the safety of your employees, workmen and liability of their total security and safety wholly rests with you. M/s Ramky Srisairam Properties Pvt. Ltd shall in any event be not
responsible for the same. You shall also be solely responsible for all other damage to any property arising out of and incidental to your negligent or defective workmanship. M/s. Ramky Srisairam Properties Pvt. Ltd
reserves the right to recover from your bills/payable sums any expenditure incurred by us on account of your failure to comply with any statutory requirements. The decision of the Project Manager in assessing the
recoverable sum from you in any such occurrence shall be final, conclusive and binding on you.
29. In the event of any accident causing injury resulting into partial or total disability or even causing death, you shall be totally responsible and shall absolve RSPPL from all damages or expenses related to it.

GENERAL CONDITIONS OF CONTRACT

30. In case of indiscipline, misbehavior with consultant, client or any RSPPL representative by any of your employees, the same shall result in immediate discharging of the concerned employee from the site of works
& RSPPL shall not be responsible for any cost or damages in that eventuality.
31. Persistent disregard of instructions from RSPPL Project Manager shall be treated as indiscipline and the Project Manager shall hold the right to terminate this work order without prejudice and right to execute the
balance items of works by engaging a third party at your risk and cost.
32. Materials as detailed in the 'Work Order' requiring incorporation into the work shall be issued free of cost at our Project Stores. You have to make your own arrangements at your own cost for transportation of the
same. You shall be solely responsible for proper storage, safe custody and proper accounting of the same.
33. Serviceable materials left surplus with you after completion of the work, other than waste and cut pieces, which will not be taken back being unserviceable, shall be returned by you to our Project Stores in sound
condition at your cost. To ascertain whether an item to be returned is 'serviceable' or 'unserviceable', the decision of the Project Manager shall be final and binding on you.
34. If any of the conditions contained herein contradict with the 'Special Conditions of Contract', the condition as stipulated in the 'Special Conditions of Contract' shall prevail.
35. No Director or official or employee of M/s Ramky Srisairam Properties Pvt. Ltd., shall in any way be personally bound or liable for the acts or obligations under this 'Work Order' or answerable for any default or
performance of the acts, matters or things which are herein contained.
36. You shall submit Permanent Account Number, for TDS purposes and labour license before commencement of the works to the Project Manager.
37. In case of any disputes regarding meaning and intent of any specifications, terms and conditions etc., the same shall be referred to the Managing Director of M/s Ramky Srisairam Properties Pvt. Ltd., whose
decision shall be final and binding on both the parties.
38. The Contractor shall indemnify RSPPL
a) To comply with the provisions of Payment of Minimum Wages Act, 1948, Workmen's Compensation Act, 1923, Employees State Insurance Act, 1948 and all other Acts those are applicable to this Work Order.
b) Any losses / claims / damages on account of 38 (a) above.
c) For abiding by all Laws of the Government enacted time to time and shall maintain all registers and records as required under these Acts and also in respect of any claims thereof including payment of wages.
d) Against any losses / claims / injuries / partial or total disability / death of his own workmen.
e) Against any losses / claims of third party or damages to any property within the premises.
f) To ensure proper behaviour, safety and security of his workmen / employees and to exercise proper control over his workmen to ensure that none of them vitiates the work environment by resorting to illegitimate
activities, thefts etc.
39. Jurisdiction: Courts at Hyderabad (A.P) Only.
