Dear Sir/Madam,

Please refer to your request for a loan facility from Quadrillion Finance Private Limited (“Co-Lender 1”
or “QFPL”) and Poonawalla Fincorp Limited (“Co-Lender 2”) (hereinafter referred to as a “Co-Lender”
individually and “Co-Lender(s)” collectively). Based on your request, we are happy to inform you that
we have sanctioned a loan facility subject to the terms and conditions as mentioned below:

15. Penal Charges The penal charges will be calculated in the manner as set out in
the loan terms
(i) The Co-Lenders reserve the right to amend any of the terms of this
letter. In case there is change in the applicable terms, such change
will be communicated to you on your registered email address or
through the portal maintained by QFPL.
(ii) The rate of interest has been determined based on internal risk
gradations of the different categories of borrowers and products
offered by Co-Lenders and after taking into account various risk
factors associated with the credit facility.
(iii) Co-Lenders shall be at liberty to change/ add or alter any of the
terms and conditions of this sanction at its sole discretion and you
shall ensure compliance with all terms and compliance including
the loan Terms.
(iv) This Sanction Letter will form part and parcel of the loan Terms. In
16. Additional terms the event of any inconsistency or conflict between the terms and
conditions of this Sanction Letter and the loan Terms, the terms
and conditions of the loan Terms shall supersede and prevail.
(v) This Sanction letter does not vest in anyone, the right to claim
damages against the Co-Lenders for any reasons whatsoever.
(vi) This Sanction Letter is subject to completion of all pre-
disbursement conditions as required by the Co-Lenders. Co-
Lenders shall have the right to unconditionally cancel the loan
facility or revise or review the conditions and the same shall be
carried out under the sole discretion of the Co-Lender.
(vii) Co-Lenders reserves the rights to anytime assign/sell/transfer the
loan facility amount or any part thereof to each other in its absolute
discretion

This Sanction Letter is subject to the terms and conditions set out in the loan Terms to be executed
between the Co-Lender and you and shall be governed by the terms and conditions contained in the
loan Terms as well as this Sanction Letter. Co-Lenders, however, reserve the right to revoke in part or
in full or withdraw/ stop financial assistance or to amend any of the terms of the Sanction Letter

I/we confirm that I / we have read and understood or have been explained in detail / communicated
the contents of this Sanction Letter in a vernacular language or in a language understood by me / us. I
/ we confirm that along with the terms of this Sanction Letter, the terms and conditions as set out
under the loan terms and other financing documents shall also apply to me/us and I / we agree to
comply with the said terms and conditions.
