NON-DISCLOSURE AGREEMENT (NDA) FOR TERMINATED EMPLOYEES

This Non-Disclosure Agreement (the "Agreement") is entered into on 30th November, 2023
(the "Effective Date"), by and between:

LeadX Nepal Pvt. Ltd. on behalf of Dataq. Inc, ("Former Employer"),

and

Atish Shah ("Former Employee").

Referred to as the "Parties."

WHEREAS, the Former Employee has been employed by the Former Employer and has had
access to certain confidential and proprietary information during their employment;

WHEREAS Former Employee's employment with Former Employer has been terminated,
and Former Employee may still possess or have access to certain confidential information;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties
agree as follows:

1. Definition of Confidential Information

"Confidential Information" shall mean any and all information, whether in written, oral,
electronic, or any other form, which is marked as confidential or which would reasonably be
understood to be confidential by a reasonable person. This includes, but is not limited to,
information related to the Former Employer's business, trade secrets, financial data,
customer lists, and any other proprietary information the Former Employee had access to
during their employment.

2. Non-Disclosure

Former Employee agrees not to disclose, directly or indirectly, any Confidential Information
to any third party or to use the Confidential Information for any purpose other than as
required by Former Employer or as otherwise authorized by Former Employer.

3. Duty of Care

Former Employee agrees to exercise reasonable care in safeguarding the Confidential

Information and to take all necessary precautions to protect it from unauthorized disclosure.

4. Return of Confidential Information

Former Employee shall promptly return all tangible forms of Confidential Information in their
possession and destroy any electronic or digital copies upon termination of their
employment.
5. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the
Government of Nepal.

IN WITNESS WHEREOF, the Parties hereto have executed this Non-Disclosure Agreement
as of the Effective Date.
