INDEPENDENT CONTRACTOR AGREEMENT

This FREELANCE CONTRACT (“The Contract”) in entered into as of this 2 nd December 2023 by and
between Lindsay Blackwood (“The Client”) existing under the law of United State of America with
its head office located at [_] and Suhey Nallely Contreras Rodríguez hereandafter “The Freelancer”,
an individual with their main address located at [_], collectively “The Client” and The Freelancer
shall be referred to as “The Parties”.

RECITALS

1. The parties declare that they have the capacity to contract with full use of their mental
faculties.
2. The parties declare that at the signing of this contract there is no fraud or error with
respect to the terms and conditions of the same.
3. The parties declare that there is no labor relationship between them and therefore it does
not constitute the origin with respect to the payment of employer contributions.
4. The Parties shall bie liable to the other party for any special indirect, damages arising out
of the performance, breach of this agreement, including lost profits, lost sales or other
economic loss.

1. SCOPE OF THE WOKS

The services rendered by the provider will be services in commercial matters and intellectual
property consulting, as well as their respective procedures from which each matter derives.

2. TERM

The contract shall begin as of the date of this Contract and shall be in effect until terminated by
mutual consent expressed in writing, signed by Termination Agreement.

3. PAYMENT

The Client wil pay a compensation to The Freelancer for the services in the amount of $ 500.00
USD. This compensation shall be payable in a lump. NO other fees will be paid to the Freelancer.

The client will pay for the services rendered the amount of 10 dollars per hour for consultation
services. Also the parties agree that per matter before the court will be paid the equivalent of 10%
of the total value of the matter as follows:

a) 5% will be paid at the beginning of the procedure and the remaining 5% will be paid at the
end of the procedure before the court.
b) If the resolution of the proceeding is favorable to the client, 5% will be paid upon receipt of
the judgment.

4. CONTRACTOR RELATIONSHIP

The Parties agree and understand that they are creating an independent contractor relationship,
and The Parties shall not be consider an employee contract.
The freelancer is not entitled to receive or participate in any medical, vacation, payroll taxes,
unemployment insurance and health benefits. The freelancer is exclusively responsible for all taxes
and any others sttuory benefits otherwise required to be provided to employees, required por the
performance of the services hereunder.

This Agreement shall not prohibite the Freelancer for performing services fot other companies or
clients, however, during the term of this contract.

5. COMUNICATIONS

The communication between The Parties must notify any change at least ninety days prior to the
schedule date of change.

6. NON COMPETE

There shall be no Non-Compete established in this Agreement. During the term of this Agreement,
The Parties understands that will be subject to learning proprietary information, including trade
secrets, which could be applied to competitors of The Parties.

This Non-Compete shall be in effect during this Agreement. This Section shall be applied to the
Parties, directly or indirectly, any competitive industry. This includes, but is not limited to:

a.) Communicating with related business owners, partners, members, officers, or agents;

b.) Being employed by or consulting any related business;

c.) Being self-employed in a related business; or

d.) Soliciting any customer, client, affiliate, vendor, or any other relationship of The Parties.

7. ENTIRE AGREEMENT.

This Agreement, along with any attachments or addendums, represents the entire agreement
between the parties. Therefore, this Agreement supersedes any prior agreements, promises,
conditions, or understandings between The Parties.
