Dear ALL PARTIES OF INTEREST:

THIS LETTER OF INTENT, made this ______day of _____________________ executed by and between

Jackson, Mississippi 39206. BOTH, SELLER and BUYER agree to this LETTER OF INTENT under the provisions of
the attached Purchase Agreement.

Vic Placer, 333 Lynn Avenue, Jackson, Mississippi 39206 executes this Letter of Intent to state his intentions to purchase
and develop the aforementioned properties for the specified land use of “The Project” – Medical Marijuana Cultivation Facility
and Dispensary Facility of Medical Marijuana (Cannabis) under the jurisdiction of the STATE OF MISSISSIPPI, herein described as
the “Project”.

In consideration of this LETTER OF INTENT, SELLER herein agrees to sale BUYER property address
