MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement was made and executed at the City of

Iloilo, Philippines, this day of ______________________, by and between:

JOSE B. PACUMBA, JR. and FELIZARDO L. PACUMBA, both of legal

age, Filipino and residents of Borongon, San Dionisio, Iloilo, Philippines,
hereinafter referred as the FIRST PARTY;

-AND-

MILALYN E. VILLANIS, of legal age, Filipino, married and resident of

Iloilo City, Philippines, hereinafter referred to as the SECOND PARTY;

WITNESSETH; That

WHEREAS, the FIRST PARTY by virtue of the Deed of Adjudication

dated August 18, 2018, docketed as Do. No. 289; Page No. 57; Book No
LVIII; Series of 2018 and entered in the Notarial Register of Notary Public,
Atty. Allain Ross B. Sumile, are the co-owners of Lot 4, covered by Original
Certificate of Title No. F-853, with a total area of 49,907 square meters,
more or less;

WHEREAS the FIRST PARTY offered to sell their property through their
agent the SECOND PARTY herein, and the latter agreed under the following
terms and conditions:

1. That the true selling price of the FIRST PARTY is Four Million Five
Hundred Thousand Pesos (P4,500,000.00) only NET. All expenses necessary
and incidental to process the transfer of the title into the name of the BUYER
shall be for the account of the BUYER or the agent herein;

2. That the SECOND PARTY may increase or make a mark up to the

price of the FIRST PARTY. Any amount in excess of the P4,500,000.00 shall
belong to the SECOND PARTY and the FIRST PARTY is obliged to turn over to
the SECOND PARTY any proceeds representing marked up from the selling
price. Moreover, the agent herein is no longer entitled to any commission
from the FIRST PARTY.

3. That this agreement is binding between the parties, their heirs or

successor’s in interest.

IN WITNESS WHEREOF, parties herein affixed their signatures on the

date and place above written.
