C & F AGENCY AGREEMENT


This Carrying and Forwarding Services Agreement (“Agreement”) is made on 29TH Nov 2022 at CUTTACK

By and Between

ASSURED PETRO SPECIALITIES PVT. LTD, a company incorporated under the Companies Act, 2013, having its
registered office address at Plot No- 581/1137, 2 nd Floor, Gopinath Nilayam, Suryabihar, Lane-1, Link Road, Po-
Arunodayanagar, Cuttack-753012, Odisha (hereinafter referred to as the “TRUSTROL LUBRICANTS”, which expression
shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors-in-interest and
permitted assigns) of the FIRST PART;

And
M/s Sukhadha Enterprises, D. No-5-1-330, 1st floor,, Main Road, Gandhi Chowk-522601, Guntur, AP,of their signing
authority- (Partner) Mr. Ayenavolu Venkata Badarinath

Residence Address of, Mr. Ayenavolu Venkata Badarinath S/O- Koti Subba Rao, 202-Tapaswini residency,
Rickshaw Centre, Burnpet, Narasaraopet-522601, Palanadu Dist, AP, An Indian Inhabitant carrying on the business in
the name and style of M/s Sukhadha Enterprises, D. No-5-1-330, 1 st floor,, Main Road, Gandhi Chowk-522601,
Guntur, AP, and having its principal place of business for AP & Telengana STATES (godown address should share shortly)
(hereinafter referred to as the “C&F”, which expression shall, unless repugnant to the context or meaning thereof, be
deemed to mean and include their respective heirs, executors, administrators and permitted assigns) of OTHER PART .

ASSURED and the Agency shall hereinafter be individually referred to as a “Party” and together the
“Parties”.

WHEREAS

1. ASSURED desires to appoint an Agent to operate their owned godown situated at- AP.Areas
which cater and communication from their Gandhi Chowk office. And to store as a bailee, the
Products owned by ASSURED (hereinafter referred to as “ASSURED Products”), for delivery
according to ASSURED’s instructions from time to time;

2. `The Agency’ is a Partnership firm (defined hereafter) and has confirmed that the godown having
required space can be used and is fit for this purpose in accordance with the prevailing
statutory laws and the Agency is desirous of offering to ASSURED their services to operate
the godown according to ASSURED instructions issued from time to time.

NOW THEREFORE in considerations of the mutual covenants, terms and conditions and
understandings set forth in this agreement, the parties hereto declare, affirm and agree as follows:

1(a) The following definitions apply unless the context requires otherwise:

Agreement means this Agreement including the Annexure(s)

‘ASSURED Products’ means brands of Lubricants, Greases, Coolants, Brake Fluids, Battery,
Inverter and Specialty Industrial Lubricants owned/marketed by ASSURED PETRO.
‘Confidential Information’ means: (a) any and all information of whatsoever nature
(whether oral, written or in any other form) relating to ASSURED PETRO its business or
operations provided by or on behalf of ASSURED PETRO to the Agency whether before or
after the date of this Agreement in connection with the performance by the Agency of its

obligations under this Agreement and (b) any and all of the terms and conditions of this
Agreement.
‘Laws’ include any requirement of any statute, rule, regulation, ordinance or by-law present
or future, and whether local, state or Central.
‘Representatives’ means directors, managers, officers, employees employed by, and
agents, consultants and agents engaged by a Party.
1(b) Headings are for convenience only and do not affect interpretation. The following rules of
interpretation apply unless the context requires otherwise:

i. Where a word or phrase is defined, its other grammatical forms have a corresponding
meaning.
ii. A reference to any party to this Agreement or any other agreement or document
includes the party's successors and substitutes or assigns.
iii. A reference to a person, corporation, trust, partnership, unincorporated body or other
entity includes any of them.
iv. Unless stated otherwise, one provision does not limit the effect of another.

v. All obligations are taken to be required to be performed duly and punctually.

vi. The Schedules form a part of and shall be construed as one with this Agreement and
the expression ‘Agreement’ shall include the schedules hereto.

2. ASSURED PETRO hereby appoints the Agency on a non-exclusive basis to provide and
operate the godown to store the ASSURED PETRO Products as bailee for delivery and the
Agency accepts such appointment, on the terms and conditions set out in this Agreement.

3. The Godown (presently approx 2000 sq ft) is situated at Narasaraopet which address should
be in separate annexure-1 shall hereafter be
Referred to as the “Godown” and shall be utilised for the purpose of receiving,
Storage and dispatch of goods to be sold by ASSURED PETRO

4. The Agency shall clear without any delay the ASSURED PETRO Products consigned to the
Agency/ ASSURED PETRO’s Godown as aforesaid immediately upon being called upon
to do so by ASSURED PETRO from time to time. Any demurrage arising out of delay in
clearing the ASSURED PETRO Products will be borne by the Agency. At the time of
receiving the ASSURED PETRO Products, the Agency shall indicate in writing the
shortages/damages in respect of the ASSURED PETRO Products, if any, in the
acknowledgement given to the carrier and shall obtain short delivery / loss / damage
certificate from the carriers. A copy of the same should be forwarded to ASSURED PETRO
immediately without any delay for records and necessary action.

5. After clearing the ASSURED PETRO Products from the carriers, the Agency shall store the
ASSURED PETRO Products in the Godown and the Agency shall organise storage space for
the ASSURED PETRO Products to be sent by ASSURED PETRO or its authorized vendors
including the third party manufacturers of lubricants from time to time. For this purpose the
Agency shall maintain the said Godown in a good and safe condition and the godown shall
be duly licensed. The Agency shall ensure that ASSURED PETRO Products are always
carefully and neatly stacked in the godown as per the standard set by ASSURED PETRO
from time to time.

6. The Agency shall comply with the procedure set out by ASSURED PETRO from time to time
for Godown management and the Agency shall be liable to ASSURED PETRO for any loss
incurred by ASSURED PETRO on account of such non-compliance.

7. The Agency shall put up such signboard at such places as may be required by ASSURED
PETRO to indicate prominently that the ASSURED PETRO Products are sole and
exclusive property of ASSURED PETRO

8. All costs in relation to and incidental to the maintenance and repair of the Godown including
but not limited to rent, repairs and maintenance, Municipal or any other taxes, water and
electricity charges etc. shall be borne by the Agency.

9. The stocks of ASSURED PETRO Products consigned to the Agency/ ASSURED


PETRO’s go down shall be held by the Agency in trust for ASSURED PETRO as a bailey
and the Agency shall not create any lien, charge or encumbrance in favour of a third party
over such ASSURED PETRO Products. The Agency shall not add any other goods or
products to ASSURED PETRO Products. The Agency shall be responsible for the safety of
the ASSURED PETRO Products while in his custody and shall make good to ASSURED
PETRO and indemnify ASSURED PETRO against any loss or damage that may be caused
or occasioned to the ASSURED PETRO Products for any reason whatsoever, including loss
or damage by reason of bad storage and rough handling thereof or in consequence of any
misconduct or negligence of the Agency’s servants, agents or employees. The Agency shall
on monthly basis assess the condition of the ASSURED PETRO Products lying at the
Godown and if found leaking, shall promptly report to ASSURED PETRO and arrange for
suitable action to avoid loss. ASSURED PETRO shall be entitled to adjust the whole or part
of the amount of loss or damage incurred by it against all amounts payable by it to the
Agency including payment due to the Agency as per annexure ‘A’. In no circumstances shall
the Agency sell, mortgage, hypothecate or otherwise deal in or use the ASSURED PETRO
Products at any time contrary to the terms of the agreement. The Agency will also notify all
his existing bankers by registered A.D. letter that the Agency is forbidden to sell mortgage
hypothecate or pledge the ASSURED PETRO products within 21 days of commencement
of this Agreement. The Agency will send copy/copies of such letter(s) to banker and their
acknowledgment thereof, to ASSURED PETRO. Agency shall immediately inform
ASSURED PETRO as and when a new Bank Account is opened by Agency or any financial
arrangement or other arrangement is entered into with a new bank and a similar notification
regarding the aforesaid restriction on his authority to deal with ASSURED PETRO
products shall be given by Agency to such bank and the Banker’s acknowledgment of the
receipt of such notification shall be furnished to ASSURED PETRO.

10. The Agency shall keep and maintain all records pertaining to the GST and other statutory
records and such other records as required by ASSURED PETRO and produce them for
the specified purposes to the relevant authorities upon demand. The submission of GST
Return to the authorities and payment of GST upon receipt of the amount from ASSURED
PETRO shall be the Agency’s responsibility wherever applicable. The Agency shall also
liaise with the GST and other authorities for obtaining the relevant GST declaration forms/
Entry permits and keeps records to show the utilization of these to the concerned authorities
wherever applicable. These records shall however be the property of ASSURED PETRO
and shall have to be produced/handed over to Assured Petro as and when desired. The
Agency shall be responsible for furnishing and submission of all requisite documentation to
the appropriate authorities including GST forms for all the stock transfer between the depots.
The Agency shall indemnify ASSURED PETRO against all claims/liabilities against
ASSURED PETRO arising on account of any failure by the Agency to conform, comply,

furnish and maintain the pertinent records/ documents or failure in complying with the
procedures prescribed by the applicable law.
11(a) The Agency shall forward the ASSURED PETRO Products in ASSURED PETRO’s name
without delay, in such quantities and in such manner and to such persons as ASSURED
PETRO shall instruct the Agency to do from time to time. Unless otherwise advised by
ASSURED PETRO, Agency shall forward the ASSURED PETRO Products and upon
prior approval of ASSURED PETRO on “first in first out” basis. The Agency shall forward
the ASSURED PETRO Products only against ASSURED PETRO’s delivery advice to be
signed by the persons authorized by ASSURED PETRO. The Agency must advise
ASSURED PETRO if insufficient instructions have been received. Otherwise, it shall be
deemed that the Agency understands and agrees to comply with all instructions given to it by
ASSURED PETRO.

11(b) the transportation of ASSURED PETRO products from the Godown shall be only through
transporters and under transportation arrangements approved by ASSURED PETRO.

11(c) In case transportation is being arranged by the customer, an authorization letter from the
customer stating the vehicle number, driver’s name and his attested signature should be
obtained prior to dispatch of material. Despatch in such cases shall be done after getting the
prior approval from ASSURED PETRO. Once the material has been loaded, receipt
acknowledgement from driver should be taken on the authorization letter and filed for record
purposes.

11(d) The Agency agrees to dispatch the ASSURED PETRO Products in their original packings
and under their original trade marks, trade brands or trade names and without the addition
of any other trade marks, trade brands or trade names and such original marks, brands or
names shall be retained on the ASSURED PETRO Products until delivery to the buyer.

12. All amounts payable to ASSURED PETRO by customers towards payment for the
ASSURED PETRO Products sold to them shall be deposited as per the arrangements advised
by ASSURED PETRO to the Agency from time to time. The Agency shall forward all the
payment and deposit details alongwith relevant invoices to ASSURED PETRO immediately
upon receipt of the payment as per the procedure prescribed to the Agency by ASSURED
PETRO from time to time. A copy of all invoices raised by the Agency shall be forwarded to
ASSURED PETRO at the end of each week. It shall be the responsibility of the Agency to
make deliveries only after receipt of the payment in full either through a RTGS /NEFT or
Demand Draft as per the instructions of ASSURED PETRO, unless otherwise specifically
stated in writing by ASSURED PETRO. Deliveries against credit or post dated cheques, the
Agency needs to have the prior written approval from ASSURED PETRO’s authorized
person as confirmed in writing from time to time. Any delay in deposit of cheque/draft by
the Agency, without prior approval from ASSURED PETRO, would result in a penalty as
appropriate.

13. The Agency shall send to ASSURED PETRO on the last day of each month a set of reports
in the form prescribed by ASSURED PETRO giving particulars of the ASSURED
PETRO Products forwarded by the Agency during the prescribed month and other relevant
details as advised by ASSURED PETRO from time to time.

14. The Agency shall keep appropriate records of the ASSURED PETRO Products received
and cleared / forwarded by the Agency, expenses incurred by the Agency in connection with
the performance of the services and such other records as may be reasonably required by
ASSURED PETRO. The Agency shall produce all records to ASSURED PETRO for
inspection as and when required by ASSURED PETRO and shall be furnished to
ASSURED PETRO by the 3rd day of the immediately following calendar month.

15. The Agency shall allow and provide all reasonable opportunities to ASSURED PETRO
representatives to visit and inspect the Godown and among other things to count the stocks
of the ASSURED PETRO Products physically and to reconcile the same with the stock
records maintained by Agency/ ASSURED PETRO. In case of discrepancy, the Agency
shall make good the shortages and reimburse ASSURED PETRO for any loss thereof.

16. ASSURED PETRO shall have the absolute right to post at its own cost by written notice
to the Agency, one or more persons as its “Designated Person” at the Godown for the
following limited purposes viz.,
i. Check, supervise and inspect the handling of the ASSURED PETRO Products by the
Agency.

ii. conduct an assessment of the Godown and its quality management systems to
determine the level of compliance with ASSURED PETRO standards prescribed for
such Godown;

iii. Any other matters that they may be specified by ASSURED PETRO from time to time.

17. The Agency shall provide suitable office accommodation, office equipment to the Designated
Person(s)/ ASSURED PETRO’s representative at/near the Godown at no extra cost for
ASSURED PETRO if required.

18. In the event the Designated Person(s) is/are not allowed to enter the Godown or is/ are
restrained in any manner to perform his/their duties, ASSURED PETRO shall be entitled to
terminate this Agreement without any notice. In the event of such termination, the Agency
shall immediately cease to handle ASSURED PETRO Products and shall comply with the
requirements of clause 30 (d) as mentioned hereunder.

19. The Agency shall observe and comply with all applicable Central, state and local statutory
laws, rules and regulations and other provisions and regulations relating to the receipt,
storage and handling of the ASSURED PETRO Products and operation of the Godown and
shall indemnify ASSURED PETRO for any claim/loss/damage relating to such receipt,
storage, handling and operation of the Godown. The Agency shall ensure that all business
and operating licenses, certifications and permits issued by competent authorities and any
registrations with the competent authorities in this regard, if applicable (including those for
the use and operation of the godown) are valid and kept current at all times throughout the
duration of this Agreement, and that, authenticated copies thereof are provided to ASSURED
PETRO for verification on every anniversary of the Commencement Date.

20. The Agency shall employ adequate staff of requisite competence and skill required for
discharging all its obligations envisaged herein diligently and efficiently. The Agency shall
keep ASSURED PETRO indemnified and harmless against any claim made by such
employees/third parties against ASSURED PETRO for any amount whatsoever or
otherwise and from all proceedings and costs in respect thereof.

21. The Agency shall be responsible for and pay any compensation to their workmen payable
under the workmen’s Compensation Act, 1923 and 1933 and amendment thereto/ for
injuries, if any, caused to such workmen. The Agency shall be responsible for and pay the
expenses for preceding medical treatment to any workmen who may suffer any bodily injury
as a result of any accident. The Agency shall be liable for all payments to their staff, laborers
and workmen employed. ASSURED PETRO shall in no event be liable or responsible for
any payment arising out of any of the preceding circumstances, and the Agency shall keep
ASSURED PETRO, indemnified against the same and from all proceedings in respect
thereof.

22. The Agency shall not carry any signs, trademarks or advertisements directly or indirectly
representing ASSURED PETRO or its Products or act in any other way as a ASSURED
PETRO agent (or apparent ASSURED PETRO agent) without the prior written consent of
ASSURED PETRO.

23(a). For storing the ASSURED PETRO Products and for rendering the clearing and forwarding
services as above ASSURED PETRO shall reimburse the Agency as confirmed in annexure
‘A’ attached herewith subject to deduction of taxes as applicable from time to time.

23 (b) The above charges shall be payable by ASSURED PETRO to the Agency on the total volume
of the ASSURED PETRO Products cleared from the Agency’s Godown by way of sales or
stock transfers. ASSURED PETRO shall pay the Agency within 30 days from the date of
submission of bills completed in all respect along with all supporting documents by the
Agency. ASSURED PETRO shall not pay the applicable Service Tax over and above these
charges.

24. ASSURED PETRO shall be entitled to set off, deduct and withhold from any sum payable to
the Agency under this Agreement
i. any amount owing by the Agency to ASSURED PETRO under this Agreement or other
arrangements; and
ii. In respect of any disputes or claims whatsoever with or against the Agency.

Payment by ASSURED PETRO shall be without prejudice to any claims or rights which it
may have against the Agency and shall not constitute any admission by ASSURED PETRO
as to the performance by the Agency of its obligations under this Agreement.
25. The Company shall arrange printed stationery, Office Stationary, computer stationery, pre
printed invoice–cum-delivery challan, and similar other items as may be required by the
Agency from time to time and deemed fit by ASSURED PETRO. The Agency shall
provide a computer, printer, and telecommunication facility and trained Computer Operator,
for conducting day-to-day transactions on behalf of ASSURED PETRO.

26. The Agency acknowledges that the ASSURED PETRO Products are of inflammable nature
and that it shall take all necessary steps and precautions and exercise due diligence and
vigilance to ensure the safe receipt, storage and dispatch of the Product, and ensure proper
fire protection arrangements and proper electrical fittings with circuit breakers.

27. In the event of any leakage, fire or any other occurrence or accident involving the
ASSURED PETRO Products, while ASSURED PETRO Products are in the care and
custody of the Agency the Agency shall:

i. take all preventive and remedial measures for recovering and safeguarding at its own
cost the ASSURED PETRO Products in its custody; and

ii. Make such prior arrangements as are necessary to ensure that all equipment or supplies
needed for recovering and safeguarding the ASSURED PETRO Products, as well as
for preventing environmental contamination are available at the scene without undue
delay.

28(a) The Agency shall furnish to ASSURED PETRO upon the signing of this agreement,
a Security Deposit of Rs.20,00,000 (Rupees twenty Lakhs only )by RTGS to Assured
Petro Account as security for securing the due and punctual performance and
observance by the Agency. For Security Deposit ASSURED PETRO will pay Interest
at the rate of 8 % per annum. Interest amount will be settled once in a year. In case of
closure of C&F operation, the Security Deposit will be settled within 30 days from the
date of finalization of accounts.

28(b) The bank guarantee for Rs. 20,00,000 (Rupees Twenty Lakhs only )for each Godown or as
per mutually agreed , which shall:

1) Be irrevocable and unconditional, issued by any nationalized bank in the format


prescribed by ASSURED PETRO

2) Expire on a date falling one month after the Termination Date.

AND

28(c) An undated 3 nos Security Cheques bearing no- of- Bank, Bank Of
Baroda towards the ASSURED PETRO products to be
Maintained at the Godown.

29(a) Notwithstanding any other provision contained herein, ASSURED PETRO shall have the
right at any time by giving notice in writing to the Agency to terminate this Agreement in any
of the following circumstances:

i. immediately, if the Agency (in relation to a company or other corporation which is the
Agency) is unable to pay its debts as they fall due or a petition is presented or a meeting
convened for the purpose of winding up the Agency, or the Agency enters into
compulsory or voluntary liquidation or compounds with its creditors generally or has a
receiver or judicial manager appointed of all or any part of its assets or takes or suffers
any similar action in respect of its debts and (in relation to an individual who is the
Agency) is unable to pay its debts as they fall due or a petition is presented for the
bankruptcy of the Agency, or the Agency compounds with its creditors generally or has
a receiver appointed of all or any part of his property; or

ii. immediately, if there is a merger, combination, consolidation or amalgamation of the


Agency with any other firm or corporation or there is a substantial change in the
ownership or control of the Agency; or

iii. immediately, if the Agency shall have any distress for rent or other seizure under
execution or other legal process made in respect of its assets or undertaking; or

iv. immediately, if the Agency disposes the whole or a material part of its assets or
undertaking; or

v. Upon thirty (30) days’ written notice by ASSURED PETRO to the Agency without
assigning any reason thereof.

29(b) The rights to terminate this Agreement given by this Clause shall be without prejudice to any
other right or remedy of either Party accrued prior to the termination of this Agreement.

29(c) In the event of termination by the Agency, ASSURED PETRO sole liability will not exceed
the audited amounts computed by ASSURED PETRO than due and properly payable for
services rendered up to the effective date of termination of this Agreement.

29(d) upon termination of this Agreement for whatever reason:

i. The Agency shall promptly return, or otherwise dispose of as ASSURED PETRO


may instruct, all materials, documents and other items relating to the business of
ASSURED PETRO which ASSURED PETRO has provided to the Agency. In the
event of such return or disposal, the cost of carriage, insurance, and other charges
incurred in connection therewith shall be borne equally by the Parties;

ii. The Agency shall forthwith return all the ASSURED PETRO Products in its care and
custody to ASSURED PETRO unless ASSURED PETRO otherwise request the
Agency to complete the clearance of such Product, in which event, the Agency shall
complete clearance of such Product subject to all the terms of this Agreement;

iii. The Agency shall immediately refrain, from using the name ASSURED PETRO and
any other trademarks, marks, trade names, brand names or logos that would indicate
or tend to indicate that the Agency held a C&F Agency of the ASSURED PETRO
Products; and

iv. The Agency shall not have any right whatsoever to any indemnification or any claim of
any nature for any reason whatsoever, including but not limited to any severance
payment, or compensation for loss of rights to transport and deliver the Product.

30. Except with the prior consent in writing of ASSURED PETRO, the Agency shall at all time
during the term of this Agreement and after its termination:
i. not use any Confidential Information for any purpose other than the performance of its
obligations under this Agreement; and
ii. not disclose any Confidential Information to any person, other than a person employed
or engaged by the Agency in performing its obligations under this Agreement.

31. Any notice demand or communication to be served on any Party by the other concerning this
Agreement or any matter arising herein shall be in writing and may be served by posting it
by prepaid registered mail or by sending it by facsimile transmission to the address or
number of that Party to be served as stated herein or to such other address or number of that
Party as that Party may notify the other in writing and shall be deemed to have been received
by the addressee on the expiry of Five (5) days from the date of posting if so posted, or if
dispatched by facsimile transmission, on the next working day in the place to which it is so
dispatched after the transmission thereof is confirmed by an activity report stating that the
correct number of pages has been sent and that the transmission is error free (or its
equivalent).

32. Any dispute arising out of or in connection with this Agreement, the construction of
any provision of this Agreement or the rights, duties or liabilities of the Parties hereto under
this Agreement that cannot be amicably resolved by the Parties within fourteen (14) days’
written notice by either Party to the other of the nature of such dispute shall be finally settled
by arbitration as per the provisions of the Arbitration and Conciliation Act, 1996 or any
subsequent enactments or amendment thereto.

There shall be one arbitrator nominated jointly by the Parties and if the Parties fail to agree on
an arbitrator within three (3) days of being requested by to do so, the appointment shall be
made by the Lubricants Business Head of ASSURED PETRO. The award made by the said
arbitrator shall be final and binding on both the Parties. The venue of arbitration shall be at
Mumbai. The arbitration proceedings shall be conducted in English language.

33(a) This agreement shall be governed by construed and enforced in accordance with the Laws of
India and, shall be subject to exclusive jurisdiction of the courts at Cuttack in the state of
Odisha.

34. This Agreement shall be governed by, construed and enforced in accordance with the Laws of
India.

35. This Agreement shall come into force on ( 29/11/2022 ) and (unless earlier terminated
pursuant to Clause) end of (28/10/2023) provided that ASSURED PETRO may, in its sole
option, give prior written notice to the Agency to extend the term of this Agreement on the

The following payouts have been agreed between Assured petro Specialties Pvt. Ltd and
M/s REDIANT DISTRIBUTORS:

Secondary freight & loading & unloading
charges as per actual.
The above mentioned charges shall be applicable with effect from the first day of operation ,

i.e. unloading of the first consignment. In addition to the above:

(a) Freight Charges shall be reimbursed based on the mutually agreed rates finalized with the
Transporter duly approved by the ASSURED PETRO authorized person.

(b) Insurance coverage for Primary/Secondary transportation and Inventory of ASSURED PETRO
Products in the Godown shall be borne by ASSURED PETRO.
(c) For Loading & unloading of materials, an additional charge @ 10 Paisa per ltr. will be paid.
