Terms and Conditions:

1. No amendments (especially, but not limited to, in terms of expected delivery date, quantity, description, prices, or supplier name) can
be made to this Local Purchase Order (“LPO”) without the written agreement of Exeed Aswar Owned By Exeed Industries L.L.C. – Sole
Proprietorship L.L.C. (“Exeed Aswar”).
2. The products and services supplied are exactly as specified in the LPO. They are free from all defects in design, workmanship and
materials. The goods and services are subject to inspection and test by Exeed Aswar, upon product receipt or during/after service
delivery. If the products or services supplied are found defective in any way, Exeed Aswar may reject them, or require the supplier to
correct/replace them free of charge. If the supplier is unable, or refuses, to correct or replace such items within a time deemed
reasonable by Exeed Aswar, Exeed Aswar may terminate this LPO in whole or in part. The supplier bears all risks as to rejected
products and services.
3. A Purchase Order Acknowledgement should be sent to Exeed Aswar’s Procurement Department within five (5) working days of the
date of the relevant LPO, either by email or by fax. If the supplier does not confirm/decline within five (5) working days, the LPO shall be
considered a confirmed order; however, Exeed Aswar may also cancel/amend said order at any time (up to receiving a
confirmation/rejection) within this live five (5) working days period, with or without cause.
4. All communications between the supplier and Exeed Aswar should mention the LPO number.
5. Delivery Notes should be attached to a copy of the LPO, excluding unit and total prices of procured products or services.
6. The supplier shall take comprehensive/full (or similarly sufficient) insurance and ensure that all occupational health and safety
measures are adhered to during loading, transportation and delivery of products or services. Exeed Aswar will not liable, under any
circumstances, for claims related to/resulting from injury to/accident of the supplier’s employees, or damages to the supplier’s products,
in relation to this LPO.
7. Confidentiality: The supplier undertakes to treat all information it receives from Exeed Aswar in strict confidence, and neither to
disclose, or release in any manner, such information to any third party; nor to use such information for any other purpose than the one
for which Exeed Aswar has disclosed it to the supplier.
8. Exeed Aswar has the right to terminate this LPO in case of the supplier’s bankruptcy, or in case of any negative (by reasonable
standards) behavior by the supplier’s employees.
9. Exeed Aswar may terminate any order without liability, by giving the supplier written notice, if the Supplier is in breach of these
general terms and conditions of this order.
If an order/the material is not delivered on the specified delivery date (or has only been partially delivered without Exeed Aswar’s prior
written consent), the Supplier shall be in breach of the terms and conditions of that specific order; and without limiting any other rights or
remedies, Exeed Aswar may: 1) Refuse any subsequent delivery attempt, of the order; and 2) Obtain substitute products/services from
another source, and then recover (from the supplier) any reasonably incurred costs and expenses it incurs in obtaining such substitute
product or service.
10. The agreed unit rates in this LPO shall be fixed for the entire quantity, and shall not be subject to price escalation nor market
fluctuations.
11. As applicable, the supplier shall ensure that the products are properly packaged, loaded and transported to those premises or
locations (sites) assigned/specified by Exeed Aswar.
12. Warranty: The supplier warrants (to Exeed Aswar) that goods supplied under this LPO are free from defects in material,
workmanship and design, suitable for the purposes intended, in compliance with all applicable specifications, and free of any liens or
encumbrance in title. All services are performed, in accordance with current sound and generally accepted industry practices, by
qualified personnel trained and experienced in the appropriate field.
14. Governing Law and Jurisdiction: This LPO is governed by the Laws of Abu Dhabi, United Arab Emirates. Any dispute arising
herefrom shall be referred to the relevant Abu Dhabi court, for resolution.
