Hii Agency, having its office at C7, Sainandan Society, Sahakar Nagar 2, Pune- 411009

(hereinafter referred to as “Agency”) of the ONE PART;

And

Aussan Laboratories India Pvt Ltd has its office at <Client address>. (hereinafter referred to as

“Client”) of the OTHER PART

1. BACKGROUND

Hii Agency has expertise in creating social media marketing and research services. Hii Agency

operates a service based on this system, which can be provided to Aussan Laboratories India

Pvt Ltd.

Hii Agency will develop Social Media Marketing and Social Media Research for Aussan

Laboratories India Pvt Ltd. Against this background, the Parties have agreed to the following

terms.

For the period of __________, a Social Media Campaign will be built for Aussan Laboratories India

Pvt Ltd on Instagram, Facebook, Twitter, and YouTube.

To provide, via Hii Agency:

● Social Media Management

● Content for Social Media Management

 ● Designs & Videos for Social Media Management

● Paid Social Media Campaign Execution

● Marketing Consultation

Hii Agency has the right to bill additionally, upon mutual agreement, for any application

development, meetups, paid ads, photoshoots, videography, or any additional services based on

a proforma and email approval from Aussan Laboratories India Pvt Ltd.

2. GENERAL CONDITIONS

The Service supplied under this Agreement shall be subject to Hii Agency’s general terms and

conditions as set forth in (“Terms & Conditions”).

3. REMUNERATION / INVOICING AND PAYMENT TERMS

The cost for Social Media Management will be 50,000 plus applicable Tax per month to be paid

within <mention agreed upon duration – can be 10 days to 90 days period>

4. TERMS & CONDITIONS

These terms and conditions constitute an agreement between you and Hii Agency.

● Point of Contact:

○ The client shall appoint a designated point of contact responsible for all

communication regarding information, fact verification, schedule, future

campaigns, needs, and approval of design and content.

● Post Frequency:

○ The agency agrees to create and publish 24 posts per month, as outlined in the

agreed-upon social media strategy. Any deviations from this plan will be

discussed and mutually agreed upon by both parties.

● Content Approval:

○ No content shall be posted without the explicit approval of the client.

● Information and Media Provision:

○ The client agrees to supply all necessary product information, industry-related

data, stock images pertaining to the product, as well as product photos and

videos. Any photo or video shoots required will be chargeable, subject to prior

budget approval by the client.

● Content License:

○ The agency grants the client a non-exclusive, royalty-free, and worldwide license

to utilize any content created by the agency for the entire duration of this

agreement.

● Intellectual Property Ownership:

○ The client retains full ownership of all intellectual property rights, including but

not limited to content, images, videos, and graphics, provided to the agency for

marketing purposes.

● Office Meetings on Request:

○ The client and agency agree that in-person meetings at the client's office, each

lasting for a maximum of two hours, will be conducted on request from the client.

Prior intimation of the meeting schedule will be provided by the client at least one

day in advance. The agency will not be held responsible for visiting the client's

office in the absence of a specific request. These meetings, when scheduled, will

serve as an opportunity to discuss ongoing strategies, address any concerns,

and ensure alignment on project goals.

The Retainer amount is subject to increment if the Scope of Work or Duration increases beyond

the deliverables or expectancy.

Aussan Laboratories India Pvt Ltd shall notify the Hii Agency in writing one(1) month in advance

whenever they would like to discontinue the engagement and vice versa. In case of termination,

Aussan Laboratories India Pvt Ltd will pay the amount invoiced till the termination date to Hii

Agency

Any notice given by one party to the other pursuant to this Contract shall be sent to the other

party in writing or by fax and confirmed in writing to the other party’s specified address. The

same has to be acknowledged by the receiver in writing.

In cases of dispute, claim & legal action arising out of the contract, the parties shall be subject

to the jurisdiction of courts in Mumbai (India) only.

5. REPRESENTATION AND WARRANTIES –

Hii Agency hereby represents, undertakes and warrants that the services provided by Hii Agency

under this Agreement do not violate/infringe, or shall not at any time during or after this

Agreement violate/infringe the intellectual property rights of any third party IN WITNESS

WHEREOF the parties hereto have hereunto set their hands as on the date of this Agreement:
