NON-CIRCUMVENTION, NON-DISCLOSURE WORKING AGREEMENT &

IRREVOCABLE MASTER FEE PROTECTION AGREEMENT

According to the International Chamber of Commerce (REF. ICC 619/664)

This Agreement is intended to conform to the terms and conditions outlined in INCO'TERMS
2000 and its latest revisions (2010) and to the legal standards and principles of the International
Chamber of Commerce (I.C.C.) Paris France, which Chamber is recognized as the agency
establishing the jurisprudence respecting matters of international commerce.
Whereas,the undersigned parties are mutually desirous of doing business with respect to the
arranging, consulting, selling and buying and in cooperation with one another and with third
parties for their mutual benefit. The documents which are going to follow this agreement like
letters of intent, full corporate offers, bank comfort letters, contract terms and conditions,
banking details or pre-advised payment instruments and/or any information contained in such
documents will not be passed, under any circumstance, onto another intermediary or broker or
trader or whatever company or private persons who are not end buyers or end suppliers without
prior specific written consent of the party(s) providing such information.

This agreement is made and entered into on this date, shall obligate the undersigned parties and
their partners, associates, employers, employees, affiliates, subsidiaries, parent companies, any
nominees, representatives, successors, clients and assigns hereinafter referred to as “The
Parties” jointly severally, mutually and reciprocally for the terms and conditions expressly state
and agree to below, and that this agreement may be referenced from time to time in any
document(s), or written agreements, the terms and conditions of this agreement shall apply to
any exchange of information written or oral involving financial information, personal or corporate
names, contracts initiate by or involving the parties and any addition, renewal, extension,
rollover amendment, renegotiations or new agreement hereinafter referred to as “The
Transaction” (Project/Transaction) for the purchase of all commodities, products, Equipment.

NO CIRCUNCION, ACUERDO DE TRABAJO DE NO DIVULGACIÓN Y

ACUERDO IRREVOCABLE DE PROTECCIÓN DE LA CUOTA MASTER
Según la Cámara de Comercio Internacional (REF ICC 619/664)

El presente Acuerdo tiene por objeto cumplir con los términos y condiciones descritos en
INCOTERMS 2000 y sus últimas revisiones (2010) y con las normas y los principios jurídicos de
la Cámara Internacional de Comercio (ICC) de París Francia, que la Cámara es reconocida como
la agencia el establecimiento de la jurisprudencia respetando materia de comercio internacional.
“Las Partes” abajo firmantes están mutuamente de acuerdo en hacer negocios en lo que
concierne al arreglo, venta y compra y en la cooperación entre ellos y con terceros para su
beneficio mutuo. Los documentos que van a seguir este acuerdo así como las cartas de
intención, ofertas corporativas, condiciones de contrato, depositando detalles o instrumentos de
pago y/o cualquier información contenida en tales documentos no serán pasados, en ninguna
circunstancia, a otro intermediario o agente de bolsa o comerciante o a personas privadas que
no sean compradores finales o proveedores finales sin el consentimiento previo específico y por
escrito de “Las Partes” que proporciona tal información.

Este acuerdo establecido y firmado en esta fecha, obligará a las partes firmantes y a sus socios,
patrones, empleados, afiliados, filiales, empresas familiares, cualquier candidato,
representantes, sucesores, clientes denominados de aquí en adelante como "Las Partes "
conjuntamente y/o por separado, para los términos y condiciones expresamente declaradas y
acordadas a continuación, y que este acuerdo puede ser referenciado en cualquier documento, o
acuerdos escritos; los términos y las condiciones de este acuerdo se aplicarán a cualquier
cambio en la información escrita u oral relativa a la información financiera, personal o nombres
de empresa, contratos iniciados por o la implicación de las partes y cualquier adición,
renovación, extensión, enmienda, renegociaciones o nuevo acuerdo denominado de aquí en
adelante como "la Transacción"

AHORA, POR LO TANTO, SE ACUERDA

The intending parties hereby legally, and irrevocably bind themselves into guarantee to each
other that they shall not directly or indirectly interfere with, circumvent or attempt to
circumvent, avoid, by-pass or obviate each other’s interest or the interest or relationship
between “The Parties” with procedures, seller, buyers, brokers, dealers, distributors, refiners,
shippers, financial instructions, technology owners or manufacturers, to change, increase or
avoid directly or indirectly payments of established or to be established fees, commissions, or
continuance of pre- established relationship or intervene in un-contracted relationships with
manufacturers or technology owners with intermediaries entrepreneurs, legal counsel or initiate
buy/sell relationship or transactional relationship that by-passes one of “The Parties” to one
another in connection with any ongoing and future transaction or project.

Por la presente, las partes, legalmente, e irrevocablemente se comprometen en la garantía el

uno con el otro (s) que ellos directamente o indirectamente no interferirán con, engañarán o
intentarán engañar, evitar, obviaran el interés de otros o la relación entre "Las Partes" usando
procedimientos, vendedores, compradores, agentes de bolsa, distribuidores o intermediarios
para cambiar, aumentar o evitar directamente o indirectamente los pagos establecidos,
comisiones, o la continuación de relación preestablecida o intervenir en relaciones no contraídas
con intermediarios, iniciar relaciones de compra/venta o la relación transaccional que evite u
omita a una de "Las Partes" en relación con cualquier transacción en curso, futura o en

“The Parties” irrevocably agree that they shall not disclose or otherwise reveal directly or
indirectly to a third party any confidential information provided by one party to the other or
otherwise acquired, particularly contract terms, product information or manufacturing
processes, prices, fees, financial agreement, schedules and information concerning the identity
of the sellers, producers, buyers, lenders, borrowers, brokers, distributors, refiners,
manufacturers, technology owners, or their representative and specifically individuals names,
addresses, principals, or telex/fax/telephone numbers, references product or technology

information and/or other information advised by one party(s) to be one another as being
confidential or privileged without prior specific written consent of the party(s) providing such
information.

"Las Partes" irrevocablemente acuerdan que ellos no revelarán directamente o indirectamente

precios, honorarios, acuerdos financieros, información concerniente a la identidad de los

distribuidores, fabricantes, propietarios de tecnología, o sus representantes y expresamente
Nombres de personas, direcciones, o números de télex/fax/teléfono, correo electrónico, y/o otra
información proporcionada por una de las partes a otra de “Las Partes” de carácter confidencial
o privilegiado sin el consentimiento previo específico escrito de la parte que proporciona tal
información.

Commissions, fees, compensation or remuneration to be paid as part of transaction covering

“The Parties” to this agreement, shall be agreed upon by separate written agreement by “The
Parties” concerned and shall be paid at the time such contract designated, concluded or monies
changing hands between buyers and sellers, unless otherwise agreed among “The Parties”.

“The Parties” hereby irrevocably and unconditionally agree and guarantee to honor and respect
all such fees and remuneration, arrangements made as part of a commission transaction even in
the event that “The Parties” are not an integral member to a specific commission and fee,
remuneration agreement. ACUERDO PARA NO DAR INFORMACI

Las comisiones, honorarios, compensaciones o remuneraciones que deban ser pagadas como parte de la
transacción que cubre a "Las Partes" en este acuerdo, serán convenidos por escrito en un acuerdo
separado por "Las Partes" afectadas y serán pagados en el tiempo designado en el contrato, al finalizar
la entrega de dinero entre compradores y vendedores, a menos que se convenga otra cosa entre "Las
Partes".

Por la presente, "Las Partes", irrevocablemente y sin condiciones están de acuerdo con
garantizar, honrar y respetar tales honorarios y disposiciones de remuneración hechas como la
comisión de una transacción aún en el caso de que "Las Partes" no sean un miembro integral
en el acuerdo de remuneración.
AGREEMENT
AGREEMENT TO INFORM

In specific deals where one of “The Parties” acting as an agent allows the buyers or buyer’s
mandate, and the seller to deal directly with one another, the agent shall be informed of the
development of the transactions by receiving copies of the correspondence made between the
buyer or buyer’s mandate and the seller.

ACUERDO PARA
 TERM

This agreement shall be valid for Five (5) years commencing from the date of this agreement.

This agreement has an option to renew for a further period of five (5) years subject to and upon
the terms and conditions agreed between both parties.

This agreement shall apply to:

➢ All transactions originated during the term of this agreement.

➢ All subsequent transactions that are follow up, repeat, extended or renegotiated
transactions of transactions originated during the term of this agreement.

En operaciones específicas donde una de "Las Partes" actuando como un agente permite que, los
compradores o bajo el mandato de los mismos, y el vendedor contacten directamente entre ellos, el
agente deberá ser informado del desarrollo de las transacciones recibiendo copias de la
correspondencia hecha entre el comprador o el mandatario del comprador y el vendedor.

PLAZO

Este acuerdo tendrá una validez de cinco (5) años a partir de la fecha del presente acuerdo. Este
acuerdo tiene una opción para renovar por un nuevo período de cinco (5) años a reserva y en los
términos y condiciones que se acuerden entre ambas partes.

Este acuerdo se aplicará a:

←Todas las transacciones se originaron durante la vigencia de este acuerdo.

← Todas las transacciones que son el seguimiento, repito, las transacciones de las transacciones
extendidas o renegociados se originaron durante la vigencia de este acuerdo.

ARBITRATION
ACUERDO

All disputes arising out of or in connection with the present contract shall be finally settled under the
rules of arbitration of the “International Chamber of Commerce (ICC)” by one or more
“Arbitrators” appointed in accordance with the said rules.

Every award shall be binding on “The Parties” and enforceable at law.

By submitting the dispute to arbitration under these rules, “The Parties” undertake to carry out
any award without delay and shall be deemed to have waived their right to any form of recourse
insofar as such waiver can validly be made.

Each of “The Parties” subject to the declared breach shall be responsible for their own legal
expenses until an award is given or settlement is reached, provided however, “That Party” found in
default by “The Arbitrator(s)” shall compensate in full the aggrieved party its heirs, assignees
and/or designs for the total remuneration received as a result of business conducted with “The
Parties” covered by this agreement, plus all its arbitration costs, legal expenses and other charges
and damages deemed fair by “The Arbitrator(s)” for bank, lending institutions, corporations,
organizations, individuals, lenders, or borrowers, buyers or sellers that were introduced by the named
party, notwithstanding any other provisions of the award.

Todas las discusiones originadas o relacionadas por el presente contrato serán observadas conforme
a las reglas de arbitraje de la "Cámara del Comercio Internacional (ICC)" por uno o varios
"Árbitros" designados conforme a dichas reglas.

Cada una de "Las Partes" sujeto a la violación declarada del contrato será responsable de sus
propios gastos legales hasta que se llegue a un acuerdo o sentencia judicial. A partir de ese
momento "Aquella Parte" encontrado en la falta por "el Arbitro (s)" compensará por completo

a la otra parte, o en su defecto a sus herederos, o personas designadas para recepción de la

remuneración total acordada como consecuencia del negocio realizado con "Las Partes" bajo este
acuerdo, más todos los gastos de arbitraje, gastos legales y otros gastos y daños y perjuicios
considerados por "el Arbitro (s)"

A party shall not be considered or adjudged to be in violation of this agreement when the violation is
due to circumstances beyond its control, including but not limited to act of God, civil disturbances
and theft or appropriation of the privileged information or contract(s) without the intervention or
assistance of one or more of “The Parties”.

ARBITRA
ENTITIES OWNED OR CONTROLLED

This agreement shall be binding upon all entities owned or controlled by a party and upon the
principal(s), employee(s), assignee(s), family and heirs of each party.

Neither party shall have the right to assign this agreement without the express written consent of
the other.

un partido ya la principal(s), empleado(s), cesionario (s), familia y herederos de cada parte.

FORCE
Ninguna de “Las Partes” tendrá derecho a ceder este contrato sin el consentimiento
expreso y por escrito de la otra.

“The Parties” agree not to circumvent or attempt to circumvent this agreement in an effort
to gain fees, commissions, remunerations or considerations to the benefit of the one or more
if “The Parties” while excluding other or agree to benefit to any other party.

"Las Partes" se comprometen a no eludir o intentar eludir este acuerdo en un esfuerzo por
ganar honorarios, comisiones, remuneraciones o consideraciones en beneficio de uno o más si
"Las Partes", mientras que con excepción de otros o estar de acuerdo para beneficiar a
terceros.

This agreement in no way shall be construed as being an agreement of partnership and none of
“The Parties” shall have any claim against any separate dealing, venture or assets of any other
party or shall any party be liable for any other.

de "Las Partes" tendrá cualquier demanda contra cualquier clase de tratar, de empresas o AGREEMENT

The transmission of this agreement through the internet services or any similar programs,
telefax or e-mail shall be legal and binding. ACUERDO

La transmisión de este acuerdo a través de los servicios de Internet o cualesquiera programas similares,
fax o e-mail deberá ser legal y vinculante.

Each representative signs below guarantees that he/she is duly empowered by his/her
respectively named company to enter into and be bound by the commitments and obligations
contained herein either as individual, corporate body or on behalf of a corporate body.

TRANSMISSION
Cada representante firma por debajo de las garantías que él / ella está debidamente facultada
por él / ella, respectivamente nombrada la compañía para entrar en y estar obligado por los
compromisos y las obligaciones contenidas en el presente documento, ya sea como persona
física, jurídica o en nombre de una entidad corporativa.

ACCEPTED AND SIGNED WITHOUT CHANGE:

# Electronic signature is valid and accepted as hand signature # EDT (Electronic document
transmissions) EDT (Electronic document transmissions) shall be deemed valid and enforceable in
respect of any provisions of this Contract. As applicable, this agreement shall be:
1 Incorporate U.S. Public Law 106-229, ‘‘Electronic Signatures in Global and National
Commerce Act’’ or such other applicable law conforming to the UNCITRAL Model Law on
Electronic Signatures (2001) and
2 ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, May 2000)
adopted by the United Nations Centre for Trade Facilitation and Electronic Business
(UN/CEFACT).
EDT documents shall be subject to European Community Directive No. 95/46/EEC, as
applicable. Either Party may request hard copy of any document that has been previously
transmitted by electronic means provided however, that any such request shall in no manner
delay the parties from performing their respective obligations and duties under EDT
instruments. ACORDADO

EDT documentos estarán sujetos a la Directiva de la Comunidad Europea N º 95/46 / CEE del
Consejo, según sea el caso. Cualquiera de las Partes podrá solicitar copia de cualquier documento
que haya sido previamente transmitida por medios electrónicos proporcionados, sin embargo, que
dicha solicitud no será en ningún modo retrasar las partes que cumplan sus respectivas obligaciones
y deberes en virtud de instrumentos de ED.
