Whereas the Seller have agreed to sell and the Buyers have agreed to buy the following commoditty on
the terms and condition hereinafter mentioned :

ARTICLE 1 : COMMODITY :
1. Description of goods : DRIED RAW CASHEW NUTS IN SHELL, NEW CROP 2022.
2. Quantity : 300 MTS.
3. Origin : BENIN, No mixed crop
4. Packing : In sound seaworthy jute bags, net weight 80 kg per bag.

ARTICLE 2 : QUALITY SPECIFICATIONS & PENALTY :


1. Moisture : 10 % max.
2. Nut count : 180-190 nuts per kg
3. Outturn : 48-49 LBS
4. Defective : 5%
5. Foreign matter : 0,5 %

ARTICLE 3 : PRICE AND TOTAL VALUE :


1. Price : USD 1.250/MT CIF Nhava Sheva Port, Mumbai, India

3. Document required for shipment :
- Full (3/3) Set of clean on board ocean Bill of Lading made out to order, marked “Freight
collected” and notify applicant.
- Signed and stamped commercial invoice.
- Signed and stamped Packing List.
- Certificate of origin issued by competent authority of Export country in English language.
- Phytosanitary certificate issued by competent authorityof the export country in english
language.
- Fumigation certificate issued by competent authority of the export country in English
language
- Quality and quantity certificate issued by competent authority or in case buyer
representative is sent for inspection the acceptance letter for loading container issued by
buyer representative showing quality as checking result in 01 original.
- Typographical (errors and spelling mistakes ) acceptable except for quality, weight and
price.
- Documents in English language is acceptable.
- Third party documents are allowed except for Invoice, B/L, Packing list.

ARTICLE 5 : INSURANCE :
To be covered and paid by Seller.

ARTICLE 6 : SHIPMENT AND DELIVERY :

ARTICLE 7 : INSPECTION :

1. The cargo shall be inspected at the seller’s warehouse for quality and quantity by Buyer
representative only and whose results shall be the basic for raising of final invoice by the
seller on the buyer. A copy of this will be submitted to the buyer. The cost for such
inspection, at the port of loading shall be borne by the seller.
2. The buyer representative have the right to supervise the quality, quantity and loading
goods into containers and also have the right to refuse to loading goods into containers in
case the quality fall.
3. Accomodation, meals and transport fees of the buyer representative in Indonesia for the
Buyer account.

ARTICLE 8 : RULES AND REGULATIONS :


1. Force majeure : During the tenure of theis contract if a situation of Force Majeure occurs
due to Natural civil disturbance, commotion, riots and any other acts of God or mjna made
the either party must inform the other within 7 days of such occurence and if the situation
persists for 30 days or more the contract shall be deemed to be null and void without any
lialibilities on either side.
2. Arbitration :
This contract is governed by the India International Arbitration center beside the chamber of
commerce and Industry of India rules and regulations. In case of a default, or any dispute
arising from the contract the same will be referred to the India International Arbitration
center arbitration panel whose judgment will be final and binding on both the parties of the
contract.
3. In case the payment instrument is not received from the buyer as per the terms of the
contract within 7 days from the date of the present contract or non-performance of contract
by buyer then the sellers have the right to cancel the contract and make claim of penalty not
more than 5% of the contract value. If the sellers fail to perform the contract after receiving
payment instrument from the buyer bank, the seller must pay 5% of the amount of the
contract value to Buyer as penalty.
4. After receipt of original documents in the Buyer Bank, if Buyer delay to take delivery of cargo
above 14 days of more from arrival of cargo at discharge port, the the sellers will not be
responsible for quality guaranteed as per the contract.
Buyer have to take delivery of cargo on arrival. Seller will not be responsible for demurrage
or detention if buyer delays cargo clearance. If buyer fails to take delivery of cargo and
documents remain unpaid then seller has the right to resell or reship the cargo. Under such
circumstances no objections certificate (NOC) for customs clearance and will be a valid
document in any court of law.
This Contract are made in English language and executed via fax having full legal status
having a total a 03 pages.
