PROTOCOL OF DELIVERY AND ACCEPTANCE

KNOW ALL MEN BY THESE PRESENTS:

That, Messrs. BAOSAI SHIPPING CO. LTD of HONG KONG , (hereinafter called the “Seller"), do hereby deliver,
transfer and assign to Messrs. Last Voyage DMCCof Dubai, UAE, (hereinafter called the “Buyer"), all rights, title
and interest in and to an LIBREVILLE flag vessel of 6661 tons gross and net, named "JIN YUAN SHENG 9”, with
IMO Number 1026740 , (hereinafter called the “Vessel") at Colombo Sri Lanka Anchorage,_1930_____hrs at hours
local time on OCTOBER 25 2023, in accordance with the provisions of the MOA, free from all encumbrances, taxes,
maritime liens, mortgages and any other debts of whatsoever nature, in accordance with the terms and conditions
of the Memorandum of Agreement dated OCTOBER 25, 2023, entered into by and between the Seller, as seller and
the Buyer as buyer, as amended by any Addenda made thereto (hereinafter called the “MOA”).

The Buyer hereby accepts delivery, title and risks of and to the Vessel and confirms that the Vessel has been
delivered completely in accordance with the terms and conditions of the MOA.
