We are pleased to confirm the terms of your employment with iQor India Services
Private Limited, an iQor company (together with its various affiliates, "iQor").

Effective Date: August 16th 2021

Title: SENIOR AGENT

Location: Noida (INUP01), or as required

Salary/Wage: 372,691 INR Annual

Performance based Variable Pay Out: You will be eligible for our Variable Incentive
Plan, under which you could earn performance compensation. These payments are
contingent on your being employed with iQor at the time they are paid. For hourly
employees, the exact amount is dependent on hours worked.

Benefits: You will be eligible for iQor’s Benefits as per company policy. Benefits can be
revised at Management's discretion at any time.

Termination: Your employment may be terminated by you or iQor without cause with
four weeks’ written notice, or as otherwise required by law and with cause without
notice. Cause is defined as:

Willful insubordination or disobedience whether alone or in combination with


another of any lawful order of a superior;
Striking work either singly or with any other employee without giving due notice
prescribed by any law for the time being in force;
Inciting, whilst in the shop or commercial establishment, any employee to strike
work;
Theft, fraud or dishonesty in connection with the employer’s business or property;
Taking or giving bribe or any illegal gratification whatsoever;
Habitual absence without leave;
Drunkenness, fighting, riotous or disorderly behavior or conduct likely to cause a
breach of peace, or conduct endangering the life or safety of any other person or
any act subversive of discipline and efficiency and any act involving moral
turpitude, committed within the shop or commercial establishment;
Habitual negligence or neglect or work.
Threatening or intimidating any employee in the shop or commercial
establishment;
Disclosing to an unauthorized person any information in regard to the working
process of the shop or commercial establishment which comes into the
possession of an employee during the course of his work;
Gambling within the shop or commercial establishment;
Sleeping while on duty;
Insubordination, malingering, deliberate delaying of carrying out of orders; and/or
Violation of iQor’s employment policies.

Probation: You will be considered a probationary employee for three months following

the effective date. iQor will evaluate your performance and behavior in terms of your
performance appraisal score, metrics, attendance, behavior and professionalism based
on the company’s standards for regularization of employment, the policies in the
employee handbook, and the policies that may be specifically applicable to the program.
Your employment will always be subject to your compliance with the rules outlined in the
Company handbook that may be updated from time to time. At the end of that period,
you will be eligible to become a regular employee.

Background Check: Your employment is contingent upon successfully passing a drug


screen and/or background screen, both where applicable and not prohibited by law.
Successfully passing of either is based upon our policy or the policy of one or more of
our clients for which you will be providing services.

This document represents our mutual and complete understanding of your employment
terms at iQor and supersedes any prior agreement (oral or written) that you may have,
but does not constitute an agreement for employment for any specific period of time.
This letter should be subject to Indian laws and jurisdiction of Indian Courts.
