CONTRACT TO SELL

KNOWN ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL made and executed this January 5, 2024, at Rural Bank,
Valenzuela Branch into by and between:

ERIBERTO B. MASICAT, of legal age, Filipino, Married to MARIVIC DG.


MASICAT and with residence and postal address at 135 SANGALANG ST. BRGY.
PAGKALINAWAN JALA JALA, RIZAL hereinafter referred to as the VENDOR;
-and-

MARK SIMON P. CHUA, of legal age, Filipino, Married to JOANNE G. CHUA with
residence and postal address at 44 SALVADOR ESTRADA ST. TIERRA BELLA SUBD.
TANDANG SORA QUEZON CITY. Purok 6 San Guillermo St. Bayanan Muntinlupa, City
hereinafter reffered to as the VENDEE;

WITNESSETH:

WHEREAS, the VENDOR is lawful owner of a parcel of land situated in the Barrio of
Pagkalinawan, Municipality of Jalajala, Province of Rizal, and more particularly describe as
follows:

TRANSFER CERTIFICATE OF TITLE NO. M-3819

A PARCEL OF LAND (Lot 118 of the subdivision plan, Psd-04-156695 (AR), being a
portion of Lot 368, Psd-04-039125 (AR), LRC Record No. __________) , situated in the Barrio
of Pagkalinawan, Municipality of Jalajala, Province of Rizal, Island of Luzon. Bounded on the
SW., along line 1-2-3-4 by Lot 119; and along line 4-5 by lot 120., and NE., along lines 5-6-7 by
lot 86; on the SE., along lines 7-8-1by lot 140 (Road), all of the subdivision plan. Beginning at
the point marked “1” on the plan, being N. 18 deg. 05’E., 932.82 m, from BBM No. 19, Cad-
673, Jala Jala Cadastre,

Thence N. 46 deg. 35’W., 34.53 m. to point 2;


Thence N. 40 deg. 31’W., 32.25 m. to point 3;
Thence N. 39 deg. 53’W., 72.04 m. to point 4;
Thence N. 15 deg. 04’W., 29.04 m. to point 5;
Thence N. 83 deg. 53’E., 149.55 m. to point 6;
Thence S. 31 deg. 41’E., 86.37 m. to point 7;
Thence S. 45 deg. 28’W., 65.06 m. to point 8;
Thence S. 59 deg. 32’W., 56.11 m. to the point of

beginning; containing an area of SEVENTEEN THOUSAND THREE HUNDRED THIRTY


THREE (17,333) SQUARE METERS, more or less. All points reffered to are indicated on the
plan and marked on the ground by: “AR” cyl. conc. mons. 15x40 cms., bearings true: date of the
original survey on January 4-23, 1959 and that of the subdivision survey on November 3-30,
2006 executed by Engineer Walter V. Gealan and was approved on September 16, 2008.

Whereas, the VENDOR has offered to sell to VENDEE, and the VENDEE has agreed to
buy from VENDOR, the subject property under the terms and conditions herein;

NOW THEREFORE, for and in consideration of the foregoing and covenants contained
below, the PARTIES have agreed the following:

1. THE VENDOR agrees to SELL the parcel of the land and assign of SEVENTEEN
THOUSAND THREE HUNDRED THIRTY THREE (17,333) SQUARE METERS, to the
VENDEE of the said parcel of land;
2. The VENDEE shall pay the Total Amount of FIVE MILLION PESOS (5,000,000.00).
Philippine Currency, in the said parcel of land;

3. That the VENDEE agreed to give an initial down payment of THREE MILLION PESOS
PESOS (3,000,000.00) Philippine Currency on January 5, 2024;

4. That the VENDEE agrees to settle the balance of the Total Amount amounting to EIGHTY
THREE THOUSAND THREE HUNDRED THIRTY THREE PESOS (83,333) per month
within 24 months Philippine Currency, in split-payment.

5. That the VENDOR, at the time of the execution of this Contract to Sell, shall issue in favor of
ERIBERTO B. MASICAT post dated checks equivalent to and coincide to the attached
Schedule of Payment.

6. Upon paying the amount as mentioned hereof in Section 2, the VENDOR shall sign and
executed DEED OF ABSOLUTE SALE, just to process the document and transfer of
ownership in favor of VENDEE;

7. The documentary stamp tax, transfer tax, registration fee, notarial fee and broker’s
commission shall be for the account of and paid by the VENDEE.

8. The capital gain tax, creditable withholding tax, value added tax whichever is applicable shall
be for the account of and paid by the VENDOR.

9. The VENDOR shall update the real property tax prior to delivery of the parcel of land.

10. Possession to the subject property shall be delivered by the VENDOR to the VENDEE upon
down payment of the consideration of THREE MILLION PESOS PESOS (3,000,000.00)
Philippine Currency on January 5, 2024;

11. That the VENDOR warrants valid title to the property and further warrants that the
PROPERTY is free from and claims, liens and encumbrances of whatever nature,

12. In the event that the Easement for Perpetual “Right of Way” to access the Property through
the lot covered by TCT No. M-3819 is not secured or granted due to the fault of the SELLERS,
the down payment shall be RETURNED IN FULL in the favor of the BUYER.

13. This Contract and the rights and obligations of the parties hereunder shall be governed by
and construed in accordance with the laws of the Republic of the Philippines

14. This Contract shall be obligatory and binding upon the heirs, successors in-interest,
administrators and assigns of the parties hererto.

ACKNOWLEDGEMENT

BEFORE ME, a Notary Public at this ____________________, personally came and


appeared the following persons with their valid identification card indicate opposite their
respective names know to me to be the same persons who executed the foregoing instrument and
acknowledged to me that the same is their own free will and voluntary act and deed.

This document consisting of two(2) pages including this page where the
acknowledgement is written, has been signed on the left margin of each and every page thereof
by the Parties their instrumental witness, and sealed with my notarial seal.
