FOR THE CONSIDERATION OF TEN DOLLARS ($10.00) AND
OTHER VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, JOEL
PEYTON AND KERRY PEYTON, husband and wife as Joint Tenants with Full Rights of
Survivership, and not as Tenants in Common ("Grantor"), does hereby grant, bargain, sell and
convey unto COGGON ASSETCO, LLC, a Delaware limited liability company ("Grantee"), in
fee simple, that certain real property located in Linn County, Lowa more particularly described on
Exhibit "A" attached hereto and made a part hereof ("Property")
TO HAVE AND TO HOLD, the Property together with all and singular the rights,
, privileges, tenements, appurtenances, hereditaments, reversions, remainders,
easements, rights-of-way, water rights (if any), water shares (if any), timber, mineral rights (if
any) and ‘improvements in anywise appertaining to the Property unto said Grantee and its
successors and assigns forever.
SUBIECT TO: current taxes and assessments, patent reservations, all covenants,
conditions, restrictions, reservations, easements, and declarations, and all other matters of record
or to which teference is made in the public record, other than monetary liens and encumbrances
of Grantor, any and all conditions, easements, encroachments, rights-of- way, or restrictions
which a physical inspection, or accurate survey, of the Property would reveal, and all applicable
zoning and use regulations of any municipality, county, state, or the United States affecting
the Property,
There is no known private burial site, well, solid waste disposal site, underground storage
tank, hazardous waste, or private sewage disposal system on the property as described in lowa
Code section $58.69, and therefore the transaction is exempt from the requirement to submit a
‘groundwater havard statement,

GRANTOR hereby covenants to the Grantee that the Grantor is seized in fee simple of
said Property and has the right to convey the same in fee simple, that title to the Property is
marketable and free and clear from all liens and encumbrances except as otherwise expressly
provided herein and Grantor hereby binds itself and its successors to warrant and defend title as
against all claims of all persons whomsoever,
Except with respect to the representations, warranties, and covenants contained in that
cenain Agreement for Purchase and Sale of Real Property and Escrow Instructions dated as of
April 22, 2022, which survive closing, and the representations, warranties, and covenants
contained in this Deed, the Property is hereby conveyed in an "AS IS" condition.
