NOW THIS DEED WITNESSES AS FOLLOWS:


I. In pursuance of the said agreement and in consideration of the payment of the

2. THE ASSIGNOR HEREBY COVENANT, REPRESENT AND WARRANT TO THE


ASSIGNEE AS FOLLOWS:

I. The Assignor hereby places the Demised Premises at the disposal of, and vests
same in the Assignee together with all the Assignor power and authority as
would be required by the Assignee or any other authority or person for obtaining the
requisite consents, exemptions, licenses, sanctions, approvals and permissions for the
regulation or disposal of the Assignee's interests in the Demised Premises.

II. The Assignor covenants that it has title to the Demised Premises free from any
existing encumbrances whatsoever including mortgages, charges, gifts, liens,
attachments, tenancies or other liabilities (whether or not the same as the enumerated
particulars) and further covenants that no breach of any statutes, rule or regulation has
been committed in respect of the said Demised Premises.

III. The Assignor hereby further covenant that no notice has been published and or
proceeding commenced for the recovery of all or any part of the Demised Premises
and covenant to fully indemnify the Assignee against all actions claims affecting title
and that will at all times at the first demand of the Assignee sign and execute all such
documents instruments and assurances as will be needed or necessary for the better
perfection of the interest and title to the Assignee.

3. THE ASSIGNEE HEREBY COVENANTS WITH THE ASSIGNOR AS FOLLOWS:


I. To pay all government levies and charges that may be imposed on the Demised
premises after the Assignee takes full possession of the Demised Premises.
II. The Assignee shall comply with all statutes, rules, regulations and orders regulating
the use of the Demised Premises as shall from time to time be enacted or prescribed
by any competent authority.
III. The Assignee shall comply with and abide by the terms of all notices or directives
given or made and comply with any Acts, Laws, Bye-Laws and Regulations affecting
the Demised Premises.
IV. The Assignee shall comply with and abide by the terms and conditions contained in
this Deed of Assignment.
