LEGAL WORKS ENGAGEMENT CONTRACT

This Civil Legal Works Agreement (the "Agreement") is entered into on this 12th
day of January 2024 (“Effective Date”), between:

DV Boer International Corporation, a corporation duly organized and existing

under the laws of the Republic of the Philippines, with its principal place of business at
[complete address], represented by its President, Soliman A. Villamin Jr. (“Client”),

And

Maica Cordovilla, of legal age, Filipino, single, and with a residence address at
Purok 3, Andal Alino, Talavera, Nueva Ecija (“Civil Legal Works Assistant”).

Each party to this Agreement is referred to as a “Party” and collectively as the

“Parties.”

WHEREAS, DV Boer International Corporation, represented by Soliman A.

Villamin Jr., is a business entity in need of a legal and administrative assistant on a
work-from-home arrangement;

WHEREAS, Maica Cordovilla, an experienced virtual assistant, has expressed her

interest in performing the legal and administrative tasks required by DV Boer
International Corporation;

WHEREAS, DV Boer International Corporation agrees to engage the services of

Maica Cordovilla, and Maica Cordovilla agrees to be engaged by DV Boer International
Corporation for her legal and administrative requirements, subject to the terms and
conditions herein set forth;

NOW THEREFORE, for and in consideration of the above premises, the parties
agree as follows:

Assistant’s Responsibilities. The Assistant shall perform comprehensive legal and

administrative services, which shall include but are not limited to:

a. Schedule Coordination

b. Communication Handling

c. Document Organization
 d. Document Drafting of Contract

e. Document Refinement

f. Documentary works and research

g. Case filing on behalf of the complainant or plaintiff

Payment. DV Boer International Corporation shall be responsible for the payment

of the Assistant according to the following terms:

a. For the trial period of 12 January 2025 until 15 January 2025, DV Boer
International Corporation shall pay the Assistant Php 2,000.00.

b. For January 16 onwards, the first payment is to be made on 30 January 2024:

i. Amount: Php 8,000.00 (PESOS) on the 15th and 30th of every month.

ii. Payment Method: Gcash/Union Bank

Relationship. The Parties understand that the Assistant shall be an independent

contractor of DV Boer International Corporation. Neither Party shall have an
employment or fiduciary relationship with the other, nor can either Party bind the others
in agreements with third parties without express written consent.

Confidentiality.

a. Obligation: The Assistant acknowledges the confidential nature of the

information exchanged during the fulfillment of her responsibilities under this Agreement
and agrees not to disclose, reveal, or use any such information for any purpose other than
the implementation of this Agreement according to DV Boer International Corporation's
express written instructions.

b. Confidential Information: Such information includes but is not limited to trade

secrets, suppliers, marketing strategies, information systems, agreements with third
parties, and program development strategies.

c. Penalty for Breach: In the event of a breach of confidentiality, the Assistant

agrees to pay a penalty of Five Million Philippine Pesos (Php 5,000,000.00) to DV Boer
International Corporation as liquidated damages. The penalty is without prejudice to DV
Boer International Corporation's right to seek additional damages or injunctive relief as
may be appropriate.

d. Survival: Confidentiality shall perpetually survive the termination of this

Agreement.

Term and Termination.

a. This Agreement shall have an initial term commencing on [12th January 2024]
and continuing for [3] months.

b. After the initial term, this Agreement shall automatically renew for additional
terms of 3 months each unless either party provides written notice of termination at least
30 days before the expiration of the then-current term. The maximum term of renewal
shall not exceed cycles of 3 months each.

Governing Law and Dispute Resolution. This Contract shall be governed by and
construed according to the laws of the Republic of the Philippines, and the venue for any
litigation shall exclusively be within the jurisdiction of the courts of Balayan Batangas in
the Republic of the Philippines.

Entire Agreement. All Parties acknowledge that this Agreement constitutes the
entire agreement between them and shall completely supersede all other prior
undertakings, understandings, previous communications, or contracts, oral or written,
between the Parties relating to the subject matter hereof.

COMMENCEMENT DATE: This Agreement shall commence on the 16th day of

January, 2024.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement is

duly authorized as of the date first above written.
