Dear Sir,
1. General Terms and Conditions:
1. In case of any calculations & typographical error in the offer, the Unit rates proposed by M/s. APS pipe shall prevail.
2. Offer made based on calculated BOQ, any change of requirements we reserve the right to change the offered price.
3. The ordered quantities can maximum vary by +/-10% from the quoted quantities subject to APS approval. In case of new items, the new unit
rates shall be provided.
4. Unless otherwise agreed prices are understood ex works stores, excluding packaging, freight, postage, and other shipping costs, these will be
billed separately.
5. Shop Drawings / Spooled layout will be provided once the layout is final and quotation will be revised if required based on the offered unit
prices. the Client will have direct bearing on the prices indicated.
6. The Product has been designed based on APS internal specs and knowledge of strength of materials to withstand the load. Any changes from
the Client will have direct bearing on the prices indicated.
7. Concrete Pipes are not designed to be hydrotested.
8. We reserve the right to alter our prices accordingly if price increases occur after the signing of the contract due to changes to raw material
prices. We shall inform the buyer of these on demand and should be initially agreed upon.
9. Order Cancellation / Quantities alteration will not be allowed on finalizing the contract. In case of Cancellation or alternation, all the quantities
produced will be delivered & all the expenses incurred by APS will be invoiced and paid.
10. Transportation charge provided is estimated based on full load truck as per given quantities and it will vary with changes in quantities. If
transportation cost is consumed against PO Value, the customer has to arrange on his own for the remaining deliveries without any delay on
intimation (Subjected to one - week maximum), elsewhere APS will organize the transportation and will be charged, Also, any partial delivery
will be back charged to the customer.
11. APS has the right to supply from any of its manufacturing plants.
12. APS Pipe has the right to hold on production for any due payment on submitted invoices against payment terms and a new delivery schedule
will be intimated on clearing the due payment.
13. No Liquidated Damage would accepted in case of delayed payments, change in design, revision/change of Purchase orders, or variation order
to the main PO.
14. The price validity is for 30 days. If the delivery exceeds for more than 6 months period then APS has the right to increase the prices based on
market prevalent raw material costs.
15. APS is authorized to increase prices in case the raw material prices increases.
16. In case of non-availability of raw material. This should be considered as a force majeure and APS has the right to stagger the deliveries, stop
production, and or change the price based on prevalent raw material prices.
17. In case you agreed to our quotation and raised the purchase order, please mention the quotation reference number clearly on the purchase
order along with payment terms.
18. Delivery period not to exceed what is agreed while placing the order or as otherwise mutually decided after. Any changes could result in APS
having right to modify the prices.
19. VAT (Value Added Tax) will be charged, as per the current law of Saudi Arabia.
20. The unit prices are valid for the quoted BOQ as total. Any partial quantity ordered will be subject to APS approval.
21. In case on any operational failure at site, the manufacturer should not be held responsible as we are liable only for the
manufacturing defects and not the installation.
22. Any test sought outside our ITP, will not be considered as an qualifying criteria for our pipes.

23. We are not liable for any delays on the site due to stoppage of work as per Client instructions and would not accept any charges due to that.
