Others shall ensure that the following preparatory works are completed before and during the
commencement of the lifts contract works and finishing work executed on completion in
accordance with measurement reactions and other data as indicated on the layout drawing by the
lift contractor:

1. The temperature of the machine room shall be below 30C and air-conditioned at all times.
The following conditions are required for maintaining elevators performance:
o The relative humidity shall be below 90% on a monthly average and below
95% on a daily average.
o The machine room and the elevator hoist way shall be free of dust or
harmful gas.
o The walls, floors, and ceiling of the machine room shall be finished with
mortar or other materials to prevent concrete dust.
o A properly framed and enclosed legal elevator shaft.

2. A dry, waterproof elevator pit of the correct depth with a suitable pit ladder.

3. Sill support areas at each shaft entrance of sufficiently strong construction to assure secure
anchorage of door sill and frames (site fortifications to be made by others if not sufficient
initially)

4. Cutouts in the shaft as required.

5. All builders work before, during, and after installation.

6. Grouting of steelwork, boxes, frames, decorative entrances, etc.., during and


after installation.

7. All required paintwork to shaft walls, etc. except for elevators.

8. Painting of the wall, machine room surrounding, and any other items other
than the lift materials.

9. To supply and fix suitable fused switched outlets for single and three-phase power supply
terminating near the machine as shown on our layout drawing and/or our site
marking. To provide air conditioning, barricades, and ladders for the machine room(s).

10. To supply and fix in the shaft one 13 AMP single -phase socket outlet.

11. To make available throughout the installation of elevators, adequate power supply for
operations of tools, lifting, and hoisting equipment.

12. To make available as and when required adequate 3-phase power supply for adjusting,
testing, and commissioning of elevators.

13. To provide a datum line in elevation at each landing to enable the lift door sills to be installed
in relation to the finished floor level.

14. To provide and later remove scaffolding and working platform in the elevator shafts before
the commencement of installation as required by the lift contractor.

15. To provide adequate protective barriers on all unprotected shaft openings to prevent persons
or objects from falling into the lift shaft.

16. To provide adequate secured storage for equipment and lift contractor’s tools on the job site
at the lift contractor’s required location.

17. To provide secure lifting hooks, eyes, or beams to the lift contractor’s specification to be able
to take the load as detailed on the lift contractor’s layout drawings. To provide unhindered
access for unloading and distribution of elevator/lift and/or escalator equipment on site.

18. To provide subject to the specifications, any auxiliary cables, conduits, trunking, as required
up to the lift contractor’s equipment to connect the following but not limited to: fireman’s
controls, card readers, intercoms, and any other function not directly related to the lift
operation.

19. Provision of hoist way lighting following the light position in the shop drawings.

20. To provide steel separating beams between elevators in case of the absence of wall
separation.

21. Carnage and hoisting facilities to be provided for unloading/distributing of elevator equipment.

22. To provide building signage as required by authorities such as but not limited to: “Do not use
the elevator in case of fire” and other signage pertaining to the elevator operation.

23. To dispose of any equipment packaging at the request of Lift Mart Elevators and Escalators
LLC.

24. Flooring by others inside the elevator(s).

25. To provide suitable protection to the lift car and other exposed equipment in case the elevator
will be used for construction purposes, the temporary power should be suitable, and only
authorized personnel to be allowed to operate the elevator.

26. To supply and install “fire alarm sensing contacts” and their related wiring in machine
room(s). To provide all wiring including but not limited to 24x7 or DCD or firefighting
equipment or BMS to the Elevator Control Panel.

Terms and Conditions


1 General
1.1 It is the contractor/employer's responsibility to ensure full understanding and compliance
for all the above works not included in this elevator contract, which must be done by the
Main Contractor and/or other parties.

1.2 All drawings, illustrations, photos, or descriptive material furnished with this proposal are
approximate and submitted only to show the general style, arrangement, and dimensions
of the machinery offered.

1.3 Notwithstanding anything herein to the contrary, we shall not be liable for any indirect,
consequential, special, or economic loss, cost liability, damage or expenses howsoever
arising.

1.4 All of our products are manufactured and assembled in either Europe, Asia, or America by
an Original Equipment Manufacturer (OEM).

1.5 The title of each elevator, escalator or their components and parts thereof shall pass to
you once when all payments for each elevator are received. We shall retain the right to
lien and the right to retake possession of the elevator or any part thereof at your cost if a
default is made by you in any of the payments. This will be without prejudice to our right
to recover the unpaid amount. We shall be entitled to recover from the
contractor/employer legal expenses incurred in collecting payments hereunder.

1.6 Lift Mart is entitled to adjust the price of this Agreement should there be any changes in
any federal or local laws of the UAE, which causes any additional cost to Lift Mart in the
execution of this Agreement.

1.7 It is understood that any reference to elevators means any lifting equipment that has the
same function of an elevator which includes but is not limited to platform lifts, wheelchair
lifts, scissor lifts, dumbwaiters, etc.

2 Drawings and Submittals


2.1 Upon signing the contract, the below shall be issued based on the latest drawings
submitted by the employer/contractor:

2.2 Approval for the above is mandatory by the client/consultant/contractor to proceed with
production.

2.3 Any delay caused due to delayed approvals, requested documents, drawings, or any other
information required for us to make our complete submission, is not Lift Mart’s
responsibility.

2.4 Lift Mart will require 14-16 working days to procure any of the above-mentioned
submittals from the factory.

3 Finishes
3.1 The elevator(s) or escalator(s) or lifting equipment(s) specification and finishing are
subject to the final and approved shop drawing.

4 Delivery
4.1 Partial delivery of elevator and/or escalator equipment is accepted.

4.2 In case the contractor/employer is not ready to accept delivery of the equipment on the
date outlined in the agreement for any reason, he shall on or before 30 days of the said
date designate an alternative point where he shall accept delivery. Otherwise, we (the lift
contractor) may warehouse the material at our stores at the contractor’s/client's risk and
cost. The contractor/employer shall reimburse us for all additional costs due to extra
handling, transfer, and warehousing including insurance costs. Risk and liability for the
stored units and material shall be the contractors/employers.

5 Installation
5.1 Lift Mart reserves the right to subcontract the installation, testing, commissioning, and all
other works and services if needed.

5.2 Lift Mart shall be entitled to claim an extension of time and cost thereof for any delay due
to reason not attributable to Lift Mart.

5.3 Any/All supply and installation of separator beams and/or pit mesh is to be done by others
unless mentioned otherwise on the contract.

5.4 The contractor/employer agrees that the lift shaft shall be ready and the proper electric
supply available by the programmed starting date. We shall be allowed uninterrupted use
of the electric power and the designated working areas.

5.5 It is agreed that our workmen shall be given a safe place in which to work and safe
access to the place of work. We reserve the right to discontinue our work in the building
whenever in our opinion the provision is being violated.

5.6 If there is interrupted access to the site due to delays by other parties, and delays on-site
by other parties that affect our scope of work, this automatically increases the delivery
time and reschedule handing over the date of lift to the client as Lift Mart finds
appropriate.

5.7 Unless otherwise agreed, it is understood that the work shall be performed during the
working hours of our working days. If overtime work is deemed required to accelerate the
program at the contractor's/employer's request, an additional charge at our usual rate for
such work shall be added to the contract price and billed as a variation.

5.8 We shall not be required to install any equipment requested by the Government, local, or
Civil Defense authorities at their discretion and not specifically incorporated in the local
codes as of the date of this proposal. Such additions/changes if feasible shall be
undertaken at extra cost and to be borne by the contractor/employer.

5.9 Any packing cases, leftover materials, tools, tackles, instruments brought to the site for
the performance of the works are and shall remain our property. Any packing cases that
need to be discarded from the site by the contractor/client with the instruction from Lift
Mart.

5.10 The following prices do not include any emergency standby generator, air
conditioner, and/or main switches in the lift machine room and any main power cables to
the machine room.

5.11 Lift Mart will not be responsible for any mechanical and electrical damages arising
from but not limited to project hold and/or delays, design defects caused by any other
party/agency, Force Majeure, and any other factors.

5.12 We indemnify the contractor/employer against liability or loss incurred by the


contractor/employer for bodily injury or property damage to the extent caused directly by
our negligence of, or breach of contract during the performance of the work, but not to
the extent that the loss or liability was caused by others.

5.13 The lift(s) should be installed, Tested & Commissioned, and Handed Over within 6
months from the delivery to the site. Lift stainless steel film protection should be removed
within 3 months of delivery to the site. If the film is still on the panels for more than 3
months, there will be irreparable damage to the stainless steel and the
employer/contractor will bear the costs of replacement. If not tested and commissioned
within 3 months from the delivery of material, the elevator's batteries will run dry and the
employer/contractor is to bear all the costs of arranging battery replacements.

5.14 The lift(s) should be installed, tested and commissioned, and handed over within 6
months from the delivery to the site. If the mechanical installation is completed and 3
months pass without any progress on the site, Lift Mart Elevators and Escalators will not
be responsible for the deterioration of components that may be damaged due to the
excess load exerted on (including but not limited to): the pulleys, motor, guide rails, rust
on all rails and ropes, and rollers.

5.15 In a case that a permanent power supply is not provided at the site(s) within 90
days from the date the installation works are completed, the Second Party shall
immediately release up to 95% of the total Agreement value.

5.16 In the case that we require to have an accelerated installation program for
whatsoever reason, any/all milestone payments will be required to be paid to Lift Mart
Elevators and Escalators 100% in advance.

6 Right to Use

6.1 Contractor/Employer is not authorized to operate the elevators, elevators, etc. under any
of the following scenarios:

6.1.1 Until handing over


6.1.2 Incomplete Payment as per contract
6.1.3 For any other intention or purpose until a handover certificate is submitted and
signed.

7 Third-Party Inspection

7.1 Upon Commissioning and Handing over of the building, the initial Third-party testing &
commissioning of the lifts will be conducted by Lift Mart. Any additional third-party
inspection costs to be borne by the client/contractor/consultant.

8 Variation
8.1 Variations on-site will be billed separately to the client. The Customer may request the lift
contractor to:
8.1.1 additional work
8.1.2 change the quality of any work or material
8.1.3 change the jamb setting, levels, positions, plumb lines, positions, dimensions of
any scope of the work
8.1.4 decrease, increase, or remove any part of the work under the contract

8.1.5 demolish or remove any material or work no longer required by the Customer

8.2 Any variation will be subject to written site instruction. The Contractor will provide the
Customer with a written valuation of the works requested, within 14 days of the request.
If acceptable, the Customer will provide the Contractor with a written instruction to
proceed in the form of a signed site instruction. The cost of the Variation will be invoiced
immediately and payment will be due 7 days after the invoice has been submitted.

8.3 All drawings, illustrations, photos, or descriptive material furnished with this proposal are
approximate and submitted only to show the general style, arrangement, and dimensions
of the machinery offered. In case of any variation between the main contract
specifications and our offered specifications, the terms and conditions of the agreement
including the terms of this quotation shall prevail.

8.4 If Lift Mart raises a pre-shipment invoice and the elevator and/or escalator material is not
paid for and cleared from the factory within 7 days of being ready for shipment due to any
reason, storage fees will be applicable to be paid by the client. Storage fees will be
charged to the client as a form of variation. The cost of the variation will be invoiced
immediately and payment will be due 7 days after the invoice has been submitted.

9 Payment
9.1 Prices are excluding VAT. VAT is to be borne by the Contractor/Employer.

9.2 Partial delivery of equipment if required will have to be paid for pro-rata as above.

9.3 Any payment not paid at the due date shall bear interest in full legal rate from such due
date.

9.4 We reserve the right to dispose of the equipment or to discontinue our work at any time
until payment shall have been made and we have assurance satisfactory to us that
subsequent payment will be made as they fall due. Provided, however, that our work
when resumed shall be by the prevailing manufacturing and/or erection schedule at that
time. Provided also, that this will in no way relieve the Contractor/employer of his/their
liabilities and obligations under this contract.

9.5 It is agreed that we shall retain title to all the equipment and material furnished under the
contract/agreement and we can retake possession of the same or any part thereof at the
contractor/employer’s cost if he defaults on any of the payment terms.

9.6 Our offer includes custom duty at the current prevailing rate. The offer shall be adjusted
accordingly for any increase or decrease of the rate at a future date resulting from an act
of Government.

9.7 If the final payment due is not settled within 30 days of issuing the invoice, all warranties,
and free maintenance services will immediately be suspended, nullified, and void.

9.8 In the event of the employers/contractor’s failure to pay Lift Mart the due amounts for
more than 7 days, Lift Mart has the right to suspend the work or reduce the rate of work
and to claim an extension of time.

9.9 The title of each elevator, escalator or their components and parts thereof shall pass to
you once when all payments for each elevator are received. We shall retain the right to
lien and the right to retake possession of the elevator or any part thereof at your cost if a
default is made by you in any of the payments. This will be without prejudice to our right
to recover the unpaid amount. We shall be entitled to recover from the
contractor/employer legal expenses incurred in collecting payments hereunder.

10 Construction Time Usage


10.1 In case of an agreed Construction Time Use (CTU), the contractor/employer is
responsible for the lift for the specified period in case of any damages, misuse,
overloading of the lift for more than the required capacity. The contractor/employer is to
bear the charges in the event of repair and restoration in the same condition. Any breach
of contract for CTU, additional charges will be applied. Additional charges for and are not
limited to repair, rectification, restoring, refurbishing, and cleaning will be billed directly to
the contractor/consultant/client.
10.2 In case the above is not morally or contractually followed, maintenance or
warranty services will also be permanently suspended as our Right.

10.3 If the lift(s) should be handed over for Construction Time Usage, the quality of the
ride and the smoothness of the elevator will deteriorate. The contractor/employer is solely
responsible for the deterioration of the smoothness.

10.4 Construction Time Usage of any Elevators and/or Escalators are at an additional
cost and will be billed separately.

11 Termination
11.1 If the contractor/employer elects to cancel the order after signing the agreement,
the contractor/employer shall pay Lift Mart the value of all materials fabricated, less the
salvage value thereof. Also, the contractor/employer shall pay the cost of shipping,
clearing, custom duty, and delivery to the site plus 20% overhead costs if the equipment
has already been delivered to the site, in addition to 20% of the agreement value. All/Any
payments made to Lift Mart Elevators and Escalators LLC are not refundable.

11.2 If another elevator company intervenes with the equipment at any time, we, Lift
Mart Elevators and Escalators LLC reserve the right to stop all works indefinitely and
nullify all warranties. In addition, all the total remaining amount(s) of the agreed
contract(s), annual maintenance contract(s), and all its variations are to be paid in full in
one immediate payment to Lift Mart Elevators and Escalators LLC.

11.3 In the event of any disputes or difference of any kind whatsoever between us and
the contractors/employer on the validity or execution of these general terms and
conditions or any agreements related thereto, both Parties shall first seek to resolve any
issues amicably through negotiation in good faith. Failing to reach an amicable solution
shall entitle the parties to settle the same through the courts of Dubai, the United Arab
Emirates. These general terms and conditions shall be governed by and construed
following the laws of the United Arab Emirates.

11.4 If under any case the contract is canceled by the employer/contractor, 85% of the
total contract value is to be paid in full in one immediate payment to Lift Mart Elevators
and Escalators LLC.

12 Warranty
12.1 The warranty period provided and agreed upon is only valid while the equipment is
under a maintenance contract with Lift Mart.

12.2 Our Warranty liability is limited to the machine motor and control inverter against
any manufacturing defect within the prescribed period.

12.3 Any other damages like deliberate wear and tear, neglect, or improper adjustment
will not be covered.

13 Maintenance

13.1 The free maintenance period commences from the date of Handing Over.

13.2 Proactive maintenance service by trained employees will be conducted once every
month and inclusive of our 24/7 call-back service during the prescribed period.

13.3 Annual Maintenance Contract packages up to 10 years are available upon request.

13.4 Our free maintenance period excludes spare parts and labor charges for the
replacement of any spare parts.

13.5 Maintenance Services can be suspended or become Null if the final payment due
is not settled within 30 days of issuing the invoice

14 Force Majeure
14.1 Lift Mart is not responsible for any theft, loss, or damage of material once
delivered to the site caused by but not limited to any project delays, project hold, caused
by other parties, or Force Majeure.

14.2 A Party will not be in breach of this Agreement or be liable to the other party if it
fails to perform or delays the performance of an obligation as a result of an event beyond
its reasonable control, including, but not limited to, strikes, industrial disputes, fire, flood,
act of God, war, force majeure event, insurrection, vandalism, sabotage, invasion, riot,
national emergency, national or international sanction or embargo or trade restriction
piracy, hijack, acts of terrorism, embargoes or restraints, extreme weather or traffic
conditions, shortage of containers, temporary closure of roads, increased shipping costs,
epidemic, legislation, regulation, order or other act of any government or governmental
agency. It is agreed between the Parties that Lift Mart shall not be responsible for any
delay in the delivery or installation of the Equipment caused by external factors (whether
existing at the time of contract or not) beyond Lift Mart's control including; but not limited
to unfavorable sanitary and epidemiological conditions in the regions where Lift Mart
factories are located, which may impede timely shipment and delivery of equipment.

14.3 We shall not be liable for any loss or damage due to any cause outside our
reasonable control including, but not limited to, embargo, acts of Government, industrial
action, inclement weather, acts of God, or the extent any losses or liabilities are due to
our acts or omissions, yours or any other party, their agents, servants, third parties or
other contractors or sub-contractors.

14.4 If any demurrage or extra custom charges on our material is to arise due to
unforeseen circumstances outside our control, all demurrage charges are to be borne by
the employer/contractor/consultant.

15 Penalty
15.1 Notwithstanding anything to the contrary herein and the extent permitted by law,
our aggregate liability, whether in contract, tort (including negligence), or otherwise, will
be limited to a maximum of ten percent (10%) of the offer/contract value.

8. Tender Approval

We have read in full, and accept the entirety of this offer and all its technical elements outlining
the agreed scope of works, site attendances, general terms and conditions, and terms of
payment. This proposal when signed becomes a binding contract between us and Lift Mart
Elevators and Escalators LLC.
