DISSOLUTION
1. THE CYBER OWNERS ASSOCIATION OF TABAKA (COAT) SYMBOLS

CYBER OWNERS ASSOCIATION OF TABAKA (COAT): Is hereby established as a non-
political, non-sectarian, voluntary youth group.

2.1. THE CYBER OWNERS ASSOCIATION OF TABAKA (COAT) OBJECTIVES.


a) To provide an alternate self dependence employment solutions hence reduce dependence on
formal employment.
b) To promote project-based initiative investments in entrepreneurship and talent sectors.
c) To establish policy and capacity building in the management of resources in the community
d) To adopt technology innovative solutions into promotion of efficiency in service delivery.
e) To create market for products and services in the community.

3. THE CYBER OWNERS ASSOCIATION OF TABAKA (COAT) MEMBERSHIP
3.1. REGISTRATION OF MEMBERSHIP:
The Cyber Owners Association of Tabaka (COAT) members shall be;
i. Membership is Voluntarily
ii. Eighteen years and above
iii. Pay a non-refundable fees of 500/=
iv. A person of good sound mind
v. Willing to obey the supremacy of the Cyber Owners Association of Tabaka (COAT)
constitution laws.
vi. Pay regular merry-go-round amount as agreed by members(Amount changes with time
according to minutes)
vii. Pay table banking amount as per the group policies(Amount changes with time
according to minutes)
3.2. CESSATION/DISCPLINE OF MEMBERSHIP
The Cyber Owners Association of Tabaka (COAT) members shall cease to be a member
i. Voluntarily
ii. When the member contravenes any provisions of the Cyber Owners Association of
Tabaka constitution.
iii. When the member conduct grossly violates the Cyber Owners Association of Tabaka
constitution.
iv. When the member fails to attend three consecutive quarterly meetings and without
proper permission.
v. When the member is confirmed to of unsound mind
vi. When expelled by the executive committee majority vote
vii. On failure to pay a fine of 100/= in three consecutive absenteeism.
4. THE CYBER OWNERS ASSOCIATION OF TABAKA (COAT) EXECUTIVE
COMMITTEE
4.1. THE IRINGA NYABIOSI YOUTH GROUP EXECUTIVE COMMITTEE
COMPOSITION
The Cyber Owners Association of Tabaka executive committee members shall comprise;
i. The chairperson
ii. The vice chairperson
iii. The secretary
iv. The treasurer
v. Organizing secretary/ coordinator.

4.2. THE CYBER OWNERS ASSOCIATION OF TABAKA ELECTIONS OF EXECUTIVE


COMMITTEE MEMBERS.
The Cyber Owners Association of Tabaka members shall elect the executive committee
members through secret ballot for one year (l) renewable term for three (3) terms limitation.
4.3THE CYBER OWNERS ASSOCIATION OF TABAKA EXECUTIVE COMMITTEE
FUCTIONS

43.1. THE CHAIRPERSON


The chairperson shall be;
i. The chair to the Cyber Owners Association Of Tabaka meetings
ii. Call to order and adjourn organization meetings
iii. The executive head and the spokesperson of the Cyber Owners
association of Tabaka.
43.2. THE VICE CHAIRPERSON.
The vice chairperson shall perform any duty/functions of the chairperson, the
secretary and the project manager except the treasurer in absence of any executive
member.
4.3.3. THE SECRETARY.
The secretary shall;
i. Notify the members and executive committee members of all meetings
ii. Keep minutes of all meetings
iii. Read previous meeting minutes and current agenda for discussion
ORGANIZING SECRETARY/ COORDINATOR
The project manager shall;
i. Draw programs of the events
ii. Draw and inform the calendar dates of the events.
iii. Organize meetings and reserve meeting venues
iv. Plan operations and logistics for events/activities
4.3.5. THE TREASURER.
The treasurer shall;

i. Receive and disburse finance under directions from the executive committee
members.
ii. Issue receipts for finance received
iii. Preserve vouchers for finance paid out
iv. Keep proper books of accounts for finance expenditure.
v. Present reports for finance expenditure during meetings.

5. THE CYBER OWNERS ASSOCIATION OF TABAKA FINANCE.


5.1. THE CYBER OWNERS ASSOCIATION OF TABAKA FINANCE SOURCES
The Cyber Owners Association of Tabaka finance shall be sourced from;
i. Membership registration fee
ii. Donations/well wishers
iii. Investment proceeds
iv. Members fines
v. Table banking
vi. Youth enterprise funds
5.2. THE CYBER OWNERS ASSOCIATION OF TABAKA FINANCE
EXPENDITURE.
The Cyber Owners Association of Tabaka finance shall be spent for;
i. The Organization programs
ii. The organization activities
iii. The organization projects
iv. The organization executive committee members allowances
v. The organization office equipment purchases
vi. The organization logistics and operations

The organization expenditure shall be agreed upon by the executive committee and approved by two-
third majority of the organization members in the general meetings
53. THE CYBER OWNERS ASSOCIATION OF TABAKA FINANCE AUDIT.
(a) The organization finance expenditure shall be audited by the organization membership by
scrutinizing the books of accounts, records, receipts and documents presented by the executive
committee treasurer.
(b) In case of misappropriation the organization shall file a case to the relevant Kenyan government
authorities as provided by the rule of law supported by the report of the auditor findings as evidence to
recover misappropriated finance.

5.4THE CYBER OWNERS ASSOCIATION OF TABAKA BANK SIGNATORIES


The Cyber Owners Association Of Tabaka bank signatories shall be;
i. The chairperson
ii. The secretary
iii. The treasurer

6. THE CYBER OWNERS ASSOCIATION OF TABAKA EXECUTIVE


COMMITTEE MEETINGS.

6.1. THE CYBER OWNERS ASSOCIATION OF TABAKA TYPE OF


MEETINGS.
The Cyber Owners Association of Tabaka meetings shall be;
i. The executive committee meetings
ii. The general meetings
iii. The extra-ordinary meetings.

6.2. THE CYBER OWNERS ASSOCIATION OF TABAKA MEETINGS


TIME /AGENDA/ATTENDANCE.
6.2.1. THE EXECUTIVE COMMITTEE MEETINGS.
The executive committee meetings shall be;

i. Summoned by the chairperson, notified by the secretary and attended


by
the chairperson, the treasurer, organizing secretary and the heads of
departments
ii. Held every regular Friday fortnight (2weeks interval) from (10am-4pm)
iii. To implement the organization programs/projects objectives,
vision, mission and activities

6.2.2. THE GENERAL MEETINGS.


The general meetings shall be;

i. Held every regular Saturday quarterly (3 months interval) from (10am-4pm)


ii. Attended by the executive committee members and all other organization members
iii. Taking place when a half of the organization members are present as the requisite
quorum.

In the general meetings, constitution amendments organization finance expenditure auditing


and organization elections shall be the composition agenda .Any decisions after discussions
shall be supported by two-thirds majority of members.

6.23. THE EXTRA -ORDINARY MEETINGS.


(a) The extra-ordinary meetings shall be important meetings convened in any case of
emergency or urgency by the chairperson and notified by the secretary
(b) The extra-ordinary meetings shall not consider quorum
7.THE IRINGA NYABIOSI YOUTH GROUP CONSTITUTION
AMMENDMENTS

The Cyber Owners Association of Tabaka constitution shall be the supreme law of the organization.
Any other amendments to this organization constitution MUST be approved by at least two-third
majority of the organization member's quorum in a general meeting guided by the constitution of the
republic of Kenya and the act forming the authority regulating the formation of such organization.

8.THE CYBER OWNERS ASSOCIATION OF TABAKA


CONSTITUTION DISSOLUTION.

(a)The organization constitution shall not be dissolved except by a resolution proposed in a general
meeting of the organization members by a vote of two-third majority of all organization members. If no
quorum obtained the simple majority vote in the next general meeting dissolves the constitution
(b)The organization constitution dissolution shall be communicated to the relevant government
registration department in writing by the secretary and signed by the executive chairperson
(c)The organization dividends and liquidated assets shall be equally shared by all members of the
organization after payment of all debts accrued by the organization
