shall be bound to follow rules and regulations
of statutory authorities
and BPCI. rcgarding usage of prernises.

5'6' ln particular' the I'icensee shall keep


the premises neal and clean, shall not store
hazardous materials in the
premises and shall not throw refuse/garbage/dirt
outside the Restaurant Area and will take
care fbr disposal
of such garbage'and wastes and will install
sewage treatment plant to cornply with
State pollution control
Board guidelines at their own expense.
T'he Licensee shall also not do or permit
or suffer to be done upon the
Restaurant area anything which may cause
nuisance or annoyance.

-5'7' It is understood that thc Liccnsee is carrying out


business as parr of busirress as being run in
the Retail outlet
and as such docs not havc an-v independcnt
business establishment or tenancy. 'fhe I-icensor
shall have right
of inspection of Restaurant area at any time without prior
notice.

5'8' The ['icensee shall ensure best service standards


to be maintained at the Restaurant for high level
of customer
satisfaction irr keeping with thc reputation and goodwill
that the [.icensor enjoys for its product and services.
'lhe prices
tbr the sale of its products shall bc lixed by the
l.icensee in consultation with the Licensor who
will have right and authority to check the quality of
the products and services rendered.

RIGIITS AND OBLICATIONS OF'IHT:

7'I The Licensee shall pay and discharge
all past, present and future rates, taxes,
revies incruding but not limited
to statutory taxes' electricity charges
cess, assessments and non-occupancy
and all other charges payable to
any covernment semi-government. Municipal,
cooperative society or any other local
or public body or
authority in respect or-the said utilities
used in the Licensed premises.

7'2 The Licensee shall submit a monthly

Further, the Licensee shall also share
with the Licensor, all the

buying patterns. promotions at the Retail
outlet.

7'3 The ['icensee upon the tcrmination of this


agreement shall put the premises back in its
original condition.

7'4 The l'icensee shall perrnit the l'icensor to inspect


the prernises and shall r.rraintain a register or
such other
records as rnay be advised by the t,icensor
fiom time to tinre, indicating therein the services provided
and
sold to the customcrs and rnoney realized
therefbre and to rnake records available to
the representatives of
the I.icensor at all times during the currency
of the agreement.

7'5 The [-icensce shall keep the licensed prc'mises


in good condition sub.ject to normal wearand
tear.

EVENT OF' DEFA U I,l'l'tERM INATION:
9'I Notwithstanding anything to the contrary
herein contained, the l.icensor will be
at liberty to terminate this
Agreernent fbrrhwith upon or at the time
of happening of any of the fbllowing which
constitute the events of
default:

9' l'l lf the t'icensee commits a breach of any of the terms and conditions
set out in this Agreement.
9'l '2 lf the Licensee fbils to pay any amount payable
to the L.icensor within the time period stipulated
under this asreement for the sarne.
9' l'3 llthc l'iccnsee cotnntits any act or perrnits any other person to do any act which is in
the opinion
ol the Licensor' Pre.iudicial to the interest of the said prenrises

I I. DISPUTE RESOI,TjTION AND JURISDICTION
