TERMS & CONDITIONS

1. Bada Business Private Limited (BBPL) authorizes an

Independent Business Consultant (IBC) to sell, the Products
and Services on the prices and guidelines on incentive basis.
2. IBC hereby agrees and acknowledges that such authorization
and appointment is non-exclusive and that the Products
and/or Services may be sold or provided to end customers by
BBPL or other IBCs of BBPL within the Territory or otherwise.
3. The Products and/or Services, Pricing, Incentive Slab, Targets,
Guidelines may be changed or amended at any time in by
BBPL on its sole discretion.
4. IBC agrees and acknowledges that any and all Products
and/or Services provided by BBPL shall be governed by, and
in accordance with, the General Terms and Conditions of Sale
of BBPL.
5. The applicable Commercial Terms of BBPL shall apply to all
transactions between BBPL and IBC.
6. IBC understands and accepts that he/she shall be required to
undergo a Special Online Training and Consultation by the
BBPL Team to be qualified as the Independent Business
Consultant of BBPL.
7. IBC understands and accepts that the fee paid is non-
refundable and is non-transferable.
8. The IBC shall receive and make all the payments through
Bank Draft/ Cheque/ NEFT/ RTGS in the name of “Bada
Business Private Limited”
9. IBC shall not assign its rights and obligations under to any
third-party without the prior written consent of BBPL.
10. Disputes, remedies and obligations, if any including matters
of construction, validity, and performance, shall be governed
exclusively by the laws of the India and the Courts in Delhi
shall have the sole jurisdiction to decide any kind of dispute
between the parties.
11. All notices pertaining this arrangement shall be sent to –

12. IBCs Loan Default
I. Non adherence to the Repayment Schedule; Any
 installments or portion of the principal monies and/or
interest being unpaid upon the due date for payment
thereof.
II. Bada Business reserves all rights to withhold all
inventory, payouts/ commissions immediately.
III. All applications and/ or services shall suspend with
immediate effect.
IV. Any commissions or payouts will not be made until the
IBC clears all his dues with the financing partners of
Bada Business.
V. The entire Loan Amount along with Interest for the entire
period shall immediately become due and payable, and
Bada Business shall have the right to recall the entire
loan together with interest for the entire period, the
overdue interest arising on account of default. All
charges are payable by the Borrower together with
applicable taxes.
VI. Bada Business reserves all rights to take the Tablet
handed over back in its original condition.
VII. Bada Business shall be entitled to proceed against and
take any action against the Borrower and / or the
Guarantor(s) in order to realize the Loan Amount along
with Interest, Charges and expenses.
