Management Service Agreement

This Management Service Agreement is made and entered into by and between ‘’The Management’’ Guvy
Heer of Asees, Burtons Lane, Chalfont St. Giles, HP8 4BB United Kingdom and “The Artist” Bijal Tankodra of 64
Dunsham Lane, Aylesbury, Buckinghamshire, HP20 2DA, United Kingdom.

Effective Date

This Agreement shall be effective upon signature of contract by both parties set out above and shall remain in
effect until terminated as provided herein.

Terms of Agreement

Commitments as an Artist to Management

(a) The Artist will provide without limitations, complete and thorough exclusive Artistic professional
services, consultation, promotion, marketing, and distribution of all form of talent (from herein
referred to as ‘Project(s)’ from the date effective of this agreement under the Management Brand
‘Guvy Heer’ and its associated forthcoming handles.

(b) The Artist agrees that individual Project(s) acquired by the Artist are subject to a Quality Control
process whereby The Management and its authorised representatives will hold full rights on whether
to pursue an individual project under The Artist and Management respective brands. Management
can refuse projects that are detriment to the journey and path of The Artist professional progression.

(c) The Quality Control process above mentioned in ‘(b)’ will include without any limitations all
electronic, digital, sampled, likeness, physical and intellectual property of the individual project of The
Artist, during the duration of this Agreement.

(d) The Artist will always conduct themselves professionally as a team member, in and out of the public,
and not as a sole figure, consistently keeping in regular contact and conferring all professional
developments with Management.

(e) Artist will endeavour to complete all tasks set by management in a reasonable and timely manner to
ensure progress can be made. Delays in responding can have negative effects on monetised
opportunities.

(f) Artist will not engage in any professional conversations or make any refutable commitments with
knowns or unknowns without presence of Management, unless stated, referring all contact and
requests through Management for the duration of this agreement.

(g) For the duration of this Agreement, Artist is to continue nurturing their craft, prioritising, and
investing consistent time into preparation of projects, lessons for vocals, language, performance and
alike. Artist will be responsible for any costs and arrangements incurred in these activities. If the
Artists professional ability declines, Management can terminate this Agreement without any notice.

Commitments as Management to Artist

(a) Management will play multiple roles to aid Artist building their professional career with all their
experience, influence, and contacts in the respective Industries. Management will act as a barrier
between all external engagement, admin, communication, organisation, financials, and developments
allowing Artist to solely concentrate the development of their talent.

(b) Management will invest time and money to ensure Artist operations, infrastructure, projects and all
forms of output are of leading industry standard. Management will not take on other commitments or
Artists that will conflict or compete with Artists in this agreement.

(c) Management will take creative decisions to increase artist eminence and market share in consultation
with Artist. Management will be influencing song selection for professional release, song selection for
live performances, career paths, professional development, physical appearance, creative outputs of
videos, images, and all receivable media across all platforms.

Representation Public and Personal

(a) All professional communication in and out regarding The Artist’s professional career will be handled
by Management. Any attempt made by any external party to professionally collaborate, hire, perform
or otherwise both electronically or verbal, shall be referred to Management for processing.

(b) All public appearances acting as The Artist, paid, promotional, organised by Management or Artist or
otherwise are to be diarised and agreed with Management. These appearances are to be formerly
contracted with The Artists’ Management and clients to always ensure Artist safety and
professionalism, unless otherwise stated by Management.

(c) Artist may be permitted to allow discounts of professional fees for affiliates with prior agreement of
Management but will ensure to keep to a minimum.

(d) Artist will make themselves available for live and pre-recorded interviews in and around existing work
and professional commitments as requests come in.

(e) Management and its authorised representatives reserve the right to refuse any Project(s), live
show(s), interview(s), and any other form of collaboration or representation of Employee on any
worldwide platform which are deemed harmful, damaging or are directly or indirectly detrimental to
the future services of the Artist and/or Management.

Representation in Media & social media

(a) Management will create, launch, jointly own and manage all new Artist social accounts and public
facing media including but not exclusive to: Facebook, Instagram, TikTok, contact email accounts,
phone number and artist website. Content for these platforms will be of professional quality only,
either created by Management team or Artist under lighting and sound guidelines set by
Management. These accounts may be closed or removed at the termination of this Agreement.

Management encourages Artist to continue to use their existing and private social media accounts on
private, invitation or closed basis for their own personal interactions for which Management will not
have access to.

(b) Processes of creation of digital artefacts will be owned by Management team, who will hold the
discretionary creative say on choices of posts in full collaboration with Artist. Management will
endeavour to ensure Artist is surrounded by the appropriate team and contacts to enhance Artist
visual image i.e. clothing designers, make up artists or performance professionals.

Artist will cease to upload sound or video recordings on private social media. Professional social
media video training and equipment will be provided to Artist to continue posting pre agreed content
from Artist home on Management ran social media accounts.

Music Production and performance

(a) Management will produce and master all audio artefacts by in-house production team ‘Shaan &
Verinder Music.’ All covers, production of unique songs and live performance artefacts will be
produced by the in-house producers unless otherwise specified.

(b) Management will entertain and, in some cases, pursue external Music production collaborations
based on the offers, monetary value and value to the brand of the Artist on their journey. All offers
and external projects will be consulted with Management, in-house production team and Artist and
voted on.

(c) Live performances of Artist will either be solo endeavours or in case of accompanying performers,
including but not limited to vocalists, musicians, dancers etc will be organised by Management in
accordance with the Artist’s and event needs.

Distribution of music, rights, and ownership

(a) All digital artefacts released for public consumption will be released in the new social media platforms
and Management’s own channels of distribution for which we may release ourselves or seek third-
party distribution services. Any proceeds from digital releases will remain within the Management
organisation.

(b) Music production and lyrics will be bought and contracted to the Management, thus owning rights of
digital, physical or any other future form of asset across the Globe.

(c) Management will seek permission and take relevant legal action to safely and securely release
content owned by other organisations such as Music covers or use of brands etc.

(d) Future use, manipulation, collaboration, and distribution beyond initial release therefore lays in the
sole discretion of the Management, during and beyond the termination of this Agreement.

Financial Commitments

(a) Management will make all reasonable financial commitments into development of professional audio
and visual artefacts for Artist performance and release, distribution, marketing and other associate
costs of releasing digital media across the Globe.

Management holds the right to reserve all accounting information for Management personnel only
with regards to costs and fees into the production of any artefact.

(b) When artists are travelling for a paid event, travel expenses are excluded for up to 100mile radius
from Artist home location. Any further commitments will be charged to clients for travel, hotel etc in
formal contracts where appropriate and compensated to traveling team inclusive of Management and
Artist and accompaniments when relevant.

(c) Management will not cover costs to Artists for learning, development, traveling or expenses for
preparation of any digital artefact, unless specifically specified i.e. international shoots etc. Artist must
also invest in their own garments based on an agreed image and look discussed with stylist provided
by Management.

Management will work towards seeking jewellery, make up and clothing sponsors for long term
collaboration where possible.

(d) Management is seeking to grow Artists professional eminence in the entertainment marketplace on a
Global scale, whereby the Artist popularity increases allowing Management to charge a fee for Artist
performances. When such a time comes, performance fees will be received by Management in full
from clients and 50% + reasonable expenses where appropriate, will be distributed to the Artist in a
pre-agreed format.

As artist popularity grows and number of shows and income increase above a certain threshold,
Management and Artist will need to consider other expenses such as accountants, income tax,
national insurance contributions and other related expenses. Payment terms and payment plans will
need to be renegotiated at this period.

Career Planning and future roadmap

(a) The Management reserves the right to a 6-month probation period in which should the Management
decide the services, commitment, and professionalism of the Artist not sufficient, in any form that
they wish to measure, can terminate the agreement with immediate effect. Any materials and
progress made during this period will belong solely to the Management.

The Management and Artist agree that this will be in the form of a disengagement agreement
highlighting the termination of contract. The Company and employer agree that the terms and
conditions of this contract will stay in effect indefinitely unless otherwise stated.
