BETWEEN
Zummit Africa Limited an incorporated company registered under the laws of the Federal
Republic of Nigeria with its principal place of business at 26a Roedean close, Cadogan Estate,
Lekki, Lagos (hereinafter referred to as “Zummit”) ​which expression shall where the context
so admits, include its agents, assigns and successors–in-title.

AND

________________________________________, (hereinafter referred to as the “Zummit Africa Fellow”

which expression shall where the context so admits, include its agents, assigns and
successors–in-title.

WHEREAS

1. Zummit is a for-profit startup building Africa’s largest talent pool of technology experts in
Artificial intelligence and software development.
2. Zummit provides a free training program in AI and software engineering (the "Program");
3. The Zummit Africa Fellow desires to participate in the Program
4. Zummit and the Zummit Africa Fellow wish to set forth the terms and conditions
regarding participation in the Program and the Company's right to receive a commission
from the Zummit Africa Fellow’s salary if the Student secures employment in the field of
AI or software engineering after completing the Program.

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants
contained herein, the parties agree as follows:

1. Commencement and Term

This Agreement shall commence on the date when it has been signed by both parties
and shall continue until the completion of the program

2. Obligations
2.1 Zummit shall:
2.1.1. Provide adequate training to the Zummit Africa Fellow during the period of the
training program.

2.1.2. Provide all necessary support that is needed to aid learning by the Zummit Africa
Fellow.

2.1.3. Where available provide internship / entry level role opportunity to the Zummit
Africa's Fellow (this is not a salient obligation)

2.1.4. Zummit shall expel Zummit Africa Fellow who fails to actively participate in the
program and complete all assigned coursework and projects
.
2.2. The Zummit Africa Fellow shall:

2.2.1. Actively participate in the Program and complete all assigned coursework and
projects.

2.2.2. Comply with all of the Zummit’'s rules and regulations regarding the Program.

2.2.3. Use their best efforts to secure employment in the field of AI or software
engineering after completing the Program.

2.3.4. Upon attainment of such employment, the Zummit Africa Fellow shall not fail to
intimate their employer of this agreement.

3. Cost of the Program

3.1. The cost of the program is 10% of the Zummit Africa Fellow’s salary for 18 months.
If Zummit Africa fellow secures employment in the field of AI or software development
within 12 months of completing the Program. There is no risk - you only pay when you
get a fantastic job. Your 10% isn't just a payment, it's a torch passed on. You open doors
for students hungry for the same opportunities you were given. Each contribution fuels a
new generation of innovators, builders, and dreamers.

3.2.The payment will be calculated and deducted from the Zummit Africa Fellow’s salary
by the Zummit Africa Fellow’s employer and remitted directly to the Company.

3.3. The Zummit Africa Fellow agrees to provide the Company with written notice of their
employment start date and salary information.

4. Confidentiality

4.1 The Student agrees to keep confidential all non-public information received from Zummit in
connection with the Program.

4.2 This obligation of confidentiality will survive the termination of this Agreement.

5. Governing Law

5.1 This Agreement shall be governed by and construed in accordance with the laws of the
Federal Republic of Nigeria.

6. Entire Agreement

6.1 This Agreement constitutes the entire agreement between the parties with respect to the
subject matter hereof and supersedes all prior or contemporaneous communications,
representations, or agreements, whether oral or written.

7. Notices

Any notice or other communication given to a party under or in connection with this Agreement
shall be in writing and shall be sent by email to the address specified below:

8. Severability

8.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall
be struck from this Agreement and the remaining provisions shall remain in full force and effect.

9. Waiver

9.1 No waiver of any provision of this Agreement shall be effective unless in writing and signed
by both parties.

10. Termination

10.1. Without affecting any other right or remedy available to it, Zummit may terminate this
Agreement with immediate effect by giving written notice to the Zummit Africa Fellow if the
Zummit Africa Fellow commits a breach of this Agreement

10.2. Without affecting any other right or remedy available to it, either party may terminate this
Agreement with immediate effect by giving written notice to the other party if:

10.2.1. the other party commits a material breach of any term of this Agreement which breach is
irremediable or (if such breach is remediable) fails to remedy that breach within a period of
Seven (7) Business Days after being notified to do so;

10.2.2. the other party suspends, or threatens to suspend, or ceases or threatens to cease to
carry on all or a substantial part of its business. Any provision of this Agreement that expressly
or by implication is intended to come into or continue in force on or after termination or expiry of
this Agreement shall remain in full force and effect.

10.3. Termination or expiry of this Agreement shall not affect any of the rights, remedies,
obligations or liabilities of the parties that have accrued up to the date of termination or expiry,

including the right to claim damages in respect of any breach of this Agreement which existed
at or before the date of termination or expiry.

SCHEDULE 1: CONSENT AND MEDIA RELEASE FORM Interviews, Photos and Video

To advance Zummit’s mission of providing young Africans with opportunities and

platforms for decent work and entrepreneurship through digital skills empowerment and
advocacy; I, as a Fellow of the Zummit Africa Training Program hereby give Zummit, its
affiliates and agents and partners my consent to interview, film, photograph, tape or
otherwise make a video reproduction of me including recording of my voice without
expectation of compensation or other remuneration, now or in the future.

This includes:

● Consent to use my name;

● Consent to use my, image (whether photographic, video and/or electronic) and/or
any interview statements (and excerpts of statements) from me in its
publications, press releases, reports promotional materials or other media
activities including the Internet, as “Materials” for educational, promotional and
awareness campaigns in all forms of media.
● I waive any right to inspect or approve use of the Materials

SCHEDULE 2: INTERNSHIP PLACEMENT AGREEMENT

Upon successful completion of the Program, the Fellow may be seconded to a

third-party entity (the “Employer” or “Interested Partner Company”) and in that instance,
the provisions of this Schedule 2 shall apply, as may be amended by another written
document.

Purpose

1. This internship placement agreement (the “Agreement”) documents applicable

terms and confirms your willingness to be paired with an internship partner
company of Zummit. Zummit is committed to providing the career support you
need to establish and grow in your chosen field.

2. The internship partner company is interested in filling a role that aligns with the
Program track or is closely related to the program track: Software (Frontend and
Backend Development), Artificial intelligence/Data Science.

3. You are being placed with the internship partner Company, to further hone the
skills you have been taught during the training program, and having been
evaluated. It is considered that you meet the assessment criteria and
requirements of the internship partner company.

We hope that you will find the internship placement enjoyable and rewarding and
you perform your tasks with utmost diligence and dedication and be a good
ambassador of Zummit during your placement with the organization.

Procedure

Your internship will take place at the internship partner company from the agreed date,
and you will work within the defined track. Your fixed hours of work will be as indicated
in the employment contract you have received and signed.

We expect you to undertake tasks and perform according to the work plan given by your
host company and achieve the learning objectives to the best of your ability. We also
expect you to abide by the procedures and standards of your host company.
