CONTRACT OF SERVICE

This contract entered into by and between:

PATRICK YUAN OLAVERE, single/married, Filipino, of legal age, with address at 571 Ignacio
Compound, Sta. Quiteria, Caloocan City and hereinafter referred to as the "EMPLOYEE";

-and-

CHY MEDICAL ANALYTICS SUPPORT SERVICES. a domestic business duly

organized in accordance with Philippine Laws with office address 311 – B Mangga Ave., San Juan, Metro
Manila represented by its’ General Manager, Mr. Cleve Yu, hereinafter referred to as the "EMPLOYER"

WITNESSETH:

WHEREAS, the EMPLOYER is engaged in the business of Durable Medical Equipment Supplies
(DME),, the EMPLOYER having the facility and possessing the necessary experience and expertise , with
the adequate assistance of professional instructors therefore;

WHEREAS, the EMPLOYEE is desirous of developing his/her career in CHY MEDICAL

ANALYTICS SUPPORT SERVICES, and was hired by the EMPLOYER as such to achieve this purpose,
and the EMPLOYER agreed to accept the responsibility involved in such agreement;

NOW, THEREFORE, for and in consideration of the foregoing premises & of the mutual
covenants, stipulations, duties and responsibilities hereinafter set forth, the EMPLOYER & the
EMPLOYEE HEREBY COLLECTIVELY agree as follows:

1. EXCLUSIVITY: In order to assure faithful compliance with terms and conditions set forth
herein, the EMPLOYEE agrees that the EMPLOYER shall be his/her sole and exclusive
employer.

2. TRAINING /DEVELOPMENT: the EMPLOYEE agrees to abide with, and follow, any and
all schedules for training, development seminars, recommended by the EMPLOYER,
personally or through said EMPLOYER’S duly authorized representatives and/or professional
instructors.

3. EMPLOYER RESPONSIBILITIES: The EMPLOYER agrees to:

a. Exert its best efforts to develop, train improve the quality of the performance of the
EMPLOYEE.

b. Engage the services of professional instructors and/or mentors if in its discretion there is
a need to do so in order to further enhance the quality of the performance of the
EMPLOYEE;

4. EMPLOYEES OBLIGATIONS: The EMPLOYEE AGREES TO:

a. Strictly abide with and follow any and all schedules for training, development seminars,
recommended by the EMPLOYER through its representatives and/or professional
instructors;

b. Render at all times proper conduct and respect towards the EMPLOYER’S
representatives;

c. Be punctual at all times in all appointments, seminars, and other similar engagements as
may be arranged by the EMPLOYER or any of its representatives;

d. Comply with all rules and regulations of the company.

e. Exert all efforts to improve the quality of his/her work regardless of any personal
problems unless physically incapacitated to do so;

f. Adopt and maintain the demeanor of a true professional dedicated to the perfection of
his/her trade at all times;

5. TERM RESCISSION CLAUSE: The term of this agreement is TWELVE (12) working
months from JULY 16, 2023 TO JULY 15, 2024, with an option given exclusively to the
EMPLOYER to extend the same provided that the exercise on the EMPLOYER’S part of said
option shall be reduced in writing and received by the EMPLOYEE at thirty (30) days prior to
the expiration of the original term hereof. The EMPLOYER shall have the exclusive option to
seek rescission of this Agreement.
 6. CONSIDERATION: By way of compensation for the services provided by the EMPLOYEE
to the EMPLOYER as stated herein, the latter agrees to pay the former, without need of a
demand, an amount equivalent to FIFTEEN THOUSAND SEVEN HUNDRED FIFTY
PESOS (P15,750.00) plus incentives per month. An increase of 5% will be implemented upon
renewal of this contract. For this purpose, the EMPLOYEE have NAMED, CONSTITUTED
and APPOINTED and by these presents do hereby NAME, CONSTITUTE and APPOINT the
EMPLOYER as his/her true and lawful ATTORNEY-IN-FACT for and his/her name, place
and stead to do the following acts or things, to wit:

1. To negotiate for, make, execute, and sign any and all contracts for the
engagement of his/her service with any accredited entity that may require Sleep
Study, Scoring , DME supplies and other related services for whatever
consideration;

7. MUTUAL STIPULATIONS:
That during the entire course and continuance of this agreement, the parties shall do all
within their power to continue implement and perpetuate this agreement, and any act of the
parties, whether committed directly in the person or through the medium of third persons and/or
entities which are intended or calculated to oust or prejudice either of the parties to this
AGREEMENT shall entitle the aggrieved party to all the damages which may be proven.

8. LIQUIDATED DAMAGES: The EMPLOYEE agrees to pay the EMPLOYER the amount of
FIFTY THOUSAND PESOS. (P50, 000.00) as liquidated damages, which the said
EMPLOYER may suffer in case of breach of any stipulations/provisions of this contract.

IN WITNESS WHEREOF, the parties hereto have hereunto set their hands and signed

this AGREEMENT this 16th DAY OF JULY, 2023 at 311-B Mangga Ave. San Juan, Metro Manila,
Philippines.
