Does the following constitute a Contract?

1. A letter of intent or LOI is a document outlining an

agreement between two or more parties before the

agreement is finalized.

2. LOIs resemble written contracts, but are usually not

binding upon the parties in their entirety. Many LOIs,

however, contain provisions that are binding, such as non-

disclosure agreements.

3. An LOI may also be interpreted as binding the parties if it

too closely resembles a formal contract.

1. A Purchase Order is a commercial document issued by a

buyer to a seller, indicating the type, quantities and agreed

prices for products or services that the seller will provide to

the buyer.

2. Sending a PO to a supplier constitutes a legal acceptance to

3. Acceptance of a PO by a seller usually forms a once-off

contract between the buyer and seller, so no contract exists

until the PO is accepted.

awarded during a given period, in particular with regard to

price and quantity.


FRAMEWORK
AGREEMENT 2. A framework agreement is a general term for agreements

with providers which set out terms and conditions under

which specific purchases (call-offs) can be made throughout

the term of the agreement.

1. Contracts can be formed verbally, however without a

witness it can be difficult to prove that a contract has been

formed.

WORD OF MOUTH 2. In most cases a “verbal” contract would not be adequate.

3. “My word against yours” is a defense commonly relied

on.
