The parties choose the above stated addresses as their physical addresses at which legal
proceedings may be instituted. On conclusion of this contract between the buyer and seller,
these general terms and conditions of sale and delivery are agreed to be an integral part of the
contract.

4) WARRANTY OF KRAMER NUTZFAHRZEUGE:

The Seller warrants that at the date of signature of this agreement there are no licensing fees or
fines or other penalties outstanding against the registration of the vehicle sold in terms of this
agreement. We are a registered brand company, DE202645252 ! Certainty is important. We get
that. You, the buyer, transfer the money to a Kramer Nutzfahrzeuge trusted bank payment
provider. Warranted characteristics as defined in § 922 (1) Civil Code are only characteristics
expressly designated and individually warranted by the seller. Product descriptions, brochures
and other general information, information from the seller (or a third manufacturer) etc. are
warranted characteristics.
Seller has checked every single aspect of the vehicle in order to show the true condition to the
Buyer and guarantees the vehicle is in good working condition, no accidents or hidden
damages! All vehicles on kramer-nutzfahrzeuge.com are verified. We do not hide defects, we
guarantee the quality of our vehicles through video photos and documents upon request. Each
vehicle has been thoroughly inspected by our independent experts. We make HD videos and HD
photos of every vehicle, so you know what you buy.

5) INTERNATIONAL DELIVERY BY SEMI-TRAILER OR TRACTORHEAD:

The transport from GERMANY to ROMANIA is done with our own auto-trailers for which we
have FULL TRANSPORT INSURANCE, and we also have FULL TRANSPORT INSURANCE for the
transported vehicles, eliminating any risk during the transport. We deliver all over Europe. The

transport of your vehicle is easily arranged. Choose your delivery point and we’ll do the rest.
Having moved more than 100,000 vehicles from point A to point B, we are no strangers when it
comes to transporting and shipping vehicles and machinery. Everything that is a document, the
client receives them in a sealed envelope together with the secondary keys. The driver who
delivers the vehicle will give you the documents personally! The seller offers you all the
documents for registration or personal use! The delivery time is up to a maximum of 10 days. If
Vehicle is not delivered by that date, the Seller shall be liable to Buyer for the following late
charge: 50 EUR per day late. The delivery time is calculated from the first day after we confirm
receipt of payment.

6) PRICES:
Prices from the seller are net prices (in euros) from the delivering factory/registered office of
the seller without packaging, discount and without value added tax. All payments must be
rendered in cash or by bank transfer to the seller's business account, as the seller prefers, free
of charges and without any deductions. The seller does not raise prices! The prices remain fixed,
those mentioned in the Invoice! No other interests and hidden commissions are charged! The
Purchase price from Invoice Proforma / Contract of sale must to be paid in full by bank transfer
or in a manner as agreed by both parties (deposit advance payment and rest in cash).

7) LEASING / EXTERNAL RATES

The purchase is made directly through us, direct seller Kramer Nutzfahrzeuge Germany!
Monthly installments are paid directly to Kramer Nutzfahrzeuge Germany! The customer is the
owner from the moment of purchase, according to the Invoice and Contract!

- Residual value 0%
- Monthly management fee 0%
- Administration fee 0%

The FINAL price is the one on the Proforma Invoice and Contract! The repayment period is up to
36 months, with the possibility of extension! Repayment in equal monthly installments,
according to the installment schedule. Early repayment can be made at any time during the
contract. Every 5th of the current month, we issue you the Proforma Installment Invoice! You
can opt for a lower or higher advance to get a lower monthly rate! The price of the transport is
not included in the monthly installments. Shipping is paid separately. The advance established

by the parties for the purchase is paid only by bank transfer. Monthly installments are paid only
by bank transfer! The customer has the obligation to pay all installments until the end of the
amount. The customer can always pay the remaining installments in full. When the payment
amount is paid in full, the external installments documents has been completed. The seller is
obliged to send the Final Invoice, closing the installment file.
8) APPLICABLE LAW, LEGAL VENUE:
This Agreement may be modified or amended if and only if the amendment is made in writing
and signed by both Parties! The seller, as well as the client, must accept the mediation in
writing. The exclusive place of jurisdiction for all present and future claims arising from the
business relationship with merchants, including claims based on bills of exchange and checks,
shall be the seller's place of business. ( Fehmarn, Deutschland ). The same place of jurisdiction
shall apply if the Buyer does not have a general place of jurisdiction in Deutschland, moves his
place of residence or habitual abode out of Germany after conclusion of the contract or if his
place of residence or habitual abode is not known at the time the action is brought. Otherwise,
in the event of claims of the seller against the buyer, the buyer's place of residence shall be the
place of jurisdiction. Disputes of the parties is done only at the company headquarters KRAMER
NUTZFAHRZEUGE. This agreement shall be governed by the laws of Deutschland. The Seller
certifies under penalty of perjury that the statements made in this Vehicle Sale
Agreement are true and correct to the best knowledge of the Seller.

9) PROFORMA INVOICE

The Proforma Invoice is only valid on the day it is being issued, until 16:30 ( Deutschland local
hour ). If a Proforma Invoice has been issued, and the customer has not made the payment by
the mentioned time, the Invoice is cancelled. The seller has the right to cancel any Proforma
Invoice after 16:30. The right to purchase any unit ends after 16:30.
