PARTNERSHIP LLC AGREEMENT

This Partnership LLC Agreement ("Agreement") is entered into on this 16 day of

October, 2023, by and between the following individuals and/or entities (hereinafter
referred to collectively as "Partners"):

1. Formation of LLC:

The Partners hereby agree to form a limited liability company (LLC) named [Your LLC
Name], hereinafter referred to as the "Zest Leads," for the purpose of engaging in the
confidential reselling of [Construction Leads] (the "Business").

2. Ownership and Capital Contributions:

2.1. The Partners' ownership interests in the Company are as follows:

 Partner 1: $40 Lead

 Partner 2: He will decide on his own

2.2. Each Partner shall make an initial capital contribution to the Company as follows:

 Partner 1: $40 Per Leads

 Partner 2: He will decide on his own

3. Management and Decision-Making:

3.1. The management and operation of the Company shall be conducted by the
Partners, and all decisions related to the Business shall be made jointly.

3.2. In the event of a dispute, the Partners agree to resolve it through [Specify dispute
resolution mechanism, e.g., mediation or arbitration] as described in Exhibit A attached
hereto.

4. Confidentiality:

The Partners shall maintain the confidentiality of all business information, customer
data, and trade secrets related to the Business, and shall not disclose such information
to third parties without the prior written consent of all Partners.
5. Roles and Responsibilities:

The Partners shall agree upon their respective roles and responsibilities in the
management and operation of the Business, as described in Exhibit B attached hereto.

6. Capital Contributions and Funding:

6.1. The Partners shall make additional capital contributions to the Company as needed
to fund the Business, subject to the approval of all Partners.

6.2. Capital calls and contributions shall be made in accordance with the terms specified
in Exhibit C attached hereto.

7. Withdrawal and Dissolution:

7.1. A Partner may withdraw from the Company only with the unanimous consent of all
Partners.

7.2. The conditions and procedures for the dissolution of the Company are outlined in
Exhibit D attached hereto.

8. Term and Termination:

8.1. The initial term of this Agreement shall be 2 years, commencing on the date of
execution.

8.2. This Agreement may be renewed for successive terms upon the mutual agreement
of the Partners.

9. Non-Compete and Non-Solicitation:

The Partners agree to the non-compete and non-solicitation provisions outlined in

Exhibit E attached hereto.

10. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the
state of [Your State].

11. Entire Agreement:

 This Agreement constitutes the entire understanding and agreement among the
Partners and supersedes all prior agreements and understandings, whether oral or
written.
