First Supplemental Agreement

This First Supplemental Agreement to the Distribution Agreement dated 14th December, 2023
(hereinafter referred to as the “First Supplemental Agreement”) is executed on 23th January,
2024 (hereinafter referred to as “Amendment Effective Date”).

BY AND BETWEEN

GROWMORE PHARMACEUTICAL LLC, a distributor, constituted under the provisions of

the Ministry Of Health-UAE, and having its store at Lootah Warehouse 2, Dubai Investment Park
Dubai, UAE and it is duly represented by its Managing Director Mr. Adeeb Koppilath (hereinafter
called “GROWMORE or DISTRIBUTOR ”)

AND

M/s MEDIZ PHARMA, a company formed under the provision of the Companies Act 2006,
having it’s Registered Office at X/698, Athikkattukulangara, Palamel, Mavelikkara, Alappuzha,
Kerala 690528 represented by its Managing Director, Mr. Manu George (hereinafter referred to as
“MEDIZ or MAH” )which term shall mean and include its successors-in-interest and assigns

GROWMORE and MEDIZ are hereinafter individually referred to as “Party” and collectively
referred to as “Parties”.

WHEREAS:

i. GROWMORE and MEDIZ have entered into a Distribution Agreement dated 14th
December, 2023 (the “Agreement”) in relation to Manufacture and Supply of the Products
(as defined in the “Agreement”) by MEDIZ and supply thereof to GROWMORE on the
terms and conditions more particularly set out in the Agreement.

ii. The Parties accordingly wish to amend the Agreement on the terms and conditions set
forth in this First Supplemental Agreement.

NOW THEREFORE, in consideration of the premises and mutual agreement, covenants and
conditions hereinafter set forth, the Parties agree, and covenant as follows:

1.1 With effect from the Amendment Effective Date, the Parties have agreed to amend the
products in ANNEX I as below:

2. GENERAL PROVISIONS

2.1 Save and except as expressly set forth in this First Supplemental Agreement, all other
provisions and terms and conditions of the Agreement shall remain unaltered and continue
to have full force in accordance with provisions contained in the Agreement.

2.2 This First Supplemental Agreement along with the Agreement constitutes the entire
agreement between the Parties in respect of the subject matter more particularly set out in
the Agreement.

IN WITNESS WHEREOF, the Parties hereto have caused this First Supplemental Agreement to
be executed by their duly authorized representatives.
