MEMOMRANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement, made and executed on this __day of

December 2023 in Cauayan, Isabela, by —

ANITA B. ANDRES, Filipino, of legal age, married and with

residence address at Purok 3, Marabullig I, Cauayan City, Isabela,
hereinafter referred to as the FIRST PARTY;

- in favor of -

_MONICA MAY R. PECAAT, Filipino, of legal age, married,

and with postal address at 7 Dupax 1 Sta Ana, Taytay, Rizal,
hereinafter referred to as the SECOND PARTY.

WITNESSETH, That:—

WHEREAS, the FIRST PARTY is the registered owner of a certain parcel of

land situated in Cauayan City, Isabela, and covered by Transfer Certificate of Title
(“TCT”) No. N-57144 of the Registry of Deeds for Quezon City, free from any liens
and encumbrances of a parcel of land with more or less Four hundred fifty SQUARE
METERS AND NINETY SQUARE DECIMETERS (450).

WHEREAS, the FIRST PARTY has agreed to SELL, CEDE, TRANSFER

and CONVEY the above-described property to the SECOND PARTY for valuable
consideration as hereunder stated, and the FIRST PARTY has agreed to BUY and
ACQUIRE the same for the stated consideration.

NOW, THEREFORE, for and in consideration of the foregoing premises and

of the terms and conditions hereinafter set forth, PARTIES have agreed as follows:

1. The total contract price for the above-described parcel of land is FOUR
HUNDRED THIRTY THOUSAND PESOS (P 430,000.00).
2. The total contract price of FOUR HUNDRED THIRTY
THOUSAND PESOS (P 430,000.00) shall be paid according to the following
schedule:

2.1 TWO HUNDRED FIFTY THOUSAND PESOS (P

250,000.00), which FIRST PARTY hereby acknowledges to have
received from the SECOND PARTY, and which amount shall be
applied as partial payment of the total contract price.

2.2 The balance of ONE HUNDRED EIGHTY

THOUSAND PESOS shall be paid by the SECOND PARTY, (P
180,000.00) which shall not be more than ninety (90) days from the
signing of this Deed.

3. It is understood that all fees such as but not limited to back taxes
concerning the transfer of title from the Mother title to individual subdivided title, its
corresponding transfer fees and Capital Gain Tax, Extra-judicial settlement and estate
tax shall be for the account of the FIRST PARTY. Documentary Stamps Tax,
Transfer Tax, and Registration Fees and other miscellaneous fees or expenses for the
transfer of the title in the name of the FIRST PARTY shall be for the exclusive
account of the SECOND PARTY.

IN WITNESS WHEREOF, the PARTIES hereto have set their hands on the
date and at the place first above written.
