This Advertising Agency Agreement (the 'Agreement') is made at Mumbai on this _____ day of

_________ for a period of 12 months.

Between

NSBIG MEDIA PVT. LTD. (the 'Agency'), a Company Registered under the Companies Act, 2013, and
having its Registered office at: 110/1, Tirupati Udyog, IB Patel Road, Goregaon, East - 400063 and
having its Business Premises at: 110/1, Tirupati Udyog, IBPatel Road, Goregaon EAST, Mumbai
(INDIA)-400063. Through Mrs. PAYAL N. SINGH – Business Head, (which expression shall unless
repugnant to the context or meaning thereof be deemed to mean and include its successors and
assigns) of the ONEPART.

And

________________ (the 'Client’ OR the ‘Advertiser'), a Company Registered under

the Companies Act, 1956, and having its Registered office at,
_______________________________________and having its Administrative Office at
_______________________________, through its Authorized Signatory Mr. ______________,
(which expression shall unless repugnant to the context or meaning thereof be deemed to mean and
include its successors and assigns) of the OTHER PART.

Agency and Client shall individually be referred to as Party and collectively as Parties.

Where Agency is in the business of providing Online Media services (SEO, SMO, PPC, Media Planning
& Buying, and Web Services) for a fee and Advertiser desires to engage Agency to render, and
Agency desires to render to Advertiser, certain advertising agency services, as set forth in this
Agreement. NOW, THEREFORE, in consideration of the mutual agreements and covenants herein
contained, the parties hereto agree as follows:

Points to be noted:

1. The agency shall receive advance amount of Rs. 1, 50,000/- for 1 year contract which starts
from 1.05.2022 to 30.04.2023.
2. 18% GST will be chargeable on all services
3. Scope of work is clearly mentioned on the last page with heading Annexure (anything over
and above the scope of work will be chargeable).
4. Any work above the scope of work will be on actuals and payment will be advance before
starting the work
5. Our team will be working from Monday to Saturday 11am to 6:30 pm except on public
holidays we will be available only on the given timing.
6. Maximum 2 alterations/ design
7. Brief for any artwork/creative/project requirement has to be given at least 48 working hours
in advance, with an exception of 1 “urgent brief” per quarter
8. The brief for a campaign/communication execution to be done on a Holiday/Sunday has to
be given at least 2 working days in advance, which can be scheduled in advance.
9. The campaign calendar will be shared with agency 30 days in advance to maintain the
smooth process and flow.
10. No refund/advance will be returned if we decide to stop the services in the middle of given
time phase.
11. In case for a certain duration of time the client decides/requests to put the stop the work or
put the work on hold or reduce the activity, in any such scenario no refund / discount shall
be given unless agreed upon in writing prior to such hold.
12. To stop the services the client should send us a writing email 3 months prior.
13. Agency will provide 15 days posts 3 days in advance for approval to avoid any mistakes.
14. We will provide PPT each month which will help you with Brand performance
15. If there is any fight/argument between both the parties and as per mutual understanding we
shall stop the services within 7 working days.
16. This Agreement terminates and supersedes all prior understandings or agreements
on the subject matter hereof. Only a further writing that is duly executed by both parties
may modify this Agreement.
