EVENT MANAGEMENT SERVICES AGREEMENT

This Event Management Services Agreement ("Agreement") is made in Addis Ababa, Ethiopia, on [Date
of Agreement], by and between:

Client:
Future Import Export and Trading PLC, hereinafter referred to as the "Client," represented by
Mohammed Dawud, CEO, with a registered address at Nifas Silk Lafto Sub City Wereda 12 H.No New,
Addis Ababa, Ethiopia, and contact phone number +251 917 999 111 or +251 917 999 222. Email:

Service Provider:
Festive Travel Events Organizer & Car Rent, hereinafter referred to as the "Service Provider," represented
by Ms. Yordanos Haile, CEO, with a registered address at Selam City Mall, Cameroon Street, 7th floor,
Office No 703, Addis Ababa, Ethiopia, and contact phone number +251911211992. Email:
Yordanos@festiveteam.com

1. OBJECTIVE OF THE AGREEMENT:

This Agreement outlines the terms under which the Service Provider, Festive Travel Events Organizer &
Car Rent, shall provide event management services to the Client. The services to be provided include
organizing and promoting a Bazaar to showcase and promote businesses in the Afar region. Specific
event dates will be determined at a later stage.

2. TERRITORY:

The Bazaar event will take place in Afar, Ethiopia.

3. DUTIES OF SERVICE PROVIDER:

Festive Travel Events Organizer & Car Rent, as the Service Provider, hereby agrees to undertake the
following responsibilities for the event in Afar Region:

· Overall coordination of the Bazaar

· Strategic Planning

· Design and sourcing of sponsorship packages

· Vendor Management

· Venue Management

· Logistics coordination

· Procurement and setup of all necessary event equipment

· Design and implementation of media marketing and promotion

· Event decoration and design


· Staffing for the event

· Event Execution

· Setup and takedown

4. DUTIES OF THE CLIENT:

The Client, Future General Trading PLC, agrees to fulfill the following obligations:

· Request support from various government institutions

· Identify and source event sponsorships

· Invite VIP guests, participants, vendors, and key stakeholders

· Coordinate with governmental offices regarding the event's location and date

· Manage security coordination

5. COMPENSATION:

The Client agrees to remunerate the Service Provider as follows:

· An initial fee of 350,000 Birr will be paid by the Client as part of the overall event management
fee.

· The remaining fee will be collected from sponsorship contributions exceeding the cost to run the
event.

· The distribution of the remaining sponsorship amount shall be divided as follows: 40% to the
Client and 60% to the Service Provider.

6. Vendor Contracts

Subcontractors: The Service Provider may subcontract certain aspects of the event management
services, subject to the approval of the Client. The Service Provider shall be responsible for managing
and overseeing any subcontractors and ensuring their compliance with the terms of this Agreement

7. Event Cancellation or Postponement

1. Cancellation: In the event of a cancellation of the Bazaar, the Parties shall adhere to the
following conditions:

If the Client initiates the cancellation, the Client shall be responsible for reimbursing the Service
Provider for any reasonable expenses incurred up to the point of cancellation. The initial fee paid
shall be non-refundable.

2. Postponement: In the event of postponement or rescheduling of the Bazaar, the Parties shall
determine a new date and outline responsibilities for rescheduling. Any additional costs incurred
due to postponement shall be the responsibility of the Party requesting the postponement.
8. CONFIDENTIALITY CLAUSE:

Both the Client and the Service Provider, as well as their respective employees, agree not to disclose any
confidential information concerning the personal, financial, or other affairs of the Parties. All such
information shall remain confidential and shall not be revealed to any third party.

9. DAMAGES FOR BREACH OF AGREEMENT:

In the event of a breach of this Agreement by either Party, resulting in damages to the other Party, the
injured Party shall have the right to seek damages in accordance with applicable laws.

10. ENTIRE AGREEMENT:

This Agreement constitutes the entire understanding between the Parties, supersedes all prior
agreements, and memorializes all present and past written and oral agreements. No statements,
promises, or inducements outside of this Agreement shall be considered valid or binding.

11. AMENDMENTS:

This Agreement may only be modified, altered, or amended in writing, signed by both Parties, and
attached to this Agreement.

12. APPLICABLE LAW AND ARBITRATION:

This Agreement shall be governed, interpreted, and construed in accordance with Ethiopian law. In the
event of any dispute or differences arising, the Parties shall use their best efforts to settle such disputes
through negotiation. If a resolution is not reached within fifteen (15) days, the dispute shall be submitted
for arbitration. The arbitration shall be conducted in accordance with Ethiopian Civil Procedure Law, and
the venue shall be in Addis Ababa, Ethiopia.

13. FORCE MAJEURE:

In the event of force majeure events beyond the control of either Party, which prevent the performance
of this Agreement, the affected Party shall promptly notify the other Party. The Parties shall work
together to mitigate the impact of such events and, if necessary, adjust the terms, costs, and schedule of
the event as needed.
