买卖双方同意按下列条款由卖方出售，买方购进下列货物：
The seller agrees to sell and the buyer agrees to buy the under mentioned goods on the terms and conditions stated below.
1.
订单信息(Order Information )：

车辆品名，描述与规格，数量，单价，总价，唛头，目的口岸等，另详 PI 附件。
The vehicle name,description and specifications, quantity, unit price, total price, shipping marks, destination port, etc. will be

detailed in the attached PI.

2.
装运期限 (Time of Shipment) it is for 1 year, not one time agreement
卖家收到正式信用证开立时 50 天安排发货。
The seller arranges shipment within 50 days after LC opened
3.
清关单据(Documents)：
提供整套清关文件正本和复印件。
Provide a complete set of originals and copies of customs clearance documents.
4.
包装及标准(Packing)：

卖方应在包装货物时采取所有预防措施以保证货物在储存、海运、陆运、吊装时完好无损。货物应具有防潮、防锈蚀、防震并适合于
远洋运输的包装，由于货物包装不良而造成的货物残损、灭失应由卖方负责。
The seller shall take all precautions when packing the goods to ensure that the goods are intact during storage, sea transportation,

land transportation, and hoisting. The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and

shall be suitable for ocean transportation/ multiple transportation.

5.
保险(Insurance)：
卖方可负责办理海运保险（按发票全额 110%投保），买方支付保险费。
The seller can be responsible for handling marine insurance (110% of the total amount of the invoice is insured), and the buyer pays

the insurance premium.

6.
付款条件(Terms of Payment)：

① 信用证方式：买方须将保兑的，不可撤销的，可转让可分割的即期信用证开给卖方。信用证议付有效期延至上列装运期后 15 天在中
国到期，该信用证中必须注明允许分运及转运。
① Letter of credit (L/C): The buyer must issue a confirmed, irrevocable, transferable and divisible letter of credit at sight to the seller.
The validity period of the negotiation of the letter of credit is extended to 15 days after the shipping date listed above and expires in China,
and the letter of credit must indicate the permission for sub-shipment and transshipment.

② 电汇方式：买方在合同签订之后 5 天内需支付 10%~50%的货款定金，见提单复印件 3 天内支付余款。

②Telegraphic Transfer (T/T):The buyer shall pay a deposit of 10%~50% of the purchase price within 3 days after the signing of the
contract, and pay the balance within 5 days after receiving the copy of the bill of lading.

③ 买方未在规定的时间内开出信用证，卖方有权发出通知取消本合同，或接受买方对本合同未执行的全部或部份，或对因此遭受的损
失提出索赔。
③The buyer fails to open the letter of credit within the specified time, the seller has the right to issue a notice to cancel this contract,
or to accept the buyer for all or part of the unexecuted contract, or to file a claim for the losses suffered as a result.
7.
装运通知(Shipping Advice)：

一旦装运完毕，卖方应马上通知买方，7 天内准备好清关文件。
Once the shipment is completed, the seller should immediately notify the buyer and prepare the customs clearance documents within

7 days.
8.
检验与索赔(Inspection and Claims)：
① 卖方可选择在发货前由检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。
①The buyers may choose to have the qualities, specifications, quantities of the goods carefully inspected by the inspection
authority, which shall issue inspection certificate before shipment.

② 货物到达目的的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定
不符，买方须于货到目的口岸的 15 天内凭检验机构出具的检验证明书向卖方索赔。
②The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the
port of destination. if the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the
contract, the buyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority
within 15 days after the goods arrival at the destination.

③ 如买方提供索赔，凡属品质异议须于货到目的口岸之日起 20 天提出；凡属数量异议须于货到目的口岸之日起 15 天提出。对所装

货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。
③The claims,if any regarding to the quality of the goods shall be lodged within 20 days after arrival of the goods at the destination,if
any regarding to the quantities of the goods, shall be lodged within 15 days after arrival of the goods at the destination . the sellers shall
take any responsibility if any claims concerning the shipping goods is up to the responsibility of insurance company / transportation
company /post office.
9.
通知(Notices)：

所有通知用英语写成，并按照如下地址用传真/邮件/快件/信息送达给各方。如果地址有变更，一方应在变更后 2 日内书面通知另一方。
All notice shall be written in English and served to both parties by fax/courier according to the following addresses. If any changes of

the addresses occur, one party shall inform the other party of the change of address within 2 days after the change.
10.
人力不可抗拒因素(Force Majeure)：
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，
该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生 15 天内将有关机构出具的不可抗
力事件的证明寄交对方。在此情况下，卖方仍应尽最大努力采取各种措施促使货物的发运。如果事故持续一个月，买方有权取消该合同。
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake,

draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party

affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter sends a

certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. In this case, the seller

should

still do its utmost to take various measures to facilitate the shipment of the goods. If the accident lasts for one month, the buyer has the

right to cancel the contract.

11. 仲裁(Arbitration)： 在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委

员会对外贸易仲裁

委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。

All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be

reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion

of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decision made by this commission shall

be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

12.附加条款(Additional Clauses)：

本合同上述条款与本附加条款有抵触时，以本附加条款为准。

Conflicts between contract clause here above and this additional clause,if any,it is subject to this additional clause.

13. 本合同为中英文两种文本，两种文本具有同等效力。本合同一式两份。自双方签字（盖章）之日起生效。

This Contract is executed in two counterparts each in Chinese and English ， each of which shall be deemed equally authentic. This

Contract is in two copies effective since being signed/sealed by both parties.
