For and in consideration of the negotiated amount of PESO: SIX


HUNDRED TWENTY-FIVE MILLION & 00/100 (Php625,000,000.00)
-- in light of the estimated fair market value of the Properties bordering
on the amount of P4,500 per square meter, more or less -- payable
according to a payment scheme to be mutually agreed upon by me and
the hereinbelow vendee or buyer, I do hereby SELL, TRANSFER and
CONVEY by way of the present Deed of Conditional Sale (‘Deed’) to and

in favor of REY ASTERIO LIM TAMBIS and NELIN BELCINA TAMBIS
(‘the Vendees’), both Filipinos, both of legal age and with mailing
address at ______________________________________________, their heirs
and assigns, the full title, rights and interest to the Properties with an
aggregate area of Two Hundred Thirty-Three Thousand Three
Hundred Eighty-Nine (233,389) Square Meters, subject to the full
payment of the herein stipulated consideration therefor and to such lien
and encumbrance as may be existing thereon, if any;

It is only upon my receipt of the aforementioned purchase price


that I shall duly execute the corresponding deed of absolute sale to and
in favor of the Vendees for the unconditional transfer of ownership of
the Properties to the Vendees who shall then be entitled to the
possession, use, enjoyment and control of the Properties;

Furthermore, I hereby confirm, affirm and acknowledge that


Forty Percent (40%) of the aforementioned purchase price of the
Properties subject matter of this Deed shall be allocated, segregated or
disbursed accordingly for the payment of any and all applicable taxes,
fees or charges in regard to the herein sale of the Properties, as well as
for the payment of any and all necessary documentation, legal
attestation, lawyer’s fees and other incidental legal cost pertaining to the
execution of this Deed. In addition, I likewise hereby confirm, affirm
and acknowledge that another Five Percent (5%) [on top of said 40%] of
the subject purchase price shall be allocated, paid and released to the
appropriate Sales Agent(s)/Broker(s) by way of sales commission for the
successful find of the Vendees and the ensuing brokering, negotiation or
facilitation of the herein sale of the Properties with the Vendees; and

I hereby warrant the following:

a. I am the owner of the Properties and have full legal right


and capacity to sell and transfer the same;
b. I have the legal capacity to execute, sign and deliver this
Deed under the terms and conditions provided herein;
and
c. All the real estate taxes due on the Properties for the
past and present time had been duly paid or settled.
