CONTRACT AGREEMENT

LOCAL ARCHITECTURAL CONSULTANT

AGREEMENT BETWEEN CLIENT AND CONSULTANT

This Agreement is made on the 24TH 2th day of November December 2023 by and between:

1) Miyamoto International Nepal Pvt.Ltd., duly incorporated under the laws of Nepal, having registration
number …………………., with its office at Norkhang Complex, Lalitpur (hereinafter referred to as " the
Client") as part of the first part.

2) ARC Architects and Engineers Pvt. Ltd., a firm incorporated under the laws of Nepal, having registration
number ……………, with registered office at Kupondole, Lalitpur (hereinafter referred to as "local
Consultant") as party of the second part, and

Whereas"

[A)] The client is working as an engineering consultant for planning to construct anthe Anandaban Hospital
Laboratory (hereafter referred to as the 'Project') located at Lele, Lalitpur and in connection herewith
desires to avail itself of as the Local Engineering Consulting Services for Article 25, a U.K. Based
architectural and engineering firm and The Leprosy Mission, U.K.
A)[B)] The Consultant is capable of providing the client with required Local Engineering Consulting Services for
Article 25 to the terms and conditions mentioned therein.

Now, therefore, it is hereby agreed as follows:

1. APPOINTMENT:

The client hereby engages the local architectural consultant and the consultant agrees to provide the firm
with the Local Engineering Consulting Services for Article 25 in the scope of work hereunder.

2. TENURE OF CONTRACT AGREEMENT

 The Contract Agreement will terminate automatically after 30 days upon the completion of the assigned
work unless extended by mutual agreement.
 Project execution shall be scheduled according with the mutual agreement of the client and consultant.

 In the event the consultant delays the prosecution of the work by the acts of God, fire, flood or any other
unavoidable casualties; or by political instabilities, labor strikes, late delivery of materials; or by neglect of
the Owner; the time for supervision of the work shall be extended.

3. SCOPE OF WORK
SCOPE OF WORK – Municipal Approval for the Local Architect
General:

1. The local architect will oversee all architectural aspects throughout the approval process, with the ultimate
objective of securing approval from the relevant local municipal authorities.
[2.] The project includes all of the following (*Should any other element of the scheme require approval for any
reason, the local architect will endeavor to inform the design teamclient, including Article 25, and ensure
that this is included as part of their service):
a. A new build Laboratory
b. Refurbished and extended Outpatient Department
c. Converted and extended Vivarium
d. Related landscaping, infrastructure, and retention structures, pathways and roads.
2.[3.] The local architect will have responsibility for the architectural proposals through all stages of the
approval process, visit all and any appropriate offices, locations and attend meetings as necessary to gain
approval. They will also provide all staffing resources as required.
3.[4.] Costs for all necessary transport, expenses and ancillary costs are covered by the agreed fee and will not
be subject to additional request. The registration and building permit tax cost as per municipal approval
process and government law should be taken care by client.
4.[5.] The local architect will endeavor to manage their work in a speedy and efficient manner, working
collaboratively with the rest of the design team.
5.[6.] All document submissions, drawings, and coordination between Local Consultancy and Municipality are
made by the client's representative.
6.[7.] The local architect will provide their license and any other document as required so as to take on legal
responsibility for the architectural portion of the application.

Stage-1: Design Stage

1. Brief on byelaws and provisions to be followed for designing


2. Review and guide the designer to have Architecture Design Drawings made as per norms/byelaws
prescribed by all approving authorities
a. Provide comments on design and support these with relevant local regulations (such as bylaws and
provisions).
b. Provide advice on use of appropriate local terminology and following local norms.
c. Advise on missing drawings that might be necessary for approval.
d. Advise on any graphical and formatting changes that might be required.
e. Provide plot sheets in dwg format with appropriate company information so that lead architect
(Article 25) can update drawings.
f. Advise on appropriate drawing scales and any other relevant information.
g. Check drawings when they are re-issued as many times as necessary to ensure compliance.
h. Acknowledge receipt of documents via email.

Stage-2: Approval from Municipality

[1.] Review all necessary design drawings made, guide designer to make sure designs are as per municipality
design guidelines and bylaws and municipality format.:
1.[2.] Review the design report, guide designer to make sure the report is in line with municipality requirement
and format
2.[3.] Final Compilation of all relevant drawings and documents for municipality process for approval.
a. ARC (local architect) will assist the design team in filling in forms or supportive documentation as
necessary for approval. They will inform the team of any additional documents required by the
client.
b. They will receive, print, compile and deliver all information relating to the building permit
proposals as necessary to gain approval.
c. When printing they will take responsibility in checking that the appropriate drawings are included
and if any last-minute amendments or changes need to be made.
3.[4.] Present to Jury as required with the help of Structure Engineer, Geotechnical Engineer and MEP experts to
be appointed by the client.
a. In preparing for the architectural defense the local architect will take responsibility to familiarize
themselves with all aspects of the scheme.
b. If additional defenses are required for this application for any reason, they will perform these as
well.
4.[5.] Coordination with international consultant/s as required
5.[6.] The local architect will carry out all and any consultations and discussions with the relevant case officer and
municipal authorities as required to obtain approval.
6.[7.] Any and all formal or informal comments and feedback will be relayed promptly and clearly in written form
to the design team.
7.[8.] The local architect will clearly communicate risks and challenges as they come up, and also propose
mitigating strategies where necessary.
8.[9.] The local architect will take charge of providing information on all the fees, charges, or fines associated
with the building permit application process.

Communications:

1. All communications must be made via Miyamoto and Article 25, who will then take charge of informing
the client.
2. Communications will be provided in a timely manner, and with a view to allowing other team members
sufficient time to carry out their work without affecting the overall timeframe.

4. PAYMENT

Local Consultant chargeThe consultant will charge is Nrs.150,000.00(In Words: One Lakh Fifty Thousand
only) exclusive of VAT in the following manner:

Mode of Payment for Exterior Design


 Phase I: 30% of the sum to be paid at the time of contract signing of the contract.
 Phase II: 50% of the sum to be paid after submission of municipality drawing.
 Phase III: 20% of the sum to be paid after receipt of the building permit certificate.

Note: The consultant will be paid once the client receives approval and funds from Article 25 and The Leprosy
Mission.

5. ASSIGNMENT

Neither party shall assign or otherwise transfer any of its rights or obligations under this Agreement to any third
party without the prior written approval of the other party.

6. GOVERNING LAW

This Agreement shall be governed and construed in accordance with the Laws of Nepal.

7. TERMINATION
This agreement can be terminated at any time by the consent of the both the partiesy or with a prior written
notice of 15 days from one party to another.

8. CONFIDENTIALITY

Consultant shall not, during the term of this agreement and within two years after expiration, disclose any
proprietary or confidential information relating to this service, this contract or the client’s business or operations
without prior written consent from the company.
