ADDENDUM NO.

1: Z828/003/244/001/62 TO LOAN AGREEMENT NO: Z828/003/207/001/30

BETWEEN

ZUMA 828 COAL LIMITED a company duly incorporated in Nigeria and having its office at Plot
26, Sector Centre C, Guru District, Abuja, Nigeria, (Hereinafter referred to as the “Lender”)
whose expression shall, where the context so admits, include its agents, successors-in-title and
assigns, of the one part;

AND

NZE AKACHUKWU NWANKPO of Thank You Villa, Akachukwu Nwakpo’s compound, Umuapani,
Ubahu, Okija, Ihiala Local Government of Anambra State, (hereinafter referred to as `The
Borrower” which expression shall where the context so admit includes his heirs, legal
representatives, agents and assigns of the other part.

AND

EKENE NWANKPO of Thank You Villa, Akachukwu Nwakpo’s compound, Umuapani, Ubahu,
Okija, Ihiala Local Government of Anambra State, (hereinafter referred to as `The Guarantor”
which expression shall where the context so admit includes his heirs, legal representatives,
agents and assigns of the other part.

(Individually a “Party” and collectively the “Parties”)

WHEREAS: -
1. The Borrower is desirous of securing an additional loan facility of the sum of N20,000,000
(twenty million naira only).
2. The Borrower had under the subsisting agreement been earlier availed a total sum of
N135,000,000 (one hundred and thirty-five million naira).
3. The additional loan facility shall be for a duration of 30 (thirty) days.

NOW THEREFORE by mutual consent, the parties hereto agree as follows:

1. THE LOAN
a) Subject to the terms and conditions contained herein as well as general terms and
conditions contained in the main agreement, the Lender undertakes to loan the sum of
₦20,000,000 (Twenty million Naira) to the Borrower which shall be treated as a loan
between both parties.

b) The loan shall be interest free.

2. SECURITY
1. Three blank Zenith bank Post-dated checks with numbers 89755191, 89755192 and
89755193, all dated 27 June 2022.
2. Personal guaranty of Ekene Nwankpo.

3. REPAYMENT MODALITIES
a. Upon execution of this addendum, the Lender shall disburse the Loan sum to the
borrower as outlined in this addendum.
b. The borrower shall repay the sum of ₦20,000,000.00 (Twenty million Naira),
denominated in the US dollar at the rate of N591 to USD1 on or before 27 June 2022.
c. Failure of the borrower to make payment in line with this agreement will trigger all
rights of the Lender to take legal steps to remedy the breach of this loan agreement.

4. SECURITY
The Borrower has issued 3 blank duly signed post- dated cheques in favour of the Lender as
security for the repayment of the Loan.
