We agree to keep total confidentiality on all information of any kind and we have obtained both written
and oral, Sellers, their employees, their advice (which even yourself), and all people we shall have to
meet their initiative.
We undertake not to disclose the existence or the content of discussions or negotiations regarding the
proposed transaction.
We will not have direct contact with the seller group of employees without having previously received
your permission.
Our employees, representatives and boards will be required to the same confidentiality agreement, with
the exception of information that is in the public domain.
We recognize that the sellers reserve the right, at their own initiative and at any time to close the
sale or one or more of their assets with a third party or abandon the proposed transaction without
notice and we renounce all recourse against the seller and his / her representative (s) authorized to
act.
If we decide that we're not interested, we are committed to making all data written you would
have sent us and to destroy all copies made of these documents.
We pledge to respect the obligations and statements set forth herein, until the completion of the
transaction with ourselves, or, if not outcome, for a period of two years from the signing of this
commitment.

additional information that you may provide to us in the event of agreement on some forms of
electronic or other media.
Our employees, representatives and advisors will be bound by the same confidentiality
agreement, except for information that is in the public domain.
We need additional information to properly assess the possibility of an acquisition and to make
you an offer if our interest is confirmed.
We also hereby undertake, both in our personal names and in the names of the natural or legal
persons with whom we will be required to operate, not to disclose directly or indirectly, in part
or in whole and this for three years from this day, the information and/or documents contained
in the file that will be provided to us after signature of this letter by Mr Dominique Boillat .
We undertake to use Mr Dominique Boillat exclusively for all primary contacts and/or
negotiations with the transferor.
We are therefore waiting for the complete file to be sent upon receipt of this letter or at the
latest during the on-site visit, once we have these documents in our possession and
alternatively during the on-site visit, we will inform you of our decision within 60 working days.
If we decide, after this period that we are no longer interested, we undertake to return any
written data you may have sent us and to destroy all copies made of these documents.
You will find in the appendix an exhaustive list of the documents necessary for our analysis.
Of course, all useful information and attached letters that allow us to judge the opportunity of
this investment are welcome.
