RELEASE, WAIVER AND QUITCLAIM

I, MARK TRISTAN GARCIA BATAC of legal age and residing at

Calamba, Laguna
_______________________________________________________received the sum of
Thirteen Thousand Seven and Four Tenths (P 13,007.40) from Makati Development
Corporation (the "Company") in connection with my voluntary separation from the said
Company.

I unconditionally release the Company, its officers, directors and employees, including its
affiliated companies ("Interested Parties"), from any kind of character, such as, but not
limited to: regularization claim, salaries, allowances, overtime pay, leave benefits,
thirteenth/fourteenth month pay, bonuses and other benefits, as well as any damages,
claims or penalties arising from any right or demand and whatsoever in law or in equity,
that I may now have or may acquire in the future, arising out of or incidental to my
employment relationship with the Company or to the cessation thereof.

I confirm that I have been fully paid during the course of my employment all my salaries,
allowance, overtime pay, night shift differential, special and regular holiday pay, rest day
pay, leave benefits, thirteenth/fourteenth month pay, service incentive leave pay, bonus
and other benefits, as applicable, that are due to me, as applicable, whether such amounts
are due me by virtue of my contract of employment or any law, rule on equity, company
policy, program and/or company practice.

I agree to maintain strict and utmost confidentiality with respect to and shall not use, and/or
disclose to any third party, any Confidential Information belonging to or pertaining to the
Company which I have gained access to or knowledge of during my service.

I agree that "Confidential Information" means any proprietary information, technical data,
trade secrets or know how, including, but not limited to, research, products, services,
customer lists and customers (including, but not limited to, customers of the Company on
whom I called or with whom I became acquainted during the term of my employment),
markets, software, developments, inventions, processes, technology, designs,
engineering, hardware configuration information, marketing, finances or other business
information disclosed to me by the Company either directly or indirectly in writing, orally
or observation of parts or equipment.

I agree to hold the Company, the Interested Parties, and third-party service providers free
and harmless from any liability arising from or in connection with the collection, processing,
recording, managing, storing, updating, and disposal of my personal information, sensitive
personal information and privileged information which may have been collected through
the course of my employment.

I have personally read this Release Waiver and Quitclaim and fully understood every word
of it and its meaning and have affixed my signature hereunder voluntarily and freely with
the full and complete knowledge of the meaning and intent of this instrument and of my
rights under existing laws and rules on equity, without anyone or anything causing undue
influence on me, coercing me and forcing me through fraud, machinations, violence or
threats.
