2. INVITATION TO TENDER (ITT)
You are invited to submit a tender for Construction, Testing, and Commissioning of 4” Stainless
Steel Pipeline between EFC plant and EBIC plant

By participating in this tender, you are indicating your acceptance to be bound by the guidelines set
out in this letter and attachments. We provide below the key details EFC and EBIC requirements,
which you should take into account in your response. Please acknowledge via email safe receipt of
this letter within two working days together with your confirmation of your intention to tender.

To simplify exchange of information regarding this Invitation to Tender (ITT) please nominate a Bid
Manager (together with their deputy) and relevant contact telephone, facsimile numbers, and email
addresses.

Please direct any questions regarding the ITT content or process to the EFC/EBIC representatives
named below. You should not contact other EFC/EBIC personnel unless directed to do so by the
EFC/EBIC representative. All questions should be submitted in writing either by post or to the email
address below.

Only communications made by your Bid Manager (or their deputy) to our named representatives,
EFC/EBIC will be considered during the pre-contract tender period.
As part of this tender process EFC/EBIC makes no obligations in any way to:

• pay any vendor for any ITT response; or


• award the contract with the lowest or any bidder; or
• accept any ITT information received from vendors; or
• include vendors responding to this ITT, in any future invitation; or
• any other commitment to vendors whatsoever.

4. RESPONDENT INSTRUCTIONS
This section provides detailed instructions to be followed in responding to this ITT. Included are
Response Guidelines and EFC/EBIC Contact Information.

4.1. Response Guidelines


You will be required to submit a written proposal as part of the response in the form set out. You
should submit an ELECTRONIC COPY of the document, which should be labelled clearly. Responses
should be on A4 paper size, with sequential page numbering. Your Bid Manager should sign all
responses.

PROPOSAL EMAIL LABEL FORMAT


“Bidder Name proposal: Construction of 4” SS Pipeline between EFC & EBIC.

The sections should use the same paragraph numbering system as this ITT and should specifically
address all sections onwards.

EFC/EBIC reserves the right to disregard any response submitted after the timetable deadline.

You are expected to supply all required information, or clearly state the reason for being unable to
do so.

Any assumptions used in preparing responses should be clearly stated. Any appropriate supporting
documents e.g., maps, brochures, organisation charts, etc. should be included.

Questions relating to clarification of the ITT will only be accepted in Email to the EFC/EBIC
representative. Likewise, all responses from EFC/EBIC will be emailed and may also be made
available to other vendors (subject to confidentiality). In the event that any answer materially
affects the ITT specifications, an amendment to the original requirement will be escalated to all
vendors.

Additional scope and requirements can be added. Notification of such changes will be provided to
all vendors.

Should you wish to propose a deviation from the specification please ensure that you clearly identify
and highlight where appropriate in your response.

By submitting a response, you are committing to an understanding that you understand the
requirement and have sufficiently addressed all aspects of the tender and information contained
within the data room and that you have checked all stated details, such as prices, to be correct and
as intended.

during the tender process is confidential.

5. TENDER ASSESSMENTS
5.1. Evaluation Criteria and Process
A set of detailed evaluation criteria has been prepared by EFC/EBIC for the evaluation of every
Submission. Within each stage an initial evaluation will consider whether or not every instruction
and requirement contained within the ITT has been fulfilled.

The evaluation criteria will be based upon some or all of the following aspects of the Bidders’
proposals in (not in order of significance):

5.1.1. Commercial
• Competitive price
• Price clarity (Cost breakdown)
• Management information provisions
• Contractual compliance

5.1.2. Service Capability


• HSE compliance
• Service delivery experience
• Service delivery models (including business continuity)
• Quality
• Culture and ability to work with EFC/EBIC
• Ability to adapt to changing business requirements
• Continuous improvement plans

5.1.3. Financial
• An established financial track record demonstrated for the legal entity that
EFC/EBIC would be contracting with (please include your company’s registration
number and registered address in your response)

5.1.4. Level of Compliance with ITT


• Understanding of all parts of the ITT
• Proposals / bids provided are in accordance with the Instructions
• Adherence to the timescales to send back responses

You are reminded that throughout the process EFC/EBIC will continually assess all contact with the
bidder’s organisations including compliance to the process, presentations and on-site
representatives. EFC/EBIC reserves the right at its sole discretion to disqualify without further
consideration any submission that does not satisfy this basic requirement

6. SCOPE OF WORK
The scope of work is to manufacture, assemble, install and commission 4” SS Pipeline between EFC
and EBIC, this includes but not limited to the following activities within the boundary limits shown
as defined in the tender:

• Execution work package (EWP) and Project documentation for the Pipeline.
• Execution activities and submittals schedule.
• Inspection & Testing Plan (ITP), showing the coverage percentage of NDT (to be
submitted for approval and identifying inspection points).
• Pre-Commissioning activities schedule.
• Progress reports (During Execution and till handover to EFC)
• Contractor’s team site organization chart.
• Inspection & testing for the Pipeline
• Painting for the pipeline
• Earthing lugs wherever applicable.
• Scaffolding and lifting
• QA /QC requirements as per EFC Procedures
• Isometrics marked-up as-built drawings showing supports types and locations.

In addition to all mechanical, Electrical, Instrument, Control and Civil works necessary to complete
the work. Further details are mentioned in the following sub-cluses.

6.1. Project Detail Scope


• Performing site visit to confirm the routing, and site survey to verify the pipe spools length.
• Fabrication and Construction of 4” stainless steel pipeline A312 TP 304L with total length of
about 1km
• Supplying, Fabricating and Installing the required supports (steel structure wherever
applicable as well as U-bolts with rubber sleeves, guide supports, and shims required).
• Piping materials are EFC scope however Supports materials as well as fabrication and
installation for both piping and supports is Contractor responsibility including all the
consumables and tools required.
• Installing all the inline valves, vents and drains and instruments is contractor scope.
• Cranes, Lifting slings, forklifts, scaffolding and all the service equipment are contractor
scope.
• Pressure testing, flushing or air-blowing, joints pickling are contractor scope including all
preparation materials and consumables.
• Pre-alignment for suction and discharge flanges with pump nozzles prior to pressure testing
and final alignment after completing the pre-commissioning activities is contractor scope.
• Pipe stress check on pump coupling will be applied by EFC however contractor scope is to
comply with the allowable stresses.
• Pipeline and supports painting are contractor scope including all consumables and tools.
Painting procedure shall follow EFC procedures.
• Earthing lugs installation is contractor scope.
• Providing VT, PT and RT and submitting complete quality book is contractor scope. Including
welders performance qualifications and QC engineers certificates, consumables certificates
wherever applicable.
• VT, PT and RT will be done by the contractor under EFC supervision and confirmation,
contractor shall apply the required repairs as per EFC procedure.

• Contractor shall apply EFC HSSE requirements, including full PPE as per the attached HSSE
requirements list. EFC will issue work permit to the contractor however the contractor shall
follow and apply all the precautions and safety requirements mentioned in the work permit.

6.2. Process / Mechanical Requirements


• Isometric As Built drawings including supports details.
• Piping Flanges Alignment Reports.
• Complete Quality book including welding log sheet, welding maps, VT, PT, RT reports, WPS,
PQR, certificates (materials, consumables, manpower, ….etc.)

7. THE CONTRACT TYPE


• The Contractor will be paid based on
i. Dia inch unit price for piping construction including painting and NDT.
ii. Weight for supports supply & installing (unit price per Ton).
iii. Lump Sum CONTRACT PRICE for Pre-Commissioning activities. (Pressure testing,
flushing, ….)
• The contractor offer MUST be provided in the BOQ -bill of quantities- format including the
contract prices for each item.
• The Contractor shall pay all taxes, duties and fees required to be paid by it under the
Contract and as required by Law, and the Contract Price shall not be adjusted for any of
these costs.

8. WARRANTEE
• The Seller / Contractor shall guarantee his materials and workmanship against defect due
to faulty materials or faulty workmanship or negligence for a period of 12 months following
Substantial Completion of the Work or 18 months from date of shipment (Whichever
further)
• Where the manufacturer's warranty on equipment or parts thereof exceeds twelve 12
months, the guarantee period on such equipment or parts thereof shall be extended to
include the full warranty of the manufacturer.
• The Contractor shall repair or replace such defective materials, equipment or workmanship
to the full satisfaction of the Owner within the stipulated guarantee period without cost to
the Owner.

8.1. Bank Guarantee for Performance


• The Contractor shall obtain (at its cost) an unconditional and irrevocable Bank Guarantee
for performance. The Bank Guarantee for performance shall be for the 10% of total amount
and currency specified in the offer.
• The Contractor shall deliver the Bank Guarantee for performance to the Employer within 14
days after the Date of the Contract and shall send a copy to the Employer’s Representative.
The Bank Guarantee for performance shall be issued by a leading and accredited bank
approved by the Employer.
• If at any time the Contract Price increases by more than 5% whether because of one increase
or multiple increases as a result of approved variations, the Contractor shall provide an
additional unconditional and irrevocable Bank Guarantee for performance from a leading
and accredited bank approved by the Employer.

• Unless otherwise specified in the Contract, the Contractor shall deliver the additional Bank
Guarantee for performance to the Employer within 14 days of any approved increase to the
Contract Price.
• All fees, taxes and expenses associated with procuring, preparing, completing,
extending, replacing and stamping (if applicable) each of the Bank Guarantees for
performance shall be paid by the Contractor

9. CONTRACTOR'S GENERAL OBLIGATIONS

• The Contractor shall execute, test, commission and complete the Works in accordance with
the Contract and with the Employer's Personnel's instructions and shall remedy any defects
in the Works.

• The Contractor shall provide the Plant and Contractor's Documents specified in the
Contract, and all Contractor's Personnel, Goods, consumables and other things and services,
whether of a temporary or permanent nature, required in and for the design, execution,
completion of, and remedying of defects in, the Works.

• The Contractor shall undertake all works which are necessary to satisfy the Specifications
and the Drawings, or can be implied from the Contract, and all other works which (although
not expressly mentioned in the Contract) are necessary for the stability and/or for the
completion, and/or safe and proper operation of the Works.

• The Contractor shall be responsible for the adequacy, stability and safety of related Site
operations -inside projects boundaries- and all methods of construction in performing the
Works. The Contractor shall be responsible for all Contractor's Documents,
Temporary Works, and such design of each item of Plant and Materials as is required for the
item to be in accordance with the Contract.

• The Contractor shall, before any part of the Works is commenced, submit to the Employer's
Representative, details of the arrangements and methods which the Contractor proposes to
adopt for the execution of the Works. No significant alteration to these arrangements and
methods shall be made without this having previously been notified in writing to the
Employer's Representative, except in the case of an emergency or where the Contractor
reasonably considers that there is a risk of damage or injury to the Works or any person. In
such case, notification of the alteration shall be issued within 48 hours.

• Nothing in the Contract will be construed to authorise the Contractor to effect any unilateral
change in the execution of the Works, the Contract Price and/or the Contract without the
Employer's Representative's prior written approval.

• If the Contract specifies, or the Employer's Representative otherwise issues an instruction


requiring, that the Contractor shall design any Section or part of the Works, then unless
otherwise stated in the Contract:

o Contractor's Documents shall be in accordance with the Specification and Drawings,


shall be written in English, and shall include additional information required by the
Employer's Representative to add to the Drawings for co-ordination of each Party's
designs.

o The Contractor shall be responsible for the design and construction of these
Sections or parts of the Works, which shall, when completed, be fit for such
purposes for which the Sections or parts of the Works are intended as specified in
the Contract; and

o Prior to the commencement of the Tests on Completion, the Contractor shall submit
to the Employer's Representative the Contractor's Documents, the "as-built"
documents and operation and maintenance manuals in accordance with the
Specification and/or the Employer's Representatives instructions, and in sufficient
detail for the Employer to operate, maintain, dismantle, reassemble, adjust and
repair this Section or part of the Works. Such Sections or parts of the Works shall
not be considered to be completed for the purposes of being Taken Over until these
documents and manuals have been submitted to the Employer's Representative.

• Any amendment, which the Contractor proposes to any Contractor’s Documents, shall be
promptly submitted to the Employer, with details of:

o the proposed amendment; and


o the reasons for the proposed amendment,

• For the avoidance of doubt, any review or approval of, or any comment on, any Contractor's
Documents by, or on behalf of, the Employer in accordance with the Contract is solely to
monitor the performance of the Contractor. No approval, comment or review or similar act
(including the absence of disapproval, comment or review) by or on behalf of the Employer,
Employer's Representative or the Employer's Personnel shall relieve the Contractor from
any of its warranties, obligations or liabilities under or in connection with the Contract,
including responsibility or liability for error, omissions, discrepancies, defects and non-
compliances in the Contractor's Documents.

• Any failure to disapprove any Contractor's Documents shall not constitute approval and
shall therefore not prejudice the right of the Employer to reject the Contractor's Documents
under this Sub-Clause or otherwise under the Contract.

• The contractor warrants that its design of any Section or part of the Works:
o are fit for such purposes for which the Section or part of the
o Works is intended as are specified in the Contract; (B) is in accordance with
Industry Best Practices.
o is in accordance with all Laws and requirements of all relevant Authorities; and
o fulfils the other requirements of the Contract.

• Execution of the Contract by the Contractor is a representation that the Contractor has
visited the site, become familiar with local conditions under which the Work is to be
performed, correlated personal observations with requirements of the Contract
Documents, has checked and verified all site conditions, and hereby waives any and all
claims, present or future, for misrepresentation on the part of the Owner or Designer.

• The intent of the Contract Documents is to include all items necessary for the proper
execution and completion of the Work by the Contractor. The Contract Documents are
complementary, and what is required by one shall be as binding as if required by all.

• The Contractor shall carefully study and compare the Contract Documents -including but
not limited to drawings and technical documents, layouts. Etc- with each other and with the
information furnished by the Owner, and shall at once report inconsistencies, or omissions
discovered. If the Contractor performs any construction activity knowing or should have
known it involves an error, inconsistency, or omission in the Contract Documents without
such notice to the owner, the Contractor shall assume full responsibility for such
performance and shall bear the full costs for correction.

• The Contractor shall take field measurements and verify field conditions and shall carefully
compare such field measurements and conditions and other information known to the
Contractor with the Contract Documents before commencing activities. Errors,
inconsistencies, or omissions discovered shall be reported to the owner immediately

10. CONTRACTOR'S REPRESENTATIVE


• The Contractor shall appoint the Contractor's Representative and shall give it all authority
necessary to act on the Contractor's behalf under the Contract.
• The Contractor shall submit to the Employer’s Representative for consent the name and
particulars of the person the Contractor proposes to appoint as the Contractor’s
Representative.
• If consent is withheld or subsequently revoked, or if the appointed person fails to act as
the Contractor's Representative, the Contractor shall similarly submit the name and
particulars of another suitable person for such appointment. The Contractor shall not,
without the prior written consent of the Employer's Representative, revoke the
appointment of the Contractor's Representative or appoint a replacement.
• If the Contractor's Representative is to be temporarily absent during the execution of the
Works, a suitable replacement person shall be appointed, subject to the Employer's
Representative's prior written consent, and the Employer's Representative shall be notified
accordingly.
• The Contractor's Representative may delegate any powers, functions and authority to any
competent person, and may at any time revoke the delegation. Any delegation or
revocation shall not take effect until the Employer's Representative has received prior
notice signed by the Contractor's Representative, naming the person and specifying the
powers, functions and authority being delegated or revoked.

11. SUBCONTRACTORS
The Contractor shall not subcontract the whole of the Works. The Contractor shall only subcontract
part of the Works to a Subcontractor with the prior written consent of the Employer's
Representative, except that such consent is not required for Permitted Subcontractors or Nominated
Subcontractors.

For the purposes of obtaining the Employer's Representative’s prior written consent, the Contractor
shall give the Employer's Representative detailed particulars of any proposed Subcontractor, which
shall include:
• the relevant experience of the proposed Subcontractor.
• the proposed terms and conditions of the subcontract; and

• financial or other information that the Employer's Representative may require to satisfy itself
that the proposed Subcontractor is an appropriate entity to execute the relevant part of the
Works.
• Any such consent by the Employer's Representative shall not relieve the Contractor from any
of its warranties, obligations or liabilities under or in connection with the Contract and it
shall be responsible for the acts, omissions or defaults of any Subcontractor (including,
without limitation, any Permitted Subcontractor or Nominated Subcontractor), its agents or
employees, as if they were the acts, omissions or defaults of the Contractor.

12. SAFETY PROCEDURES


The Contractor shall, throughout the execution and completion of the Works and the remedying of
any defects:

• comply with all applicable safety regulations of the relevant Authorities and the health
and safety policies, guidelines, procedures and requirements specified in the Schedule of
Health and Safety Requirements.
• submit all procedures and compliance documents specified in the Contract and the
S c h e d u l e of Health and Safety Requirements, including safe work method statements
and risk assessments, to the Employer's Representative for information before each design
(as applicable / if any) and execution stage of the Works is commenced.
• be responsible for the safety of all persons entitled to be on the Site;
• use reasonable efforts to keep the Site and Works clear of unnecessary obstruction so as to
avoid danger to those persons.

13. SUFFICIENCY OF THE CONTRACT PRICE


• The Contractor shall be deemed to have satisfied itself as to the correctness and sufficiency
of the Contract Price.
• Unless otherwise stated in the Contract, the Contract Price covers All the Contractor's
obligations under the Contract before, on or after the Date of the Contract (including those
under Provisional Sums, if any) and all things necessary for the proper design (if any),
execution, testing, commissioning / validation, and completion of the Works and the
remedying of any defects.
• Unless otherwise stated in the Contract, the Contractor is responsible for all costs and
accepts all risks associated with the execution and completion of the Works in accordance
with the Contract.

14. TRANSPORT OF GOODS


Unless otherwise stated in the Contract:
• the Contractor shall give the Employer's Representative not less than 21 days’ notice of the
date on which any Plant or a major item of other Goods will be delivered to the Site.
• the Contractor s h a l l b e r e s p o n s i b l e f o r p a c k i n g , l o a d i n g , t r a n s p o r t i n g ,
receiving, unloading, storing and protecting all Goods and other things required for the
Works; and
• the Contractor shall defend, indemnify and hold the Employer harmless against all costs
resulting from the transport of Goods, and shall negotiate and pay all claims arising from
their transport. In defending the Employer, the Contractor shall not enter into a
settlement agreement without the prior written approval of the Employer.
15. ELECTRICITY, WATER AND GAS

• The Contractor may, with the prior written approval of the Employer's Representative, use
for the purposes of the execution of the Works such supplies of electricity, water, gas and
other services as may be available on the Site (if any). The Contractor shall, at its risk and
cost, provide any apparatus and connections necessary for its use of these services and for
measuring the quantities consumed.
• The quantities consumed for such services shall be agreed or determined by the Employer's
Representative.

16. TIME FOR COMPLETION


The Contractor shall complete the whole of the Works, and each Section to enable such Works to
be Taken Over by the Employer, within the Time for Completion for the Works including:
• achieving each Milestone by the relevant Milestone Date.
• achieving the passing of the Tests on Completion to the Employer's
• Representative's satisfaction.
• satisfying all other preconditions to issuing a Mechanical completion and Taking Over
Certificate
• completing all other work and submitting all other information and documents which is
stated in the Contract as being required for the Works or Section to be considered to be
completed for the purposes.
