RELEASE, WAIVER, AND INDEMNITY AGREEMENT

World Baseball Softball Confederation U-18 World Cup

THIS RELEASE, WAIVER, AND INDEMNITY AGREEMENT, dated as of the dates set forth on the signature page
(this “Agreement”), by the adult undersigned, an individual residing at the address set forth on the signature page (the
“Adult Participant”), individually and, if applicable, on behalf of the minor(s) undersigned, an individual residing at
the address set forth on the signature page (the “Minor Participant(s)”), in favor of Pittsburgh Associates of Florida,
LLC (“PAF”), a Florida limited liability company responsible for the Florida operations of the Major League Baseball
franchise known as the “Pittsburgh Pirates” (the “Pirates”).

WHEREAS, Adult Participant and/or Minor Participant desire to participate in the event (the “Event”) which will take
place on or around the premises of LECOM Park, including but not limited to those areas of the LECOM Park that
are not open to the general public (the “Restricted Areas”) (collectively, the “Facility”).

WHEREAS, Adult Participant acknowledges (individually and on behalf of Minor Participant) that Adult Participant
and/or Minor Participant are not obligated to participate in the Event and that Adult Participant and/or Minor
Participant have requested to engage in activities related to the Event solely because of their enjoyment of, enthusiasm
for, and interest in the Event;

WHEREAS, Adult Participant acknowledges (individually and on behalf of Minor Participant) that Adult Participant
and/or Minor Participant did not receive any promise or expectation of remuneration from the Pirates to participate in
the Event;

WHEREAS, Adult Participant recognizes (individually and on behalf of Minor Participant) the dangers of, and
assumes all risks of injury associated with, participating in the Event at the Facility; and

WHEREAS, the PAF is willing to allow Adult Participant and/or Minor Participant to participate in the Event subject
to the terms and conditions of this Release and Indemnity Agreement.
NOW, THEREFORE, in consideration of being permitted to participate in the Event at the Facility, and intending to
be legally bound, Adult Participant (individually and on behalf of Minor Participant), for him or herself or themselves
and his or her or their heirs and assigns, hereby acknowledges, covenants, and agrees as follows:

I. ACKNOWLEDGEMENT OF INSTRUCTIONS

Adult Participant acknowledges and agrees (individually and on behalf of Minor Participant) that Adult
Participant and/or Minor Participant has received or is aware of all of the necessary instructions and/or rules
related to his or her or their participation in the Event at the Facility and that he or she or they will abide by
such instructions and/or rules, including but not limited to, rules which bar an individual who is under the
influence of alcohol or other drugs from participating in the Event. Adult Participant hereby agrees to pay all
cleaning or repair costs resulting from any damage to the Facility caused by Adult Participant and/or Minor
Participant in connection with the Event.

II. ASSUMPTION OF RISK

Adult Participant acknowledges and agrees (individually and on behalf of Minor Participant) that
participating in the activities related to the Event and entering the Facility can be dangerous and may result
in serious bodily injury or death. Adult Participant assumes (individually and on behalf of Minor Participant)
the risk of all injuries to Adult Participant and/or Minor Participant that may result from participating in the
activities related to the Event at the Facility. Adult Participant agrees (individually and on behalf of Minor
Participant) that his or her or their decision to participate in the Event at the Facility shall be deemed as an
acknowledgement that the Facility is safe and suitable for his or her or their participation in the Event.
III. WAIVER OF CLAIMS

Adult Participant hereby waives, releases, discharges and covenants not to sue (individually and on behalf of
Minor Participant) any or all of PAF, the Pittsburgh Pirates, Pittsburgh Associates, Pittsburgh Baseball, Inc.,
Pittsburgh Pirates Acquisition, Inc., Pittsburgh Baseball Holdings, Inc., McKechnie Concessions, LLC, City
of Pittsburgh, and Sports and Exhibition Authority, together with the partners, shareholders, officers,
directors, employees, agents and sponsors of any of them, (all of the foregoing collectively, the “Released
Parties”) from any and all claims, demands, causes of action, damages or other losses suffered by the Adult
Participant and/or Minor Participant as a result of, or in any manner related to, directly or indirectly, his or
her or their participation in the Event at the Facility.

IV. COMMUNICABLE DISEASE ASSUMPTION OF RISK AND RELEASE OF LIABILITY

This section is an acknowledgement and express assumption of risk and release of liability in any way related
to Adult Participant and/or Minor Participant being exposed to or contracting COVID-19 (as defined by the
World Health Organization) and any strains, variants, or mutations thereof, the coronavirus that causes
COVID-19 and/or any other communicable and/or infectious diseases, viruses, bacteria or illnesses or the
causes thereof (collectively, “Communicable Disease”), during or in connection with Adult
Participant’s/Minor Participant’s participation in the Event and/or Adult Participant’s/Minor Participant’s
presence at the Facility. By participating in the Event and/or being present at the Facility, Adult Participant
acknowledges and expressly assumes the risk that Adult Participant/Minor Participant may be exposed to
Communicable Disease. Adult Participant expressly understands that the risks of exposure to Communicable
Disease include contracting Communicable Disease and the associated dangers, medical complications
(including death) and physical and mental injuries, both foreseen and unforeseen, that may result from
contracting Communicable Disease. Adult Participant further acknowledges and understand that Adult
Participant’s/Minor Participant’s interaction with Event staff, participants and any other individuals present
at the Facility poses an elevated, inherent risk of being exposed to and contracting Communicable Disease,
that it cannot be guaranteed that Adult Participant/Minor Participant will not be exposed to Communicable
Disease, and that potential exposure to or contraction of Communicable Disease while participating in the
Event and/or being present at the Facility are risks that cannot be eliminated. If infected with Communicable
Disease, Adult Participant acknowledges and understands that Adult Participant/Minor Participant may
subsequently infect others, even if Adult Participant/Minor Participant don’t experience or display any
symptoms.

In connection with the foregoing, Adult Participant agrees that Adult Participant/Minor Participant child will
not participate in the Event or be present at the Facility if, within fourteen (14) days preceding the Event,
Adult Participant/Minor Participant (i) tested positive or presumptively positive for Communicable Disease
or was identified as a potential carrier of Communicable Disease, (ii) experienced any symptoms commonly
associated with Communicable Disease, including, without limitation, fever, cough, loss of sense of taste or
smell, or shortness of breath; (iii) traveled to a country that is subject to a U.S. State Department Level 4 “Do
Not Travel” Advisory or a CDC Level 3 Travel Health Notice (each, a “Prohibited Country”) and/or (iv) was
in direct contact with or the immediate vicinity of any person who is either confirmed or suspected of being
infected with Communicable Disease or who has travelled to a Prohibited Country within fourteen (14) days
preceding Adult Participant’s/Minor Participant’s encounter with such person. Adult Participant further
agrees that Adult Participant/Minor Participant will submit to any health screening and/or Communicable
Disease testing that may be required as a condition of Adult Participant’s/Minor Participant’s participation
in the Event and/or presence at the Facility.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADULT PARTICIPANT HEREBY

WAIVES, RELEASES, FOREVER DISCHARGES, AND COVENANTS NOT TO SUE THE RELEASED
PARTIES FOR, AND THE RELEASED PARTIES SHALL NOT BE RESPONSIBLE FOR, ANY CLAIM,
LIABILITY OR DEMAND OF WHATEVER KIND OR NATURE, EITHER IN LAW OR IN EQUITY
(INCLUDING, WITHOUT LIMITATION, FOR PERSONAL INJURY, DEATH OR PROPERTY
DAMAGE) THAT MAY ARISE IN CONNECTION WITH, OR RELATE IN ANY WAY TO, EXPOSURE
TO OR CONTRACTION OF COMMUNICABLE DISEASE BY ADULT PARTICIPANT/MINOR
PARTICIPANT OR ANY OTHER INDIVIDUAL INFECTED BY ADULT PARTICIPANT/MINOR
 PARTICIPANT, INCLUDING, WITHOUT LIMITATION CLAIMS RESULTING FROM THE
NEGLIGENCE OF THE

RELEASED PARTIES AND/OR THE INHERENT RISKS ASSOCIATED WITH PARTICIPATION IN

THE EVENT AND/OR BEING PRESENT AT THE FACILITY DURING A COMMUNICABLE
DISEASE PANDEMIC.

IN THE EVENT ADULT PARTICIPANT/MINOR PARTICIPANT ARE RESIDENTS OF THE STATE

OF CALIFORNIA, ADULT PARTICIPANT FURTHER ACKNOWLEDGES AND AGREES THAT
HE/SHE IS FAMILIAR WITH AND HEREBY WAIVES THE PROVISIONS OF SECTION 1542 OF THE
CALIFORNIA CIVIL CODE (AND SIMILAR PROVISIONS OF OTHER JURISDICTIONS) WHICH
PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE
CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER
FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER,
WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR
RELEASED PARTY.”

V. INDEMNIFICATION

Adult Participant hereby agrees (individually and on behalf of Minor Participant) to indemnify and hold each
of the Released Parties harmless from and against any and all claims, demands, causes of action, damages,
liabilities, losses, costs and expenses (including attorney’s fees) suffered by a Released Party as a result of,
or in any manner related to, directly or indirectly, his or her or their participation in the Event at the Facility.

VI. RELEASE OF PERSONALITY RIGHTS

Adult Participant hereby authorizes (individually and on behalf of Minor Participant) the Pirates and their
designees to use in any manner his or her or their likenesses while participating in the Event. Adult Participant
hereby disclaims (individually and on behalf of Minor Participant) any right to privacy related to the use of
such likenesses. Adult Participant also hereby waives (individually and on behalf of Minor Participant) any
and all claims, counterclaims, rights, demands, actions and causes of action, foreseen or unforeseen, actual,
or potential, arising out of, or in any way related to, use by the Pirates or their designees of such likenesses.
The foregoing references to his or her or their likenesses include any and all forms or reproductions of his or
her or their image, voice, or name, including, but not limited to, video, audio or photo, whether recorded or
live, printed or broadcast, moving or still. Notwithstanding the foregoing, neither the Pirates nor their
designees will use the likeness of Adult Participant and/or Minor Participant in any manner without the prior
written consent of UNITED STATES BASEBALL FEDERATION dba USA Baseball in each instance, such
consent not to be unreasonably withheld.

VII. AUTHORIZATION ON BEHALF OF MINOR PARTICIPANT

In the event that Adult Participant is executing the Agreement on behalf of a Minor Participant, Adult
Participant represents and warrants that Adult Participant is the parent or legal guardian of Minor Participant
and that Adult Participant is authorized to and does enter into this Agreement on behalf of any and all parents
and legal guardians of any such child.

VIII. SEVERABILITY

In the event that a court of competent jurisdiction finds any term or clause in this Agreement to be invalid,
unenforceable, or illegal, the same will not have an impact on other terms or clauses in the Agreement or the
entire Agreement. However, such a term or clause may be revised to the extent required according to the
opinion of the court to render the Agreement enforceable or valid, and the rights and responsibilities of the
parties shall be interpreted and enforced accordingly, so as to preserve their agreement and intent to the fullest
possible extent.
 ADULT PARTICIPANT HAS READ AND FULLY UNDERSTANDS THIS RELEASE,
WAIVER, AND INDEMNITY AGREEMENT. ADULT PARTICIPANT ACKNOWLEDGES
AND AGREES THAT NO REPRESENTATIONS, STATEMENTS OR INDUCEMENTS HAVE
BEEN MADE TO ENCOURAGE HIM OR HER TO ENTER INTO THIS AGREEMENT.

IN WITNESS WHEREOF, Adult Participant has duly executed and delivered (individually and on behalf of
Minor Participant) this Indemnity and Release Agreement.
