Dear MOHSIN FAROOQ WAN,

We are pleased to offer you a position as a Real Estate Agent on the following terms & conditions:

Remuneration

You will receive a fixed compensation of AED 4,000/- per month.

Your employment with VNR Real Estate is subject to obtaining employment visa/work permit,
satisfactory security, medical clearance, references, and confirmation of qualification.

This offer is also made on the understanding that you will be prepared to serve in such of the branches,
offices or departments of VNR Real Estate or its subsidiaries or associate companies, as VNR Real
Estate may direct from time to time during your service.

Hours of Work
Your hours of work will be dependent on the extent of your workload at any particular point in time and
the need to meet deadlines, etc. From time to time, it might be necessary, given the nature of your
duties, for you to make your service available over weekends or even on public holidays and this offer
is made on this understanding.

Working hours: 9:00 AM to 6:00 PM (Monday to Saturday)

Absence from Duty

If you are absent from duty for more than 3 days without prior approval and without any acceptable
reason, VNR Real Estate may consider terminating your employment summarily.

Training Period
Before the commencement of the formal Probation Period, you will be subject to 10 working days
Training Period. During the Training Period, your working hours will be from 10am to 7pm.

In case of termination / resignation during the Training Period, you would not qualify for any monetary
compensation.

In the event of successful completion of the Training Period, your Probation Period shall start with a
back-dated effect.

Probation Period
You will be under probation for a period of 6 months beginning from the date of joining as per UAE
labour law. You will not be eligible for sick or paid leave during this period.
Taxation
Currently no taxation is applicable on your emoluments in the UAE. However, should taxation or
earnings be introduced at any time in the future, you will be liable to pay any such tax.

Gratuity
As per UAE labour law.

Annual Leave & Sick Leave

As per UAE labour law.

Medical Insurance
Only you will be entitled to medical insurance. Medical insurance for your family / dependents is the
responsibility of the employee.

Employee Visa
You will be entitled to an employee visa. However, additional charges, including but not limited to,
change of status within country or/and in lieu of attested academic degree or/and existing overstay
fines or/and quota modification or/and urgent processing of the application, shall be borne by you & will
be deducted from your monthly salary.

Other Benefits
You will be entitled to an incentives scheme based on your performance and according to the structure,
terms and conditions set out by VNR Real Estate. The incentives scheme may be revised by VNR Real
Estate anytime during the employment.

Laptop Policy
Each employee will be provided with a laptop by the Company. Each employee is responsible for the
physical security of the laptop. All laptops acquired for or on behalf of the Company are deemed to be
company property.

If an employee's laptop is stolen / damaged due to negligence, the employee will be responsible for the
cost of replacing the laptop (i.e., AED 2,000).

SIM Card Policy

Employees will only use their personal mobile phones (including sim card) for business purposes as
well. No sim card / mobile phone shall be provided by the Company.

Termination & Notice Period

Your employment is subject to one month's notice of termination from you to VNR Real Estate and one
month from VNR Real Estate to you. In case of Termination / Resignation during the first year, either
from the company or from the employee, the employee should bear all the recruitment expenses
including and not limited to: the round-trip ticket, visa processing fee & Emirates ID card charges.

Full and Final Settlement

The exit pay is payable in 45 days after the exit.
Post Termination
At any time after the termination of your employment, for whatever reason, you will, if so, be requested
by VNR Real Estate, assist in any investigation, arbitration, claim or litigation where you have been
involved in the underlying business.

Applicable Law & Jurisdiction

The applicable law for the contract will be the UAE labour law and the Dubai Jurisdiction will be the
exclusive jurisdiction to hear any dispute arising out of the application or the interpretation of the
contract. However, this exclusivity shall not prevent VNR Real Estate from bringing in any litigation
before any other competent court whether in or outside UAE

Conflict of Interest
During your employment you shall not introduce to any other person, firm, company, or organization
business of any kind with which VNR Real Estate is able to deal and you will not have any financial
interest in or derive any financial or other benefits from contracts or transactions made by VNR Real
Estate with any third party without first disclosing such interest or benefits to VNR Real Estate and
obtaining its approval thereto.

Confidentiality
You shall abide by all confidentiality agreements Vis a Vis all and any company business. You also
agree and accept that since you will have knowledge and strategies of the company, you cannot be
grateful employed or consulted by any company that will stand to gain from your knowledge during your
tenure with the company. Any breach of the professional duty of secrecy described above may result
in severe disciplinary actions.

Legal Authority
You shall not enter into any contract or agreement on behalf of VNR Real Estate. You agree to
undertake responsibility for any errors or omissions on your part as a result of any negligence or
commitments made in any correspondence on our letter head or any formal course of communication.

This agreement shall be subject to all aspects of the company & UAE labour law.

This offer is valid for 24 hours. Please sign the offer in duplicate as your acceptance for the same and
email us. This agreement is made in goodwill and in the spirit that both the parties will show good faith
in each other.
