Vendor Agreement - Travel Agent
BETWEEN
(1) Ashwath Productions Pvt. Ltd, a Private Limited Company incorporated under the
Companies Act, 1956/2013, having its registered office at Flat no- 3/A3, Bishnupriya
Apartment, Jaydev Vihar, Bhubaneswar- 751029, Khordha, Odisha; And
(2) JP Motion Pictures, a Private Limited Company incorporated under the Companies Act,
1956/2013, having its registered office at #401, 4 th Floor, DLF Cybercity, Bhubaneswar,
infocity, Odisha- 751024, hereinafter jointly referred to as “THE PRODUCER” (which
expression shall, unless it be repugnant to the context or meaning thereof, be deemed
to mean and include its successors and assigns) of the ONE PART;
AND
Jitendra Kumar Dalei, aged about 31 years, S/O Dandhi Dalei, resident of S/O- Gandhi Dalei,
plot no- 768, Bharatpur, Khordha, Odisha- 751003, hereinafter referred to as “Travel
Agent” (which expression shall, unless it be repugnant to the context or meaning thereof,
be deemed to mean and include his/her heirs, legal representatives, and assigns) of the
OTHER PART

NOW, THEREFORE, the Parties shall hereinafter jointly be referred to as “Parties” and
individually as a “Party”.
WHEREAS:
(A) That the First Party is producing a film titled ‘PARAB’ and is looking for people to assist
the First Party for the same as ‘Travel Agent’.
(B) That the Second Party is willing to work for the First Party to produce the said film in the
capacity of Travel Agent.
(C) That in consideration of mutual agreement arrived between the Parties in, agree as
follows:
3. That the Second Party undertakes that he/she will not stop the services during the shooting
without prior approval of the First Party and if he/she does so, he/she shall be liable to
compensate for the losses incurred by the First Party due to such absence.
4. That the Second Party shall comply with the reasonable requests of the First Party with
regard to health and Safety of the people and equipment.
5. That the expenses towards food and travel of the Second Party shall be borne/ reimbursed
by the First Party.
6. That the First Party shall be at liberty to terminate this agreement is case of any
subordination or misconduct by the Second Party.
7. This Agreement shall be governed by laws of India and the courts at Bhubaneswar, Odisha
shall have sole and exclusive jurisdiction to adjudicate upon any matters or dispute arising
under or pursuant to this Agreement.
IN WITNESS WHEREOF the parties have hereunto set their respective hands the day
and year first hereinabove written.
